Company, Grantor, and the CITY OF OSHKOSH, a municipal corporatic
Grantee, located in Winnebago County, Wisconsin.
IN CONSIDERATION of the sum of One Dollaz ($1.00) and other good
and valuable consideration paid by the Grantee, the receipt of which is
hereby acknowledged, the Grantor, its successors and assigns, does hereby
give and grant unto the Grantee, its successors and assigns, and Grantee
accepts, a storrn water drainage easement over and through the land
hereinafter described.

PURPOSE: The Easement Property described in this Agreement shall be used for public purposes
benefitting Grantor's Property, neighboring properties, and the Grantee's municipal storm water
management system. This Easement is one of several Easements associated wiYh the Grantor's
development of its Property as an apaRment complex. This Easement will allow storm water
originating outside Grantor's Property to drain through the swale constructed within the Easement
Property.
2. GRANTOR PROPERTY: The Easement Property described herein is part of a larger Property to
be developed which is located in the City of Oshkosh, W innebago County, Wisconsin, and more
particularly described through the recorded Certified Survey Map as:
Grantor's Property Descrip[ion attached as Exhibit A
3. EASEMENT PROPERTY: The 35 foot Drainage Easement granted in this Agreement shall be
over, under, and through Grantor's Property situated in the City of Oshkosh, W innebago County,
Wisconsin, and more particularly described as follows (Easement Property):
Che Southerly 35.00 feet of the Westerly 120.00 feet of the Easterly 150.00 fect,
more or less, of Lot 1 of Certified Survey Map No. 6984, recorded on
July 29, 2015 in Volume 1 of Certified Survey Maps, Page 6984, as
Document No. 1693496, recorded in the Register of Deeds Office, in and
for, Winnebago County, Wisconsin
4. MAP: The Grantor's Property will include several new Easements related to its development. A map
reflecting the location of these Easements, including the "3Y Drainage EasemenP' granted in this
Agreement, is attached as Exhibit B and is fully incorporated in this Agreement.
5. ACCESS RIGf ITS: Grantee shall have the right to access and use the Easement Property as part of its
municipal storm water management system. In addition to accessing the Easement Property from adjoinin;
Easements, Grantee will have the limited right to access the Easement Property through certain other parts
ofthe Grantor's Property described in Exhibit A. More specifically, Grantee may access the Easement
Proper[y by using the driveways, drive aisles, and parking areas of Grantor's apartment complex, provided
such access not intrusive or materially disruptive to Grantor's operation ofthe apartment complex, and

provided such access �vill minimize or prevent unnecessary damage or disruption of the use or suiiace of
the Easement Property. Grantee's use of the apartment complex parking area or drive aisles for access shall
not result in the blockage or material obstruction of these areas without permission from the Grantor.
6. USE FOR STORM WATER MANAGEMENT SYSTEM: Grantee shall h�ve tlie right to use the
Easement Property for storni water drainage as p�R of its municipal storm �vnter management system.
Gr�nror shall conshuct, at its cost, the City-approved s�vale on the Ensement Property. AIIer the initial
conshvction of the drainage swTle, its ownership ���d maintenance responsibilities shall remain with the
Grantor. Grantee retains the right to enter the property and inspect or survey tlie swale at any time it
believes it is appropriate to ensure the swale is fimctioning properly.
MAINTENANCE: Grantor shall be responsible for maintaining, repairing, and replacing the surface of
the Easement Propeity, including tfte drainage swale. Grantee is not obligated, but may nevertheless be
involved in maintenance of the swale pursuant to statutory auihoriry or tivough the �uthority described in a
separate stonn water operation and maintenance agreement. Grantee shall notify Grantor no less than five
(5) business days prior to perfonning any maintei�ance �vithin the Easement Property for any purpose
related to his Agreement. Li the case of emergency, Grantee will not be required ro provide notice to
Grantor prior to perfonning work within the Easement Yroperiy, but will provide notice to the Granror as
soon as practical after performing �vork. Grantee �vill notify Grantor of any meintenance that must be
performed on the Easement Property as soon a practical after discovery.
8. INTERFE2�NCE WITH EASEMENT: Grautor, its heirs, agents, or assigns, shalt not interfere widt the
Grantee's use of Ihe Easement Properiy for public storm water drainage, or inst111 or construct any ne�v or
additionll slnwhves, improvements, or landscaping �vit(iin the Easement Property. Grantor sl�all not place,
pile, or move snow or ice on to the Easement Property. Pro(iibited new changes, struch�res; or
improvements include, but are not limited to, temporary or pennanem building structures, perking arens,
sheds, change in elevations, vegetation e�cept grass, landscaping or fences unless otherwise approved in
writing by tlte Oshkosh Board of Public Works. Grautor shall promptly remove any objects, materiTls, or
structures which are not approved, or which impede the Gr�ntee's access and/or use of the Easement
Property, or wl�icl� limit tlie capacity of Ihe swale. If Grintor fails to remove these materials or nny
obstruction, Grintee may remove them at Grautor's expense. The Grantor shall take reasonable steps to
prevent third parties from interfering in nny way with the i�se of the Easeuient Property for storm �m[er
drainage.
USE OF EASEMENT BY OTHERS: The Grautor agrees diat the Gr�ntee mny temporarily �ssign its
rights ideutified herein to any contractor, third party, or other person. Assignees must demonstrate to the
Grautee that tl�ey have sufficient competence and must give adequate assurauces Iliat any �vork to be
performed in or around the Easement Propetty shall be conducted in a skillful mnmier. Assignees must also
protect Ihe Grantor's interest in the Easement Property to the same extent as if the Grantee was itself
perForming the activity.
10. DEFAULT: I£either Grantor or Grantee reasonably believes tliat the terms of tliis Easement liave been
breached, then written notification of fhe �Ileged breach shall be delivered to Ihe other party. Any party in
breach shall have sixty (60) days to cure any achial breach or, if Nie breach cannot reasonably be cm�ed
within the GO-day period, take appropriate steps to materially comply with the party's obligation to cure.
Nohvithstanding the foregoing, the Grantee is entitled to ensure the continuous proper functioning of ils
municipal storm �vater management system without �vaiting sixty (60) d1ys. Grantee may use its discretion
to evaluate auy necessary m:�intenance and/or repairs, or any interference with a pennitted use, of tlie
Easement Propeity, and may take any immediate reasonable action without notice to ensure the proper
functioning of Grantee's mm�icipal sronn water management system. All costs and eYpenses incwred
under such emergency circwnstances due to Grantor's breach or negligence shall be reimbursed by Grantor
to Grantee witliiu sixry (60) days of receipt of a bi11 for the same.

I l. TERM: This Easement it being granted in perpetuity for public purposes and uses, both current and firture,
without regard to Hie Grantee's use of Nie Easement at any p�rticular time. All rights, title and privileges
herein granted, including benefits and bi�rdens, shnll run wiUt the land and sliall be binding upon and inure
to the benefit of tl�e Grantor and Grantee, their respective heirs, executors, administrators, successors,
assigns, and legal representatives.
12. WAIVER: No delay or omission by any party to this Agreement in exercisiug any right or power arising
out of any default unAer any of the tenns or conditions of this Agreement shaU be constnied as a waiver of
the right or potiver. A waiver by a party of a�ry of the obligations of the other party si�all not be construed to
be a waiver of any breacli of any otlier terms or conditions of this Agreement.
13. INVALID[TY: If any teim or condition of this Agreement, or the application of tltis Agreement to any
person or circumstance, shall be invalid or unenforceable, the remainder of this Agreement, or the
�pplication of the term or condi[ion to persons or circumstances otlier ihan those to whic(i it is held invalid
or unenforceable, shall not be affected thereby, and each term and condition shall be v:�lid and enforceable
to tlie fullest estent permitted by law.
lA. NO THIRD PAR'TY BENEFICIARY: The tenns of this Agreement are for the benefit of the two parties
identified, and it is not tlie intention of either the Grantor or Grantee that other parties shall acquire any
rights to enforce or benefit from tl�rough this Agreement.
I5. MUNICIPAL LIABILITY: Nothing in this Agreement is intended as a waiver of the municipality's right
or opporhmity to rely upon or use the municipal limitations and immunities contained within Wisconsin
law. Municipal immunities and limitations include, but are not limited ro, Sections 345.05, 893.80, and
893.83, Wisconsin Statutes. Such damage limits, caps and immunities are intended to be preserved aud
applieA, and are incorporated into this agreement and shall govern all disputes regardless af the underlying
Nieory for relief, wliether contractunl or othenvise, as tl�ey relate to the municip3lity and its agents, officers,
and empioyees.
I G. FORCE MAJEURE: Neither Granror nor Grantee shall be in defnult under this Agreeme��t if its failure to
perfonu is causecl by �ny of the following evenis: act of God; fire; flooA; severe stonn; power outnges;
materiai shortages or wiavailability or other delay in undettaking their responsibilities ideutified in this
Agreement that do not restAt from the parties failure to maintnin their property or facilities. In order to
claim relief under this Section, the other party must be notified in writing of the existence of the event
relied upon and the expected cessation or termivation of that event. For the duration of atty valid Force
Majeirze eveut as derned by this Section, the affected party's performance sliall be escused. However, the
affected party is still required to take approprilte means to minimize or remove Ihe event causing Force
Majeure �nd, within the shortest possible time, attempt to resume performance of the obligation affected by
the event of Porce Majeure.
17. GOVERNING LAW: This Agreement shall be construed and enforced in accordance �vith the laws of the
State of Wisconsin, Venue for any action regarding this Agreement shall be the Winnebago County,
Wisconsin, Circuil Court or, if a federal court action, then the appropriate district and/or branch within
tvhich Winnebago County is located.
13. NOTICES: Grantee shall not be required to provide notice prior to esercising Tny rights pursuant to the
Easement Property �nd this Agreement, escept tliat Grantee will provide tlie on-site manager with advence
notice of siguificnnt work to be perfonned within the Easement Property provided no emergency exists.
Any notices related to a breach of this Agreement shnll be in writing and delivered via certified mail, reh�rn
receipt requested, as follows. Changes to these addresses shall be in writing. In additio� to formal
notification, both parties agrea to take reasonable measures to keep the other paiTy informed of issues or
questions regarding tlie Easement Property.
