This Easement is one of several Easements associated with the Grantor's development of its Proper[y as an apartment complex. This Easement will contain both a swale allowing storm water drainage, and a recreationai trail connecting the sidewalks at Jacktar Road and Soda Creek Road with the Winnebago County recreation traii adjoining the east boundary of Grantor's Properry. The Pedestrian component of this Easement ovill allow public access through the recreational trai! to be constructed and maintained by Grantor. The drainage component of this Easement will allow storm water originating outside Grantor's Property to drain through the swale to be constructed and maintained by Grantor. 2. MAP: The Grantor's Property will include severel new Easements related to iu development. A map reflecting the loc�tion of these Easements, ineJuding the "40' Pedestrian and Drainage EasemenY' granted in this Agreement, is �ttnched as Exhibit B and is fully incorporated in this Agreement. ACCESS RIGHTS: Grantee sh111 have the right to access nnd use tlte Easement Property for any purpose related to its Pedestrian Easement and/or its Drainage Easement including, without limitation, inspections, maintenance, and repairs. L� addition to accessing the Easement Property from adjoining public righ[s �f- way or Easements, Grantee will have the limited right ro access the Easement Property through certain other parts of the Grantor's Property described in Exhibit A. More specifically, Grrmtee may access the Easement Property by using the driveways, drive aisles, and parking areas of Grantor's apartment complex, provided such access not inirusive or materialty disruptive to Grantor's operation of the apaitment comples, and provided such access will minimize or prevent unnecessary damage or disruption of tlte use or surface of the Easement Property. Grantee's use of the aparhnent comples parking area or drive aisles for access sl�all no! restilt in the blockage or material obstruction of these areas wi[houf permissiai from tlie Grantor. USE FOR PEDESTRIAN ACCESS: Tlte Grantor agrees to build and maintain a 10 foot wide recreational trail tvithin the Easement Property consistent �vith the plans approved by Grantee. The recreational trail will connect with the public sidewalks in the Jlckfir Rond / Soda Creek Road right-of-way on Ihe west, nnd connect with the Winnebago Coiuity recreational trail on tlie easf. Grarttor agrees to allo�v the publie to travel across the recreational trail tlirough the Easemeut PropeeTy for all lawful purposes. Gr�tntee may enter and use the Easement Property for all la�vfiil purposes. USE FOR STORM WATER MANAGEMENT SYSTEM: Grantee shall have the riglit to use the Easemem Property for storm water drainage ns part of its mirnicipal storiv �vater management system. GraMOr shafl construct, at its cost, the City-approved swale ou the Easetnent Property. Afler the initi�l construction of the drain�ge swale, its ownership and maiatenance responsibilities shall remain with the Grantor. Grantee retaius the right to enter the property and inspect or survey the swale at any time it believes i� is appropriate to ensure the swale is functioning properly. 8. MAINTENANCE: Grmttor shall be responsible for maintaining, repairing, �nd replacing the surface of the Easemeut Property, inclucting Ihe drainage s�vnle. Grantee is not obligated, but mny nevertheless be involved in mainten�nce of the recreational tr�il and swale pursu�n[ to statutory nuthority, the Development Agreement entered into behveen Grantor and Grnntee, or through the :�uthority described in a separate stonn water operation and maintenaitce agree+neut. Although the recreational hail is not a sidewalk as defined by Municipal Code, the Grautee will treat it in the same m�nner as public sidewniks �vithin the righaof-way are treated to the extent that snow and ice removal notices aud actions are necessa�y, and bills for the snine are submitted to Grentor. In the case of emergency, Grantee will not be required to provide notice to Grantor prior to entering the property, but will provide notice to the Grantor within hvo business days oFany,vork being performed. Grantee ivilt notify Grantor ofany mainYenance th�t must be performed on Nie Easeroent Property as soai a practical after discovery. Grantee shall take all reasonable steps to encourege Grantor to fidfiq maintenance and repair responsibilities, but �vill uttimatety Bave ti�e discretion to perform any necessary maintenance and/or repnirs �vith sucli costs to be reimbursed by Grantor. ]NTERFERENCE WITH EASEMENT: Grantor, its heirs, agents, or assig��s, shall not interfere with Ihe Grantee's use of the Easement Property for public storm water drainage, or install or construct any new or additional stn�ctures, improvements, or landscaping witltin the Easement Property. Granror shall not place, pile, oc move snow or ice on the Easement Property. Prohibited new changes, structures, or improvetnents include, but are not limited to, temporary or penn�nent building structures, parking areas, slieds, change in elevations, vegetafion except grass, landscaping or fei�ces unless othenvise approved in tivriting by tha Oshkosh Board of Public Works. Grantor sha4 prompdy remove any objects, materials, or struchires which are not npproved, or which impede ttie Grantee's access and/or use of the Easement Property, m• �vhicti limit the capacity of the swale. Tlie Grantor shall take reasonabie steps to prevent third parties from interfering in any way with the use of the Easement Prope�Ty for stonn �vater drninage. ] 0. ENCROACHMENTS: Grantor shall have the right to encro�ch onto the Easement Property by constnicting surface improvements such as p�rking areas, drive uisles, and similar improvements as described on tite City-approved development site plan. Grantor shall have a limited right to cross and use the Easement Property for its underground, private water andlor sewer system upon approvaf by the Oshkosh Board of Public Works. The locations of Ihe underground encroachment(s) shall be limited to the areas identified as "Encroachment Area" on the map attached as EYhibit C. All encroachments shall be subordinate to Grantee's Easement rights as described in this Agreement. Escept for the surface encroaclunents approved througl� the development site plan, Grautee retaius the right to require the relocation or alteration Grantor's privata facilities, and such relocation or alteration shall be at Grantor's ecpense. 1 L USE OF EASEMENT BY OTHERS: The Grantor agrees thal the Grantee may temporarily assign its rights identified herein to any contractor, third pa�ty, or otlier person. Assignees must demonstrate to the Grantee that they have sufficient competence and must give adequate assurances Ihat any work to be perfonned in or aroimd tl�e Easement Property shall be conducted in a skilifiil manner. Assiguees must also protect tl�e Grantor's interest in the Easement PropeiTy to the same extent as if the Grantee was itself perfonning the ac�ivity. 12. DEFAULT: If either Granror or Grantee reasonably believes that the terms of this Easement have been breached, then �vritten notification of the alleged breach shall be delivered to die other party. Any pmty in breach shall have sixty (GO) days to cure any ach�al breacli or, if the breach canno[ reasonably be cured within fl�e 60-day period, take appropriate steps to materially comply with the paily's obligation to cure. Nohvithstanding the foregoing, the Grantee is entiHed to ei�sure the continuous proper functioning of its storm w�ter mnnagement system and pedestrian facililies without waitiug sixty (60) days. Grnntee may use its discretion to evaluTte any necessary maintenance and/or repairs, or any interference with a permitted use oFthe Easement Property, and take auy immediate re�sonable action withoul notice to ensure the proper functioniug of Grantee's storm water management system and pedestrian facilities. All costs and espenses incuned under such circumslances Aue to Grautor's breacl� or negligeuce shall be reimbursed by Grantor to Grantee within sixty (60) days of receipt of a bill for the same. 13. TEIti�1: This Easement it being granted in perpetuity for public purposes and uses, both current and fiihue, without regard to the Grantee's use of ihe Easement at auy parlicular [ime. All rights, title and privileges herein granted, including benefits and burAens, shall run with tlie land and shall be bindiug upon and inure ro the benefit of ihe Grantor and Grantee, their respective heirs, esecutors, administrators, successors, assigns, and legal representatives. 14. WAIVER: No delay or omission by any party to this Agreement in esercising any right or power arising out of any default under any of tl�e terms or conditions of Ihis Agreemeut shnll be construed as a waiver of tlie right or power. A waiver by a party of any of ihe obligations of the other paily shnll not be construed to be a waiver of any breach of any other terms or couditiotis of this Agreement. I5. INVALIDITY: If any tenn or condition of this Agreement, or the application of tliis Agreement to any person or circumstance, shall be invalid or unenforceable, the remainder of this Agreemenl, or the :fpplication of the te�m or coudition to persons or circumstances otl�er th�n those to �vhich it is held invalid or unenforceable, shall not be affected thereby, and each term and coi�ditiou shatl be valid and enforceable ro the fullest eYtent permilted by la�v. 16. NO THIRD PARTY BENEFICIARY: The terms of this Agreement are for the beuefit of tlte hvo parties identified, and it is uot the intention of either the Grantor or Grantee that oHier padies sl�all acquire any ri�hts to enforce or benefit from through this Agreement. MWi ICIPAL LIABTLITY: Nothing in this Agreement is intended as a wniver of the municipaliry's right or opportunity to rely upon or use the municipal limitations and immuuities contained within Wiscaisin la�v. Municip�l imnnmities and limitations include, but �re not limited to, Sections 3d5.05, 893.80, and 893.83, W isconsin Statutes. Such daivage limits, caps and immunities are intended to be preserved and applied, and are incorporated i��to this agreement and shall govern all disputes regardless of the underlying theory for relief, wheHier coniractuaf or othenvise, as they relate to the municipality and its agents, officers, and employees. I 8. FORCE MAJEURE: Neither Grantor nor Grautee shatl be in default under this Agreement if its failtu'e to perform is caused by any of tlie following events: act of God; fire; flood; severe storm; power outages; material shortages or unavailability or other delay in undertaking their responsibilities identified in this Agreement that do not result fi'om [he padies failure to maintain their property or facilities. L� order to claim relief uuder this Section, the other party must be notified in writing of the esistence of the event relied upon and the expected cessation or termination of that event. For the duration of mry valid Force Majeure event as defined by this Section, the affected party's performance shall be excused. However, the affected party is still required to take appropriate menns to minimize or remove the event causing Force Majeure and, witl�in the shortest possible time, adempt to resume performnnce of the obligation aflected by the event of Force Majeure. t9. GOVERNING LAW: This Agreemeut shal) be construed and enforced in accordance �viNi the latvs ofthe State of Wisconsin. Venue for any actiou regarding this Agreement shal( be the WinnebZgo County, Wisconsin, Circuit Cowt or, if a federal court action, then Ihe appropriate district and/or brauch within which Winnebago Co�mty is located. 20. NOTICES: Grantee shnll not be required to provide uotice prior to exercising any rights pursuant to the Easement Property and this Agreemen[, escept that Grantee will provide the on-site manager with advance notice of significant work [o be perfonned within Uie Easement Properry provided no emergency exists. Any notices rela�ed to a breach of this Agreement shall be in writing and delivered via certified mail, return receipt requested, ns follo�vs. Chaiiges to these addresses shall be in writing. In addition to formal notificltion, both parties agree to take rensonable measures ro keep �he otlier party infonned of issues or questions regarding Ihe Easement Prope�ty.
