Company, Grantor, and the CITY OF OSHKOSH, a municipal corporatic
Grantee, located in Winnebago County, Wisconsin.
IN CONSIDERATION of the sum of One Dollar ($1.00) and other good
and valuable consideration paid by the Grantee, the receipt of which is
hereby acknowledged, the Grantor, its successors and assigns, does hereby
give and grant unto the Grantee, its successors and assigns, and Grantee
accepts, a storm sewer easement under and through the land
hereinafter described.

PURPOSE: The Easement Property described in this
Agreement shall be used for public purposes benefitting Grantor's Properry, neighboring
propeRies, and the Grantee's municipal storm water management system This Easement is one of
several Easements associated with the Grantor's development of its Property as an apartment
complex. This Easement will allow the installation of storm water drainage pipes and
appurtenances which will be incorporated into the Grantee's municipal storm water management
system. A storm water overflow swale will also be constructed on the surface of the Easement
Property.
GRANTOR PROPERTY: T6e Easement Properry described herein is part of a larger Properry to
be developed which is located in the City of Oshkosh, Winnebago County, Wisconsin, and more
particularly described through the recorded Certified Survey Map as:
Grantor's Property Description attached as Exhibit A
3. EASEMENT PROPERTY: The 40 foot Storm Sewer and Drainage Easement granted in this
Agreement shall be over, under, and through Grantor's Property situated in the City of Oshkosh,
Winnebago County, Wisconsin, and more particularly described as follows (Easement Proper[y):

Commencing at the NoRhwest corner of Lot 1 of Certified Survey Map No. 6984,
recorded on July 29, 2015 in Volume 1 of CeRified Survey Maps, Page 6984,
as Document No. 1693496, recorded in the Register of Deeds Office, in and for,
Winnebago County, Wisconsin; thence N 89 ° 14' 22" E, 359.98 feet thence
N 00 ° 09' 32" W, 49.77 feet thence N 89 ° 16' 03" E, 480.00 feet thence
48.09 feet along a curve to the right having a radius of 80.00 feet and being subtended
by a 4737 foot chord bearing S 16 ° 29' S8" W, thence S 37 ° 54' 25" E, 70.08 feet;
thence S 00 ° 49' 03" E, 21636 feet thence N 89 ° 10' S7" E, 175.29 feet thence
S 00 ° 49' 07" E, 57.52 feet to the point of beginning ("POB"); thence
N 89 ° 48' 48" E, 211.11 feet thence S 00 ° 11' l3" E, 40.00 feet thence

MAP: The Grantor's Property will include several new Easements related to its development. A map
reflecting the location of these Easements, including the "40' Storm Sewer and Drainage EasemenY'
granted in this Agreement, is attached as Exhibit B and is fully incorporated in this Agreement.

5. ACCESS RIGHTS: Grantee shall have H�e right to access and use the Easement Propeity for its municipal
storm water management system. In uddition to accessing the Easement Properq� from adjoining
Ensements, Grantee will have the limited right to nccess the Easement Prope�Ty through certain other parts
of the Granror's Propeity described in Eshibit A. More specifically, Granlee may nccess Uie Easement
PropeiTy by using the drive�vays, drive aisles, and parking areas of Grantor's apartmen� complex, provided
such access not intnisive or materially disn�ptive to Grantor's operation of the aparhnent comples, and
provided such access will minimize or prevent unnecessary damage or disruption of the use or surface of
the Easeme�tt Property. Grantee's use of the aparhnent comples parking area or drive aisles for access sliall
not result in the blockage or material obstruction of these areas witl�out permission from the Grantor.
6. USE FOR STORM WATER MANAGEMENT SYSTEM: Grantee shall l�ave the right to use the
Easemeut Property as part of its municipal storrn water management system. The Grantor shall install, at its
cost, all stonn w:�ter drainage pipes aud �ppuitenances, and Arainage swale, as required by the Grantee.
After the initial installation and Grantee approval and acceptance of the storm water drainage pipes and
appurtenances, the ownership of such facilities �vithin the Easement Property shall transfer from the
Grantor to the Grantee. After the initi:�l installation and Grantee approval and aeceptance of the stam
�vnter drainage pipes ai�d appuKenances, Grantee shall assume mainten�nce and repair responsibilities for
N�ese facilities within the Easement Property except to the extenl that Grantor retains Warranty obligations
as described in the approved Civil Plans and in the 2015 Standard Speeificntions for the City of Oshkosh.
Afler construction and acceptance, Ihe Grantee sl�all have the right to use the Easement Property to access,
survey, Iay, cot�struct, use, operate, mai�ttain, repair, replace, relocate, anci/or remove the stonn water
drainlge pipes and appwtenances, including tnanholes, inlets, and/or otlter related surface features.
Grantee shnlf at all times retain the sole discretion related to the inst�llation and operation of its stonn water
facilities within tlie Ensement Property. Gantor shall construct and maintain, at its cost, the City-approved
drainage overflo�v s�vale on tlie surface on the Easement PropeiTy. After the initial consVuction of the
drainage s�vale, its ownership and maintenance responsibilities shall remain with the Grantor.
MAINTGNANCE: Grantee shall be responsible for maintnining, rep�iring, and replacing its mtmicipal
storm water management facilities incorpor�ted into tf�e Easement Property. Grantor shall be responsible
for maintaining surface of the Eflsement Property, including the drainage swale. Grantee shall notify
Grantor or tlte Properties' on-site ntanager no less thnn five (5) business days nrior ro performing any work
on the Easement Property. In the event of an emergency, Grnntee �vill not be required to provide notice to
GrTntor prior to perfonning the required work, but will provide notice to the Gruntor �vidiin hvo business
days of any work being performed. The Parties agree to work together to minimize the effects of any
maintenance or repairs that ivill disrupt the use o£any sidewaik, parking area, drive aisle, or other
commonly used improvement. In Il�e event that the surface of d�e Easement Property is damaged during
Gi.lntee's maintenance or repair activities, Uien the Grantee sUall repair any l�ard surfaces, including
parking areas and drive aisles located across the Easemeut Property, to a condition substantially similar to
the condition beFore the damage, and shall also grade and seed any grass are� disrupted or dnmaged by the
Grantee's use of the Easeme��t PropeiTy.
8. RJ"I'ERFERENCE WIT[�I EASEMENT: Grantor may construct or install parking and drive aisles,
structures, or landscaping identified on the City-approved development si[e plan. Grantor, its heirs, agents,
or assigns, sliall not interfere with Ihe Grantee's use of the Easement Property, or install or wnstruct any
new or additional shuctures, improvements, or landscaping. Grantor shall not place, pile, or move snow or
ice on ro tlie Ensement Property. Prohibited new changes, structures, or improvements include, but are not
limited to, temporary or permanent building structures, parking nreas, sheds, change in elevations,
vegetation e�cept grass, landscnping or fences unless othenvise approved in �vriting by the Oshkosh Board
of Public Works. Grantor shall promptly remove any objects, materials, or stn�chves whicl� are not
approved, or which impede the Granlee's access and/or use of ttte Eflsement Property, or which limit the
capacity of the Grantee's municipal storm �vater management system. If Grantor fails to remove these
materit�ls or objects, Grantee may remove them at Grantor's expense. The Gr�ntor shall take reasonable
steps to prevent diird parties from interfering in any �vay with the Grantee's use of this easement.

9. ENCROACFiMENTS: Grantor sliall hnve the right to encroach onto the Easemen[ Propedy by
constructing surface improvements such 1s parking areas, drive aisles, and similar improvements �s
described on the City-approved development site plan. Grantor sh:�ll have a limited right to cross and use
the E�sement Property For its undergrowtd, private �vater and/or sewer system upon approval by the
Oshkosh Board of Piiblic Works. The locations of the underground encroachment(s) shall be limited to tlie
areas identified as "Encroachmeut Area" on the map attached as Exhibit C. All encroachments shall be
subordinate to Grantee's Easemeut rights as described in diis Agreement. Except for the surface
encroachments approved through the development site p]an, Grantee retains tlie right to rec�uire the
relocation or alteration Grantor's private facilities, and such relocation or alteration shall be at Grantor's
expense.
10. USE OF EASEMENT BY OTHERS: Tlie Grvrtor agrees that the Grantee may temporarily assign the
construction and maintenauce rights identified herein to �ny contractor, third paity, or other person.
Assignees must demonstrate to the Grantee that they have sttfticient competence and mttst give adequate
assurances that any work to be performed in or around the Easement shall be conducted in a skillful
mannec Assignees must �Iso protect the Grantor's interest in the Easement Property to �he same este��t as
if the Grantee �vas itself perfonning the construction or meintenance.
1 L DE�AULT: If either Grantor or Grantee re�sonably believes tliat the terms of this Easement have been
breached, ihen written notification of Hie alleged breach shall be delivered ro the other party. Any party in
breach shall have sixty (60) days ro cure any actual breach or, if the breach cannot reasonably be cured
within Ihe 60-day period, take appropriate steps to materially comply with the party's obligation to cure.
Nonvithstanding the foregoing, the Grantee is entitled to enstu'e the continuous proper functioning of its
«tilities without waiting sixty (60) days. Grantee may use its discretion to evaluate any necessary
maintenance and/or iepairs, or any interference with a pennitted use of tlie Easement Property, and take any
immectiate reasonnble action wid�out notice to ensure the proper functioning of Grantee's utilities. All
costs nnd expenses incurred under sucli circinnstances due to Grantor's breach or negligence shall be
reimbursed by Grantor to Grantee within sixty (60) days of receipt of � bill for the same.
l2. TEIL�I: This Easement it being granted in perpetuiry for public purposes and uses, both civrent and tuture,
without regard lo the Grantee's use of the Easement at any paRicular time. All rights, title and privileges
herein granted, including benefits and burda��s, sliall run with the land and shall be bindii�g upon and inure
ro Nte benefit of the Grantor and Grantee, their respective heirs, executors, administrators, successors,
assigns, and legal representatives.
13. WAIVER: No delay ur umission by any party to this Agreement in exercising any right or power arising
ottt of any default under nny of the terms or conditions of tl�is Agreement shnl I be construed Ts a w�iver of
the right or powec A-waiver by a pa�Ty of 1ny of ihe obligations of tl�e other party shall no[ be construed to
be a waiver of any breach of any other terms or conditions of this Agreement.
14. INVAI,IDITY: If any tenn or condition of this Agreement, or tlie application of this Agreement to nny
person or circumstance, shall be invalid or tmenforceable, the remainder of this Agreement, or the
application of Ihe term or condition to persons or circumstances other thau those to which it is held iovalid
or unenforceable, sh�ll not be affected thereby, and each term and condition sh111 be valid and enforce�ble
to the fullest extent permitted by law.
l5. NO THIRD PARTY BENF.FICTARY: The tenns of this Agreement are for the benefit of the hvo parties
identified, and it is not the intention of either the Grantor or Grantee that other parties sl�nl] acquire any
rights to enforce or benefit from through this Agreement.
16. MUNICIPAL LIABILITY: Nothing in this Agreement is intended as a waiver of the mimicipality's riglit
or oppoitunity to rely upon or use the municipal limitations and immunities contained withii� Wisconsin
la�v. Municipat immunities and limitations include, but are not limited to, Sections 3d5A5, 893.80, and
Jime I5, 2015
893.83, Wisconsin S[ntutes. Such damage limiG, caps and immunities are iutended to be preserved and
applied, and are 'vicorparated into this agreement and shall govern all disputes regardless of the underlying
theory for relief, whether contrachial or otherwise, as they relTte to the municipality nnd its agents, ofHcers,
and employees.
17. FORCE MAJEURE: Neid�er Gran[or nor Grantee shall be in default imder this Agreement if its failure to
perform is caused by any of t(ie following events: act oFGod; fire; tlood; severe stonn; power outages;
material sliortages or unavailability or other delay in undertaking their responsibilities i<tentified in this
Agreement that do not result from the parties failure to maintlin their property or facilities. In order ro
claim relief under this Section, the other party must be notified in writing of the esistence of tl�e event
relied upon and tlie espected cessation or termination of that event. For the duration of any valid Force
Majeure event as defined by this Section, the affected p�rty's perfonnance shall be escused. However, tlie
affected paity is still required to take appropriate means to minimize or remove the event causing Force
Majeure and, �vithin the shortest possib(e time, attempt to resume perfonnance of the obliga[ion affected by
the event of Force Mnjeure.
18. GOVERNING LAW; This Agreement shnll be construed and enforced in accordance with the laws of the
State of Wisconsin. Venue for any action regarding this Agreement shall be tite Winnebago County,
Wisconsin, Circuit Court or, if a federal court action, then the approprinte district andlor branch within
which Winnebago County is located.
l9. NOT(CES: Grantee shall not be required to provide notice prior to exercising any rights pursu�nt to the
Easement Property �nd this Agreement, escept that Grintee will provide the on-site manager with advance
notice of significant work ro be performed within the Easement Propetly provided no eroergency exists.
Any notices rel�ted to a breach of this Agreement shall be in �vriting and delivered via certified mail, return
receipt requested, as follo�vs. Changes to these addresses shall be in writing. ]n addition to famal
notification, both paities agree to take reasonable measures to keep the oflier party informed of issues or
questions regnrding the Easement Property.
