PUR.'OSE: AGREEMENT BET'vIEEN CI'iY OF OSiiKOSH AND CHAMCO, INC.
INITIATED BY: DEP.ARTMENT OF ADMTNISTRATIOY
BE IT RESOLVED by the Common Council of the City of Oshkosh that the
proper city officials are hereby authorized and directed to enter into
the attached agreement with Chamco, Znc. for selling land in the South
Industrial Park, North Industrial Patk and SouChwest Industrial Park.

WHEREAS, che City of Oshtcosh ovns cextain Lands aiehin the corporate limits
of the City oF Oshkosh and desires to sell such lands for industrial develop-
ment; and
WFIEREAS, CHM[CO3 INC. is a non-profi[ Wiaconsin corporation inceresced in
the indus[rial development of the C{ry of Oshkvsh and having Che means and abili[y
[o work tovacd Che developmen[ of land indus[rially;

and CHAMCO, INC., hereinafter referred co as "CH.V�:CO", i¢ ordec [o work [ovards

1. That by these presents, for and in <onsideratioa of Ten Dollars ($10.00) .

does agree to hold until the thirty-first (31st) day of ➢e<ember, 1982, at 12:00 P.M.,
time being of the essence of this agreement, an option, subject to [he order of
CHAMCO to purchase all of [he premises owed by the City of Oshkosh know as and

aad price chereof, payable on delivery of a Warranty Deed by the City, subject,

chis Option shall be delivered to [he City Attorney of c6e Cicy of Oshkosh. The
purchase price a[[ached hezeto includes, Eor the Noc[h and Sou[h Induscrial Parks,
graded and graveled streets, sani[ary sewer and vacer mains and s[orm severs as
needed. The prices for [he Southvest Industrial Park includes graded and graveLed
s[ree[s, sani[ary severs, va[er main and gas main and starm severs as needed.

2. �AMCO, a non-profit otganiza[ion, agrees:
a. To attempC to wrk tovard [he industrial developmene of [he land
vhich is Che sub�ect maCter oF Chis agreement.
b. So sell land for use pecmitted in the M-ZOnea of the.City of
Oahkoah Zoning Ordinance, and as limiced by protective covenancs.
<. To adapc protective covenancs for lands sold hereunder. The cove-
nants for the Sou[hwest Zndustrial Park shall, Prior co adop[ion
by (93AMC0, be submitted [a [he City of Oshkosh for reviev. CH.V`fC0
shall monitor the enforcement of [hese covenante and if a breach
occurs which requizes nepurc6ase, then in chat eveat, CBAMCO �
st�all assign its right to repurchaee [o [he City of Oshkoeh.
3. 'Ihis agreement shall be texminable by either party by giving to the o[her
patty s1z (6) months vci[ten cwtice of its desire eo tesminate.
IN WITNESS WIiEAEOF, the City of Oahkosh, Uisconsin, and C9AMC0, INC. have
respectively caused this agreemenc to be duly executed on this _day oF

That in the Southwest Industxial Park, a11 parcels of land located
on Washburn Avenue and lying between Washburn Avenue and the East
property line of Bemis Specialty Films Company, and all parcels of
land fronting on State Highway 44 with a depth of 300' are not avail-
able for sale until such time as CHAMCO, INC. presents the City of
Oshkosh Common Council caith revised Protective Covenants and price
structure.
Not included as part of this exception is the property approved to
be sold to Roadway E�cpress, Iuc.

The City of Oshkosh reserves the right to reduce the prices herein established
for individual parcels for good and sufficient reasons as determined by said .
City. CH?.MCO, INC. shall have the righr to sell the properties which are the
subject matter of this Agreement and shall receive ten (10%) percent plus $250.00
per acre of the scheduled price for incidental expenses.
Should the City determine to sell land for less than the scheduled price, then
CHAMCO's ten percent (10%) shall be determined by the actual selling ptice.
The above schedule shall be in effect for calendar year 1982.
