Dear Mr. Davis,
AECOM Technical Services, Inc. (AECOM) is pleased to present this proposal for professional
environmental engineering services related to Modification of the Closure of the Voluntary Party
Liability Exemption (VPLE) for the Parcel H Site. The modification will include the construction of
the proposed Bank First National Facility. We understand the planned development will be a one
story, 8,000 square foot building, with at grade parking and three car drive through.
This proposal presents our understanding of this project, site knowledge, and previous VPLE
experience on this site. This proposal outlines our recommended scope of work and estimated fee
for obtaining a Modification to the existing VPLE for the site.
Proiect Understanding
The City of Oshkosh (City) is considering promoting site redevelopment by modifying an existing
VPLE. Certificate of Completion (COC) for Parcel H of the Marion/Pearl Redevelopment Area the
VPLE is a vital part of Brownfield redevelopment. AECOM has successfully assisted the City in
obtaining several VPLEs in the Marion/Pearl Redevelopment area, including the Parcel H Site.
Based on previous VPLE experience, we propose the following scope of work tasks:
Task A: Prepare a Lease Liability Clarification Request to WDNR
Task B: Prepare an Exhibit and Legal Description of the Site
Task C: Complete a Phase I Due Diligence Environmental Site Assessment (ESA) and Update the
Subsurface Exploration and Geotechnical Engineering Evaluation, dated August 27, 2009
Task D: Prepare a Groundwater/Soil Management Plan and Review Project Bidding Documents for
Compliance with Anticipated VPLE Requirements

This proposal assumes that the City will pay all WDNR fees associated with the VPLE COC
Mod ification.
Scope of Services
Task A: Prepare a Lease Liability Clarification Request to WDNR
AECOM will prepare a request for a lease liability clarification from the WDNR. This request is
required based on the developer's requirements. WDNR Form 4400-237 will be completed on
behalf of the developer and submitted to WDNR.
Deliverables:
AECOM will prepare and submit WDNR Form 4400-237 and required attachments. The City will
provide the $500 check for the WDNR review fee.
Task B: Prepare an Exhibit and Legal Description of the Site
AECOM will prepare a legal description and exhibit of the site based on the site layout figure, dated
December 1, 2014 by Hoffman Planning, Design 8 Construction Inc.
Deliverables:
AECOM will prepare one draft copy of the legal description and exhibit for review and comment. A
final copy will be submitted in PDF format.
Task C: Complete a Phase I Due Diligence Environmental Site Assessment (ESA) and
Update the Subsurface Exploration and Geotechnical Engineering Evaluation, dated August
27, 2009
Phase I Due DiliqenceESA
The Phase I ESA will be conducted in general accordance with the ASTM E-1527-13 standard.
AECOM's Phase I ESA will provide information as to the potential that a significant hazardous
material or petroleum hydrocarbon release may have occurred on or affected the Site. The Phase I
ESA will include the following tasks:
Site Reconnaissance and Interview — A visual reconnaissance will be conducted of the site.
AECOM will record observations of the presence or likely presence of conditions that indicate an
existing release, a past release, or a material threat of a release of hazardous substances or
petroleum products into structures on the Site or into the ground, groundwater, or surface water of
the Site. Where appropriate, AECOM will record the following observations during the walkthrough
of the Site:

• Site and area vegetation for environmental stress and other ecological disturbances.
• Site and area for surface features that would indicate filling, impoundments, underground
storage tanks, pipelines, wells or other surface penetrations.
Site for the presence of filling or mounding, pits, ponds, or lagoons.
Areas that are identified that use, treat, and store, dispose of, or generate hazardous
substances and petroleum products and review the status of past and current waste
generation and management practices at the Site.
Site and area electrical equipment (e.g., transformers) and substations, as well as labeling
that may indicate the owners, polychlorinated biphenyls (PCBs) status, and leakage. (Note:
fluorescent light ballasts will not be individually inspected for PCB-content.)
Potable water supply and/or on-site wells (including dry wells, irrigation wells, injection
wells, and other wells).
Wastewater treatment source and/or on-site septic systems.
General stormwater discharge routes into a drain, ditch, or receiving body of water on or
adjacentto the Site.
• Site for floor drains and sumps.
• Stained soil or pavement, including stains or corrosion on floors, walls, or ceiling, except for
staining from water.
• Waste handling areas or practices, chemical/industrial processing areas, and general
housekeeping practices.
AECOM assumes that we will liaise with a designated City representative to ensure proper
coordination and to answer questions or address concerns during our site visits. As part of the
reconnaissance activities, AECOM will make visual observations of immediately adjacent
neighboring facilities for potential environmental concerns, to the extent that such observations can
be made without entering the premises of the neighboring facilities.
Physical Setting Information — AECOM will establish the physical setting for Site by reviewing a
United States Geological Survey 7.5 Minute Topographic Map showing the areas on which that Site
are located. AECOM will review soil/hydrology and groundwater/ hydrology information to the
extent it is provided by the environmental database search company (Environmental Data
Resources) or in previously prepared reports provided by City.
Site History — AECOM will develop an understanding of the Site history. This may be accomplished
through interviews with City personnel and others identified by the City as familiar with the Site, a
review of locally available land use records, historical photographs, and topographic maps, etc.
AECOM will make reasonable attempts to interview individuals with specific knowledge of or
familiarity with the Site, to the extent that such knowledgeable individuals are identified by City or
identified during the course of other ESA activities, and that the information likely to be obtained is
not duplicative of information obtained from other sources. These individuals may be queried in
person, by telephone, or in writing. AECOM will review documents concerning past land uses,
including available site plans, records concerning past industrial and waste disposal practices, and
maps when provided by past and present facility owner(s)/occupant(s).

Agency Records Review — AECOM will order a site-specific environmental database report for the
Site. AECOM will review these reports to evaluate whether the Site or neighboring properties
(within a specified radius search distance from Site) are included on the ASTM-specified standard
and additional (e.g., local) environmental record sources (e.g., spills, landfills/dumps, leaking
underground storage tanks). Where appropriate, AECOM will contact state and/or local
governmental sources for relevant documents/file information concerning the Site and adjoining
properties. Freedom of Information Act requests will be made to the appropriate local and/or state
agencies requesting information relative to the Site. Files available at local agencies at the time of
the site visit will be reviewed, as time permits. These inquiries may include the following types of
governmental agencies:
Federal, State, tribal and local environmental solid and hazardous waste, wastewater
sections, etc;
Local fire department;
Local health/environmental department; and
Local agencies responsible for building and groundwater permits that document Activity and
Use Limitations, also referred to as Institutional Controls and Engineering Controls, for the
Site.
AECOM's records review will include those records that are readily available and reasonably
ascertainable per the ASTM standard.
Vapor Migration — AECOM will evaluate the potential for vapor migration (VM) to impact the Site as
required by the ASTM 1527-13 standard. VM is defined as the movement of volatile chemical
vapors in soil or groundwater. AECOM will not evaluate vapor intrusion which is defined as the
movement of volatile chemical vapors from a source in the subsurface (soil or groundwater) into the
indoor air of overlying buildings through cracks or other openings. AECOM will evaluate the
potential for VM lo impact the Site in general accordance with ASTM E2600-10, "Standard Guide for
Vapor Encroachment Screening on Property Involved in Real Estate Transactions" (Standard
Guide).
User Responsibilities — Per the ASTM standard, it is the report "user's" (i.e., City) responsibiliry to
perform certain tasks, which do not require the technical expertise of an EP and are generally not
performed by EPs conducting Phase I ESAs. Section 6.0 of the ASTM standard indicates that
"reasonably ascertainable recorded land title records and lien records that are filed under federal,
tribal, state, or local law should be reviewed to identify environmental liens (EL) or activity and use
limitation (AUL), if any, that are currently recorded against the property' and that "any
environmental liens or activity and use limitations so identified shall be reported to the
Environmental Professional (EP) conducting a Phase I ESA." If you have this information you are
required to provide it to the EP. If you do not have this information AECOM can conduct an EL and
AUL search for an additional fee. Attached for your completion is a User Questionnaire which will
assist you in communicating to AECOM the user-provided information.
Report Preparation — AECOM will compile and prepare a written report for the Site, documenting
the scope of our work activities and summarizing the results of our assessment. AECOM will
provide the City with a professional opinion as to the potential for there to be a significant on-site
contamination problem, and recommendations for further work, if any. The report will include a site

location map, site plan, representative site photographs, and supporting documentation, as
appropriate.
Update the Subsurtace Exploration and Geotechnical Enpineerinp Evaluation
AECOM will review the Subsurface Exploration and Geotechnical Engineering Evaluation dated
August 27, 2009 and updates it to include the proposed Bank First National facility. The report will
include our evaluation of the conditions encountered by the previous soil borings and provide
recommendations for foundation design and construction of the proposed bank facility. The report
will take into consideration known environmental site conditions. The report will be signed by a
Wisconsin registered Professional Engineer.
Deliverables:
AECOM will provide 2 hard copies and one electronic copy of the final Phase I ESA and updated
Subsurface Exploration and Geotechnical Engineering Evaluation reports.
Task D: Groundwater/Soil Management Plan and Update and Review Project Bidding
Documents for Compliance with Anticipated VPLE Requirements
AECOM will prepare a Groundwater/Soil Management Plan. This plan will be submitted to the
WDNR for review. We recommend the soil/groundwater management plan will become part of the
project construction documents
AECOM will also prepare a Sanitary Discharge Permit Application for disposal of the impacted
groundwater generated during construction. In addition, a groundwater and soil management plan
will be prepared for review by WDNR and incorporated into the contractor specifications.
AECOM will provide construction details and language for the construction documents to be sent to
the WDNR for review. We anticipate providing details or language related to trench plugs, vapor
mitigation, site capping, and soil/groundwater management. We recommend that the minimum 90%
project documents be sent to WDNR for review.
Deliverables:
AECOM will prepare a Soil/Groundwater Management Plan; Sanitary Discharge Permit Application
to be submitted to the City. In addition, details and language for project documents will be provided
to the City and Developer.
Task E: Interface with Wisconsin Department of Natural Resources (WDNR) Regulatory
Agency
AECOM will prepare correspondence summarizing pertinent details regarding the pursuit of the
Modified VPLE COC. These documents will be provided to WDNR for review and consideration.
We anticipate that six meetings with the team members will be required.
Deliverables:
AECOM will prepare memorandums, emails and meeting summaries as necessary throughout the
project and distribute to appropriate team members.

Task F: Provide On-site Documentation of Various Components during Site Construction
Activities Related to Environmental Issues and VPLE Compliance
AECOM will provide trained environmental field staff to document the construction of the
environmental components of the project. These components include, Soil Management,
Contaminated Groundwater Management, Underground Utilities, Vapor Mitigation, and Site
Capping.
Soil Manaqement:

We propose to have an AECOM representative on site to observe and identify the excavation areas
containing petroleum/solid waste impacted soil requiring disposal as based on the WDNR reviewed
Soil/Groundwater Management Plan. This will be accomplished through visual and olfactory
observations (sheen, petroleum product, stained soils, and petroleum odors), and field screening of
the soils excavated for obvious signs of contamination. The AECOM field staff will use a photo
ionization detector (PID) to field screen the excavated soils. PID field screening readings of
15 instrument units (equivalent to ppm) or higher will be considered contaminated and hauled to the
Valley Trail Facility. Nonpetroleum impacted fill soils/solid waste that can be reused for site fill will
be segregated and reused. Nonpetroleum impacted fill soils/solid waste deemed not usable as
backfill material will be hauled to the Valley Trail Facility for disposal. AECOM will prepare disposal
profiles for landfill acceptance.
The contaminated soil disposed of in a landfill requires manifesting, which needs a signature by an
authorized representative of the City of Oshkosh. To expedite the processing of the landfll profile
acceptance applications and soil removal activities for this project, the City of Oshkosh will delegate
authority to AECOM to sign the waste profile application and transportation manifests on behalf of
(acting as an agent for) the City of Oshkosh. It is understood that the City of Oshkosh will remain the
responsible partyfor all final decisions regarding management and disposal of contaminated materials
encountered during this project. By authorizing this proposal, the City of Oshkosh will also be
authorizing Paul F. Timm and his designees of AECOM to act as the authorized agent for the City of
Oshkosh for completing the waste profile and transportation manifests, as needed, to dispose the
contaminated soil under this contract.
Contaminated Groundwater Manaqement
We anticipate that groundwater removed from the project excavations will be collected and pumped
into the Oshkosh sanitary sewer system under the conditions,that will be provided in the temporary
discharge permit obtained by AECOM. AECOM proposes to be on site periodically to make sure
the contractor is discharging groundwater in accordance with the anticipated temporary discharge
permit. AECOM will record the discharge amount for billing purposes by the Oshkosh Sanitary
District.
Underqround Utilities
We anticipate utilities running through the solid waste fill and petroleum impacted areas could
create routes of less resistance for gases and liquids to migrate into and from the site. In
compliance with anticipated permit requirements, utilities entering and leaving the project area limits
will have a bentonite flow able fill trench plug. Trench plugs will be placed where the utility line

enters a structure and will completely surround the utility. AECOM proposes to document the
location, construction, and size of each trench plug.
Vapor Mitiqation
We anticipate a vapor barrier, minimum 15 mills in thickness, comprised of an impermeable liner
and passive venting system will be installed below structure slabs and foundations to prevent the
migration of moisture and vapors produced by the solid waste fill and/or petroleum impacts left in
place. This vapor barrier, consisting of a polyethylene (PE) geomembrane sealed at the seams,
provides a continuous barrier between the subsoil and floor slab. The passive venting system will
be comprised of perforated piping between the building foundations, floor slab, and subsoil.
AECOM proposes to document this barrier's installation.
Site Caopinq
AECOM will document the site capping components. These components include the paved parking
lot, lined storm water biofilters, fabric warning barrier under landscape areas, and building base slab.
Deliverables:
AECOM field notes will be summarized in the VPLE COC Application Report. In addition, a VPLE
check list will complete during the site work and be provided for review.
Task G: Prepare a WDNR Modification to Cap Report to Amend the VPLE Certification of
Completion
AECOM will prepare one draft COC Modification Request for review. The report will include all
pertinent feld data, laboratory, WDNR correspondence information and a request for COC. Final
review comments will be incorporated for submission to WDNR. Two copies will be provided to the

Terms and Conditions
Services described in this proposal will be performed on a time-and-expense/unit-cost basis. The
project services will be performed in accordance with the 2015 Negotiated Fee Schedule for various
elements of service we expect will be utilized providing the services outlined in this proposal. This
project will be complete per the negotiated April 2009 Negotiated Terms and Conditions.

execute the attached Authorization Form and return it to our Oshkosh office. If you have any
