APPROVE AGREEMENT FOR TRANSIT CENTER STUDY
CITY ADMINISTRATION
BE IT RESOLVED by the Common Council of the City of Oshkosh that
the proper City officials are hereby authorized and directed to enter into
the attached agreement with YARBRO-KEMPINGER ARCHITECTS, INC, for a Tasks
One and Two study of the Transit Facility for Oshkosh.
BE IT FURTHER RESOLVED that money for this purpose shall be appropriated
from Account No. 358-999 - UMTA Grant/WI 90-0008.

Mr. Frueh:
This letter is intended to serve as the Agreement between
the City of Oshkosh, Wisconsin and Yarbro-Kempinger
Architects, Inc. for Tasks One and Two for the Downtown
Transit Facility for Oshkosh. The Agreement for Tasks
Three and/or Four will be negotiated between the parties
when the scope of those tasks have been defined.
Tasks One and Two as originally stated in the City Request
for Proposals - Professional Services and Yarbro-Kempinger
�rchitect, Inc.'s Proposals of 16 September 1983 and
8 December 1983 have been re-de£ined to the following:
Task A- Economic and design feasibility of a doo.mtown
Transit facility to accommodate municipal buses.
Task B- Economic and design feasibility of an integrated
transit facility to accommodate municipal buses, inter-city
buses and taxi service.
Task C- Economic and design feasibility of an integrated
transit-commercial facility to accommodate municipal buses,
inter-city buses, taxi service and commercial space, either
leased or privately owned. �

St is understood that periodic meetings with the Citizens
Advisory Committee will be held to review progress, dis-
cuss findings, make intermediate decisions, determine
next efforts and generally control the project.
Gathered data will be reviewed and evaluated to determine
if it includes all required information necessary to make
decisions. If more data is required, it may be recommended
to the Committee that additional specialty consulting
services be secured.

of Direct Personnel Expense not to exceed
EIGHTEEN THOUSAND THREE HUNDRED
AND NO/100THS DOLLARS ($18,300.00)
Charges will be based on the Direct Personnel Expense in
effect during the time period for which the billing is
submitted. The multiple cvill be 2.5 for Yarbro-Kempinger,
Bocaen Williamson Zimmerman, FtNTB and the employees of eacli.

Specialty Consultant Charges will be a Multiple of
1.15 times the amount billed to the Architect for such
services. Such services, provided when authorized by
the City would constitute additional services at add-
itional compensation as would be determined by the parties.
Payment shall be monthly on statements submitted by
Yarbro-Kempinger Architects, Inc.
If this Letter Agreement is acceptable, please sign all
copies and return one to Yarbro-Kempinger's office.
