RESOLUTION # 14 THIS AGREE.*TEATT made and entered into this day of , 1984, by and between the City of Oshkosh, Wisconsin, a municipal corporation, hereir.- after called "City'"and Evangelical Lutheran Zion Church, Inc., 400 N. Sawyer StreP*, Oshkosh, Wisconsin, hereinafter referred to as "Eldercare", an adult day care service. kIT'.vESSETH: i. The Cicy shali: Provide funding for a one-year period for an amount of $6,000.00 to Eldercare for the purpose of staff and salary supplementation. Funding for the period of 12 months, 1 July, 1984 to 30 J�ne, 1985 shall be paid with the 1984 allocation of Co�unity Development Slock Grant funds. Funds to be released in one lu�p sum upon presentation of a Proposed Eldercare Budget for the time period mentioned above. 2. Eldercare agrees: A. To provi� an adult day-care service whereby it will pro- vide non-medical care during the day to isolated moder- ately handicapped older Oshkosh persons at its facility located at 1150 VanBuren Avenue, Oshkosh. B. To provide services at reasonable rates with admission preference given to moderate-to-low-income families at rates not to exceed $18.00 for a full day or $l0.0o for a half day and such fees will include the cost related to the prevision of nea�s and snacks. C. To prvide admission and employment that does not discriminate against individuals based on religion, sex, race, or national origin. D. To provide a financial zeport of Eldercare covering the contract services 90 days after the close of the contract period. ' E. To provide, at a minimum, the following services: nutrition - services, recreational activities, socialization, rest facili- ties, and services that are consistent vith applicable federal, state and city lav. - 18a - RESOLUTION # 14 .. J / INSURANCE: FINANCIAL RESPONSIBILIT'L i A. Eldercare agrees to and does hereby hold the City harmless and does hereby indemnify the City against any claims or demands of any person arising by reason of Eldercare's operation of said services. B. Eldercare shall carry the required workmen's compensation insurance, property damage insurance of not less than $5,000 coverage per occurrence and bodily injury liability insurance of $150,000 coverage per occurrence. C. Eldercare shall require that any claims arising from said operations shall be handled by Eldercare or its insurance carrier and said parties shall defend the City in any litigation arising from such claims, and pay any judgments obtained in any such litigation. PERMITS AND LICENSES Eldercare shall obtain and pay for all required permits and licenses in its operation of the service. AMENDMENT TO THE CONTRACT Whenever either the City or Eldercare are unable to meet their full respon- sibility under the terms of this A�greement, ac}justments to this Agree- ment may be mutually agreed upon. HUD RESPONSIBILITY Funds to be provided by the City have been received from the Housing and Urban Development Department. Eldercare further agrees to provide and maintain any and all documents required by the Federal regulations.
