Dear Mr. Rohloff:
This is to inform you that the Department of Defense—Office of Economic Adjustment (DoD-
OEA) has approved our request to amend the Grant Agreement for the above identified grant
to reflect the additional work in Project 3- the Regional Aviation/Aerospace Business Cluster
Development & Planning Assistance component.
Attached are copies of the updated scope of work for Project 3, as well as the updated Budget
Justification for those items. Since the submittal and approval of the supplemental funding,
the City of Oshkosh, in consultation with the Aviation Development Committee, has decided to
terminate its contract with Explorer Solutions. In doing so, a task order change will be made to
the existing contract between the City of Oshkosh and the Greater Oshkosh Economic
Development Corporation (GOEDC) to finish the remaining work, with the assistance of
Elizabeth Hartman. All other items, conditions, and requirements of the current grant
agreement remain in effect. If the provisions in the attachments are acceptable, please sign
the "AgreemenY' page and return the document at your earliest convenience.

Attachment B: UPDATED PROJECT 3 SCOPE OF WORK
Scope of Work
Summary
No change the existing grant period is requested. The changes to the approved
scope of work are for Project 3—the Regional Aviation/Aerospace Business Cluster
Development & Planning Assistance component.

(Project) 3. Regional Aviation/Aerospace Business Cluster Development & Planning
Assistance
Background: The City of Oshkosh, Winnebago County, Fond du Lac County,
Outagamie County, Waupaca County and City of Waupaca formed a management
working group for the procurement by the City of Oshkosh of a consultant to
conduct a Regional Aviation/Aerospace Business Cluster Development Plan. This
plan assesses airport facilities and communities in these areas which have the
shared strategic goal of developing a business cluster focused on aviation/aerospace
related businesses centering around Oshkosh's Wittman Regional Airport as the
lead community. This procurement resulted in the selection of the firm Explorer
Solutions to undertake this activity.
Current OEA funding supports a strategy and process to realize the actual regional
aerospace cluster. The development of such a business cluster provides
opportunities for impacted Oshkosh Corporation (OC) suppliers to diversify and
expand their markets, thereby offering a strong opportunity to replace jobs lost
from the defense sector in the Oshkosh region. ORD1D1 Project 6, Manufacturing
Outreach and Assistance, is providing impacted OC supp]iers with the ability to
support this sector and potentially access the regional aviation/aerospace cluster as
a new marlcet.
Project 3 partners include UW-Oshkosh's AeroInnovate, Wisconsin Manufacturing
Extension Partnership (WMEP), the Wisconsin Economic Development Corporation
(WEDC) and the WI Aerospace Consortium.
Current Project Status: The contractor for the Regional Aviation/Aerospace
Business Cluster Development Plan has identified several promising niches that the
region may pursue critical to the aerospace sector. The approved scope and contract
for this effort specifies that the region will select only one of those niches for the
contractor to pursue with regard to the development of plans and strategies to
stand-up such a regional cluster.
Supplemental Request: This request is for authorization and funding to add one
additional niche to the final plan being developed. Based on the assets of the three
current airports and one additional airport participating in the effort, the Phase 1
study (i.e., identifying possible aviation / aerospace niches based on an assessment
of existing regional strengths) identified four niches, each with different constraints.
After review of the region's current resources, the committee determined that
pursuing one niche in the short term and one niche in the long term would provide
the most value and would likely lead to the realization of a viable regional aerospace
cluster.
The committee recommended the addition of Green Bay's Austin Straubel
International Airport due to its close proximity to the current region and
competitive advantages that will strengthen the overall study and provide
opportunities for the participating airports to collaborate. This request would better
incorporate the Austin Straubel International Airport region into the Maintenance,
Repair and Overhaul and Additive Manufacturing niches detailed in the short and
long term strategy be]ow. This addition will not duplicate the focus groups and
interviews conducted during the summer of 2014 for the current three airports.
A Short- and Long-Term Strategy: The airports participating in the effort (and the
clusters that reside immediately around them) already have capacity and resources
that could support the development of a Maintenance, Repair and Overhaul (MRO).
The draft Phase 1 study suggests this option has good market potential and would
be quicker to realize since it relies on pulling together resources already available
within the region.
Building on the region's strength in advanced manufacturing—and specifically the
use of additive manufacturing by the aerospace industry—the draft Phase 1 study
also identified a regional niche in Additive Manufacturing. Development of that
niche is more likely to yield higher market potential and overall economic impact.
However, it would also require more regional investment and coordination-
collaboration.
Phase 2 of the study will be the creation of plans and other materials to support the
focus niches chosen by the region. The contractor is currently preparing work for a
Phase 2 effort supporting a long-term strategy centered on an Additive
Manufacturing niche catering to MRO and general aerospace activities clustered
around all four airports. The proposed request for supplemental funding is to add
the second aviation/aerospace niche centered on the short-term strategy of
Maintenance, Repair and Overhaul (MRO).
Modified Phase 2 Scope:
The existing Project 3 scope will be modified to add the following:
• Addition of a second market sector niche resulting from Phase 1 of the study
to be carried to Phase 2.
• Additional work to define and document the roles and responsibilities of the
various partners in this regional effort including: Outagamie County,
Winnebago County, Fond du Lac County, the City of Oshkosh, UW-Oshkosh,
Aerolnnovate and potentially the Wisconsin Economic Development
Corporation (WEDC) and the Greater Oshkosh Economic Development
Corporation (GO-EDC).
o This work is necessary to ensure all partners have a clear
understanding of each of their roles in implementing the consultanYs
recommendations and realizing the regional aerospace cluster.
Recommendation by the contractor of a financial management strategy to
fund cost components for the 2 aerospace niches.
o Each regiona] partner will be making financial and other resource
contributions towards programming and facilities that are key
components to realizing the cluster.
o It is anticipated that the work done to construct and document this
regional partnership could potentially serve as a model for other
collaborative projects in the region.
Prior approval from OEA for the City of Oshkosh to designate hours from
other City staff or subcontract for the preparation of legal documents that
may be necessary to formalize roles and relationships in support of this
activity and provide general support to the consultanYs study efforts.
o No additional funding is requested to support this work, but the City
asks that it be permitted to use non-federa] match funds approved as
part of the original award in the Salaries and Fringe SF424 budget
categories to allocate for this work.
Procurement: The City of Oshkosh and the contractor, Explorer Solutions,
negotiated a price of $120,000 to add the MRO niche to the study for the current
three airports and a price of $35,000 to add Austin Straubel [nternational Airport.
An additional 91% in matching funds ($15,500 total) will be provided: $8,000 from
in-kind Oshkosh salaries; $4,000 cash from Winnebago County airport; and $3,500
cash from Brown County.
All procurements with OEA grant funds will be in accordance with applicable State
and ]ocal laws and regulations, and applicable Federal laws and regulations,
including compliance with the procurement standards in CFR32 Part 33, Uniform
Administrative Requirement for Grants and cooperative agreements to State and
Local Governments. Contractor selection criteria (including cost) will be included in
any RFP that is issued.
Attachment C: UPDATED BUDJECT JUSTIFICATION
Budget Justification
The detail provided below reflects only what has changed and why since the
approval of the original grant budget and first supplemental funding budget.
Personnel; Net Change in Budget (Federal: $0/ Non-federal: $8,769)
Several City of Oshkosh staff are anticipated to provide staff hours towards the
aerospace effort study. These positions will undertake activities that include:
monthly meeting coordination and minute taking, agenda preparation, document
distribution, and other administrative time as required. Please see the attached
budget for detail on the estimation of hours and wage per week anticipated for this
additional City of Oshkosh non-federal match activities.
Change to Grant Key Personnel: This amendment requests that the key position
designated for the grant change from Ms. Katherine Ahlquist to Mr. Eric Fowle.
Fringe: (Federal: $0/ Non-federal: $6,731)
Please see the attached budget for detail on the estimation of additional fringe costs
anticipated for this additional City of Oshkosh non-federal match activities.
Contractual: (Federal: $188,798 / Non-federal: $3,380)

$0)
Procurement: Sub-award to the City of Oshkosh [Status: Contracted]
Supplemental Request: Please refer to the attached scope of work for more
information on this supplemental request. The cost negotiated for the additional
niche is $120,000 and is based on the original price contracted between the City of
Oshkosh and the Explorer Solutions for Phase 2 of the study.
Additional funding is also being requested to incorporate Green Bay's Austin
Straubel International Airport into the MRO and Additive Manufacturing niches. The
cost negotiated between the City of Oshkosh and Explorer Solutions to add the
additional airport is $35,000.
