HomeMy WebLinkAbout34049 / 86-232� A August 7, 1986 # 23� RESOLUTION (CARRIED LOST LAID OVER WITHDRAWN ) PURPOSE: AGREEMENT WITH GRAND OPERA HOUSE GUILD INITIATED BY: CITY ADMINISTRATION BE IT RESOLVED by the Common Council of the City o£ Oshkosh that the attached Agreement with the Grand Opera House Guild regarding concessions at the Grand Opera House, is hereby approved. - 19 - � SQBMITTED BY � �� �--��"` � .��__� ' �PF?;G`IF,7 ' r RESOLUTION # 232 A G R E E M E N T THIS AGREEMENT is made as of this day of 1986, between the CITY OF OSHKOSH, Wisconsin ("City") and the Grand Opera House Guild, a Wisconsin not-for-profit corporation ("Guild"), as follows: RECITATIONS 1. The City, a Wisconsin municipal corporation, owns the Grand Opera House. 2. The Guild is a Wisconsin not-for-profit corporation, organized to assist the City in the operation of the Grand Opera House. 3. The Ad-Hoc Committee for the Opening of the Grand Opera House has prepared the presentation of "The Bohemian Girl" for October 3 through Octobet 11, 1986. AGREEMENTS 1. The Guild shall have the exclusive right of concessions for all events held at the Grand Opera House and shall return to the City ninety percent (90$) of all profits from such food and beverage COnCESSiGiiS LG 52 uS23 fCL vy����IRy^ ��� G�ar.3 Opera �6U5°. 2. The Guild shall be responsible for all front-of-house management activities for all events held at the Grand Opera House and may retain all monies generated by such activities. 3. In addition to the foregoing, the Guild shall return to the City, to be used for Grand Opera House purposes, ninety- five percent (95€) of all profit of all monies generated by the 1-19a- � RESOLUTION # 232 production of "The Bohemian Girl" during October 3 through October 11, 1986. The Guild wi11 also cooperate with the Ad-Hoc Committee in the presentation of "The Bohemian Girl" and shall approve payment of all invoices submitted by the Ad-Hoc Committee as indicated on the proposed budget attached hereto as Exhibit "A" and fully incorporated herein. 4. The Guild shall file quarterly reports with the City reporting on all concession income taking place during the previous quarter. Such reports are due January 2, April 1, July 1, and October 1, 1987, with a payment from the profits of said concessions. 5. The Guild shall fiie with the City an audited financial statement and report of all events and activities upon the termination of this Aqreement, December 31, 1987, with a payment from the profits of concessians as specified in paragraph 1 above. 6. In the event the Guild has cash-on-hand which exceeds Twenty-five Thousand Dollars ($25,000.00) from any revenue source, the Guild shall immediately transfer to the City such sums which exceed said amount. Such excess shall be used for Grand Opera House purposes. 7. This agreement shall take effect on October •1, 1986, and shall expire on December 31, 1987, except that either party may terminate this agreement upon submitting written notice at least sixty (60) days prior to such termination. Notice for the City shall be to the City Manager, and notice for the Guild shall be to the Guild President. - 19b - B RESOLUTION # 232 8. The Guild shall not employ any permanent, full-time employees. 9. If at any time during a calendar year, the income to the City under provisions of paragraph 1 and 3 above and from the rental of the Grand Opera House to outside groups should exceed $56,000.00, all income from concessions may be retained by the Guild subject to the provisions of paragraph 6. IN WZTNESS WHEREOF, the parties hereto have executed or caused this Aqreement to be executed by their officers thereunto duly author- ized, all as of the day and year first above written.
