PURPOSE: APPROVE 2 AMENDMENT TO INTERGOVERNMENTAL
AGREEMENT WITH EAST CENTRAL WISCONSIN REGIONAL
PLANNING COMMISSION FOR DEPARTMENT OF DEFENSE
OFFICE OF ECONOMIC ADJUSTMENT GRANT FUNDS FOR
REGIONAL AVIATION/AEROSPACE BUSINESS CLUSTER
INITIATED BY: COMMUNITY DEVELOPMENT
WHEREAS, the City of Oshkosh previously entered into an Intergovernmental
Agreement with East Central Wisconsin Regional Planning Commission (ECWRPC) to
receive a grant from the Department of Defense Office of Economic Adjustment (DoD-
OEA) to explore ways to respond to layoffs in the region and better diversify the regional
economy; and
WHEREAS, the Scope of Work for said grant included a subaward to the City of
Oshkosh to prepare an Aviation/Aerospace Business Cluster Study and Aviation Business
Park Development in cooperation with other regional partners; and
WHEREAS, ECWRPC has been awarded additional funds from DOD-OEA and
ECWRPC has awarded the City additional funds to include Wittman Regional Airport and
Austin Straubel International Airport in the Aviation/Aerospace Business Cluster Study, as
well as, Greater Oshkosh Economic Development Corporation identifying
aviation/aerospace cluster workforce needs and gaps and developing a strategy to meet
those needs/fill gaps for the Clusters; and

WHEREAS, a 2 Amendment to the Intergovernmental Agreement between
ECWRPC and the City must be approved for the City to receive the additional DoD-OEA
grant funds from East Central to cover said costs.
NOW, THEREFORE, BE IT RESOLVED by the Common Council of the City of
Oshkosh that the proper City officials are hereby authorized to enter into a revised
intergovernmental agreement with East Central Wisconsin Regional Planning
Commission, in substantially the same form as attached hereto, any changes in the
execution copy being approved by their respective signatures, and take those steps
necessary to implement said agreement.

BACKGROUND
In March, 2013, the City of Oshkosh and Winnebago County partnered to purchase 80 acres
of land for the Aviation Business Park (TID #26). Working with East Central Wisconsin
Regional Planning Commission, Winnebago County and Chamco, the City was awarded
$451,000 in grants from the Department of Defense (DoD) to further plan, develop and
market an Aerospace and Aviation market niche that best fits with Oshkosh and Wittman
Field.
DoD has provided additional funding to add Austin Straubel Airport to the Aerospace/Aviation
Cluster study and a second niche for long-term, additive manufacturing. Two additional
agreements with each airport would fund part of the 10% matching funds necessary for the
DoD funding. City staff time will count as the balance of the match.
ANALYSIS
The DoD and ECWRPC have a grent agreement (with ECWRPC as the grant awardee) that I
works as a master agreement for 6 projects that will be undertaken as part of the DoD grant.
The Aviation Study and Aviation Business Park is one of those projects. ECWRPC has �
drafted the attached revised Task Order so that it can serve as a pass-through of the ���
additional $155,000 in grant funds to the City. This agreement also passes to the City the ,
responsibility for performing the elements of Aviation Study and Aviation Business Park. The
two partner airports are providing $7,500 in matching funds for the Aviation Study that will
fund staff time from City. No City funds are required for the DoD's requirement for matching
grantfunds.
The Aviation Study project will be completed by December 31, 2015. The DoD grant will also
terminate in December, 2015. It is planned that additional funding for 2016 and 2017 could
also be obtained by the City and its economic development partners for implementation of the
regional Aviation Cluster Study.
The result of these actions will create a regional, complementary aviation clusters approach
for all four airports, both in the short term with Maintenance Repair and Overhaul (MRO) and
long term with Additive Manufacturing and promote private development in the Oshkosh
Aviation Business Park.
The project is an example of collaboration in economic development that will help diversify
our economy, provide more job opportunities to residents, and provide more business
development opportunities to existing manufacturers.

terminate its contract with Explorer Solutions. In doing so,a[ask order change will be made to

Development Corporation (GOEDC)to finish the remaining work,with the assis[ance of
Eliza6eth Hartman. All other items,conditions,and requirementsof the currentgran[

Assistance
Background:The City of Oshkosh,Winnebago County,Fond du Lac County,
Outagamie County,Waupaca County and City of Waupaca formed a management
working group for the procurement by the City of Oshkosh of a consultant to
conduct a Regiona]Aviation/Aerospace Business Cluster Deve]opment Platt.This
plan assesses airport facilities and communities in these areas which have the
shared strategic goa]of developing a business clusier focused on aviation/aerospace
related businesses centering around Oshkosh's Wittman Regional Airport as the
lead community.This procurement resulted in[he selection of the firm Explorer
Solutions to undertake this activity.
Current OEA funding supports a strategy and process to realize[he actual regional
aerospace dustec The development of such a business dus[er provides
opportunitles for impacted Oshkosh Corporation (OCJ suppliers ro diversify and
expand their markets,thereby offering a strong opportunity to replace jobs lost
From the defense sector in the Oshkosh region. ORDIDI Project 6,Manufacturing
Outreach and Assistance,is providing impacted OC suppliers with the ability to -
support this sector and potentially access the regional aviation/aerospare cluster as
a new market.
Project 3 pazfiers include LlW-Oshkosh's AeroInnovate,Wisconsin Manufactwing
Extension Partnership(WMEP),the Wisconsin Economic Development Coxporation
(WEDC) and the WI Aerospace Consortiwn.
Current Project Status:The contractor for Che Regional Aviation/Aerospace
Business Cluster Development Plan has identlfied several promising niches that the
region may pursue critical [o the aerospace sector.The approved scope and contrac[
for this effort specifies that the region wi11 select only one of those niches for the
contractor to pursue with regard to[he development of plans and strategies to
stand-up such a regional cluster.
Supplemental Request:This request is for authorization and funding to add one
additiona] niche to the final p]an being developed.Based on the assets of the three
current airports and one additional airport participating in the effort,the Phase 1
study (i.e., identifying possible aviation/aerospace niches based on an assessment
of exis[ing regional strengths) identiAed four niches,each with different constraints.
After review of the region's current resources, the committee determined that
pursuing one niche in the short term and one niche in the long term would provide
. the most value and would likely lead to the realization of a viable regional aerospace
cluster.
The committee recommended the addition of Green Ba}%s Austin Straubel
International Airport due Co its dose proximity to the current region and
competitive advantages that wi➢strengthen the overal]study and provide
opportunities for the par[icipating airpores to collaborate.This request would better
incorporate the Austin SVaubel Internatlonal Airport region into the Maintenance,
Repair and Overhaul and Additive Manufacturing niches detailed in the short and
long term strategy below.This additlon will not duplica[e the focus groups artd
interviews conducted during the summer of 2014 for the current three airports.
A Short-and Long-Ternt Strategy:The airports participating in the effort(and the
clusters that reside immediately around them) already have capacity and resources
that could support the development of a Maintenance,Repair and Overhaul (MRO).
The draft Phase 1 study suggests this option has good market potential and would
be quicker to realize since it relies on pulling together resources already available
within the region.
Building on the region's svength in advanced manufacturing—and specifically the
use of additive manufacturing by the aerospace industry—the drafr Phase 1 study
also identlfied a regional niche in Additive Manufacturing. Development ofthat
niche is more likely to yield higher market potential and overall economic impact.
However,it would also require more regional investment and coordinaiion-
collaboretion.
Phase Z ofthe study will be the creation of plans and other materials to support the
focus niches chosen by the region.The contractor is currently preparing work for a
Phase 2 effort supporting a long-term strategy centered on an Additive
Manufacturing niche catering to MRO and general aerospace activities clustered
around all four airports.The proposed request for supplemental funding is[o add
the second aviation/aerospace niche centered on the short-term strategy of
Main[enance, Repair and Overhaul (MRO).
Modified Phase 2 Scope:
The existing Projec[3 scope will be.modified to add the following:
• Addi[ion of a second market sector niche resulting from Phase 1 of the study
to be carried to Phase 2.
• Additional workto define and documentthe roles and responsibilitles ofthe
various partners in this regional effort including: Outagamie County,
Winnebago County, Fond du Lac County,the City of Oshkosh,UW-Oshkosh,
Aerolnnova[e and po[entiallythe Wisconsin Eronomic Development
Corporation (4VEDC) and ihe Greater Oshkosh Economic Development
Corporatlon (GO-EDC).
o This work is necessary to ensure all partners have a dear
understanding of each of[heir roles in implementSng the consultanYs
recommendations and realizing the regional aerospace cluster.
. Recommendatlon by the contractor of a financia] management strategy to
fund cost components for the 2 aerospace niches.
o Each regional par[ner will be making finantial and other resource
� contributlons towards programming and facilities[hat are key
components to realizing[he duster.
o If is anticipated that the work done to construct and document this
regional paztnership could potentially serve as a model for other
colla6orative projects in the region.
. Prior approva] &om OEA for the City of Oshkosh to designate hours from
other City staff or su6contract for the preparetion of lega]documents that
may 6e necessary to formalize roles and relationships in support of this
activity and provide general support to the mnsultanYs study efforts.
o No additional funding is requested [o suppor[this work,but the City
asks that it be permitted ro use non-federal match Ponds approved as
part of the original award in the Salaries and Fringe SF424 budget
categories to allocate for this work.
Procurement: The City of Oshkosh and[he contractor, Explorer Solutions,
negotiated a price of$120,OOD to add the MRO niche to the study for the current
[hree airports and a price of$35,000 m add Austin Straubel International Airport.
An addltional 9.1%in matching funds ($15,500 total)will be provided:$8,000 from
in-kind Oshkosh salaries; $4,000 cash from Winnebago Countyairport;and$3,500
cash from Brown County.
AI]procurements with OEA grant funds will be in accordance with applicable State
and local laws and regulatlons,and applicable Federal laws and regulatlons,
including compliance with the procurement standards in CFR32 Part 33,Uniform
Administrative Requirement for Grants and cooperative agreements to Sta[e and
Local Governments. Contractor selectlon criteria (including cost)wil]be included in
any RFP that is issued.

Budget Justification
The detail provided below reflects only what has changed and why since the
approval of the original grant budget and first supplemental funding budget.
Personnel: Net Change in Budget(Federal: $0/ Non-federal: $8,769)
Several City of Oshkosh staff are anticipated to provide staff hours towards the
aerospace effort study.These positions wil]undertake activities that include:
monthly meeting coordination and minute taking, agenda preparation, document
distribution, and other administrative time as required. Please see the attached
budget for detail on the estlmation of hours and wage per week anticipated for this
additiona] City of Oshkosh non-federal match activities.
Change to Grant Key Personnel:This amendmen[requests that the key position
designa[ed for the grant change from Ms.Katherine Ahlquist to Mc Eric Fowle.
Fringe: (Federai: $0/Non-federal: $6,731)
Please see the attached budget for detail on the estimation of additional fringe costs
anticipated for this additional City of Oshkosh non-federal match activi[ies.
