PURPOSE: APPROVE AGREEMENT WITH OSHKOSH AREA SCHOOL �ISTRICT--
DATA PROCESSING CONSORTIUM AGREEMENT
INITIATED BY: City Administration
BE IT RESOLVED by the Common Council of the City of Oshkosh that the
attached agreement between the City of Oshkosh and the Oshkosh School District
regarding data processing expenses is hereby approved and the proper City
officials are hereby authorized and directed to enter into same.
BE IT FURiHER RESOLVED that money for this purpose is hereby appropriated
from:

Acct. No. 007-540 -- Collections & Accounting, Machine Rental
Acct. No. 011-540 -- Data Processing, Machine Renta]
Acct. No. 023-540 -- Fire - Machine Rental
Acct. No. 717-970 -- Parking Utility - Computer Service
Acct. No. 892-300 -- Water Utility - Outside Services Employed
Acct. No. 950-495 -- Sewer Utility - Misc. 6illing Expense

THIS AGREEMENT, made and entered into ihis day of
1988, by and between the CITY OF OSHKOSH, a State of Wisconsin municipal wrporation,
hereinafler called "City,' and OSHKOSH AREA SCHOOL DISTRICT (Unitied), hereinafler called
"School'
WHEREAS, Wisconsin Statutes. Section 66.30, authorizes municipalities to enter into
govemment contracts ro provide services authorized by Wisconsin Stawtes, and
WHEREAS, it is mutually beneficiai tor tne City antl ihe School to enter into an
agreemam to take advamage ot volume supply purchasing, equipmeM pumhasing ascoums,
reciprocal recovery sites, and the sharing of technical expertise, and
WHEREAS, the governing bodies of the Ciry and School have duly adopted resolmions
authorizing ihe execution of ihis Agreement,
NOW,THEREFORE, BE IT RESOLVED that the Ciry and the School for and in consideration
ot mutual covenants and undenakings herein contained do agree to as tollows:
A Cooperative Purchasina
Either parry may purchase supplies/materials and equipment through each other's
individual vendor accounts provided that remittance of said expenses is timely.
B. Ezpense Reimbursemenis -Night Computer Operator
The City agrees to reimburse the School on a monthly basis for any and all stafl
costs paid by the School on behalt oi ihe hours worked by the Computer Operator
pertorming City duties. Time sheets shall be submitted to the School Business
Office on a bi-weekly basis. .
G Transfer ef Title -
Title to the computer equipment listed in Schedule A shall be transferred to the
School Disirict without reimbursement to the City eflective May 1, 1988.
D. Svstem SoNware
1 . The School District and the City will share the sohware copyricht costs for
the V-site �second site) equalty (50/50).
2. The School District and the City will share the anrual cost of the current
sofiware support agreements covering both computer systems on a 50/50 .
basis. See�Schedule B.

E. Hardwa�a
� Each eMiry will be responsible for iheir own hardware maintenance cosis.
F. OH Site Storaoe
The City and School Disirict shall provide tacilities to store backup tapes for ine
other entity.
G B�� Svstem
The CiN and School Discrict will set up and maintain a cooperative dis2ster
recovery plan.
H. uold Harmless
Both p2nies shall be held harmless for any damaacs due to vantlalisrn, thett,
elecirical m2hunction or any other unforeseen ime^uption of service.
I. Dontract Duration
This aoreement shall be for a term c' three years commencing
