PROFESSIONAL SERVICE AGREEMENT
This Agreement, made and entered into this day of ,
1988, by and between Camiros/Madison, Ltd. a Wisconsin Corporation, with
offices at and whose mailing address is 6411 Mineral Point Road, Madison,
Wisconsin 53705, (referred to as the "CONSULTANT' ) and the City of Oshkosh,
Wisconsin a municipal corporation of the State of Wisconsin, (referred to as
the "CITY") .
WITNESSETH
WHEREAS CITY desires to engage with services of the LONSULTANT to furnish
technical and professional assistance in connection with the preparation of
a land use marketing study (LUMS) for the 300 Block (referred to as the
"PROJECT") , and
WHEREAS CONSULTANT has indicated its willingness to provide such technical
and profe<_sional services to the LITY,
Now, THEREFORE, the parties mutually agree as follows:
A. Scooe of CONSULTANT Serviw
CONSULTANT agrees to perform the "services" outlined in Attachment "A"
of this Agreement in a good and professional manner.
B. Materials to be Provided bv the CITY
In the event that any information, data, reports, records, aerial
photographs, and maps exist, are available to CITY officials and may be
useful for CONSULTANT'S carrying out work on the PROJECT, these
materials shall be promptly furnished to the CONSULTANT without its
cost or expense.
C. Meetinqs
CONSULTANT agrees to attend up to three staff ineetings and four Ad Hoc
Lommittee meetings with the CITY during the course of the PROJELT and
attend up to two final presentation meetings with the City Council and
or Plan Commission.
Any additional meetings with CITY staff or Planning Commission/City
Council beyond these specified in the preceding paragraph shall be
considered EXTRA WORK and compensated at hourly rates as specified in
paragraph F.

D. Subcontractors
CONSULTANT may elect to use subcontractors to perform certain portions
of the services. Use of subcontractors shall require the written
approval of CITY, such approval not to be unreasonably withheld.
CONSULTANT shall remain responsible for all services.
E. Chanaes
Any changes in this AGREEMENT including the Scope of Services
(Attachment "A") and any modification of the amount of compensation,
shall be first mutually agreed upon by CONSULTANT and CITY, and
incorporated into a written amendment.
F. CONSULTANT'S Comoensation and Pavment Method
1. Professional service fee under Attachment "A":
For servites to be rendered under Attachment "A" of this
Agreement, CITY shall pay CONSULTANT a fee of 522,000. This fee
shall include all work undertaken in the performance of Attachment
"A" of this Agreement by the LONSULTANT and shall be disbursed as
follows:
a. Upon execution of this Agreement, a retain2r fee of 52,000,
and
b. Within 30 days after CITY'S receipt of CONSULTANT'S monthly
invoice. Each monthly invoice shall include a summary of the
percentage of work completed for each task described in the
Scope of Services which is set forth in Attachment "A" . The
retainer fee shall be credited to the initial invoice.
c. Ten (10%) of each monthly billing shall be withheld from
payment until completion of the project.
2. Hourlv Rates for Professional Services for Extra Work:
Compensation for services to be provided in carrying out the
PROJECT and any additional services or 'EXTRA WORK" requested by
LITY in excess of that contained in Attachment "A" shall be
computed on the basis of the following schedule of hourly rates
for the professional and support staff engaged in the work.
Hourly charge rates for Lamiros, Ltd. staff:
Principal Consultants 575.00 per hour
Associates 545.00 to 560.00 per hour
Technical or Clerical 525.00 to 335.00 per hour
Such a rate will be in effect through four months following the
date of contract execution.

G. Time of Performance and Delavs Bevond CONSULTANT'S Control
The services of CONSULTANT shall begin upon receipt by CONSULTANT of an
executed copy of this Agreement, and except for reasonable causes
beyond CONSULTANT'S control , Attachment "A" shall be completed within
four months of that receipt date. The completion of services by
CONSULTANT shall be, among other things, contingent upon the timely
receipt from the CITY of the services, data and other reports described
in paragraph B above and in Attachment "A" attached, and upon the
timely receipt from the CITY of decisions and choices to be made by the
Planning Lommission/Lity Louncil .
CONSULTANT shall not be in default by reason of any failure in
performance of this Agreement in accordance of its terms, if such
failure arises out of reasonable causes beyond the control and without
the fault or negligence of LONSULTANT. Such causes may in�lude, but
are not limited to, the CITY'S failure to comply with the terms hereof,
acts of God, acts of the government in either its sovereign or
contractual capacity, fires, floods, epidemics, strikes and unusually
severe weather.
H. Nondiscrimination
CONSULTANT agrees not to discriminate by reason of age, race, religion,
color, sex, national origin, or handicap unrelated to the duties of a
position of applicants for employment or employees as to terms of
employment, promotion, demotion or transfer, recruitment, layoff and
termination, compensation, selection for training or participation in
recreational and educational activities.
I . Eztra Work
If requested and authorized in writing by the CITY and approved by
CONSULTANT, CONSULTANT will be available to furnish, or obtain from
others, extra work and be compensated for said work beyond the fixed
fee amount of 522,000, described in paragraph F above. Extra work can
be work of the following type:
1 . Extra work due to changes in the general scope of the study
including, but not limited to, changes in size, complexity, or
character of the work items.
2. Additional or extended services including study administration due
to: a) the pro7ongation of the Agreement time through no fault of
CONSULTANT, b) the acceleration of the work schedule involving
services beyond normal working hours, c) additional copies of
reports, or d) nondelivery of any materials, data or other
information to be furnished by the CITY and others not within the
control of CONSULTANT.
3. Additional meetings with CITY staff, Ad Hoc Committee, Plan
Commission, or City Council beyond those specified in paragraph C
above.

� 4. Other additional services requested and authorized by the CITY
which are not otherwise provided for under this Agreement.
J. Notices
All notices, communications and/or demands given pursuant hereto shall
be in writing and shall be deemed sufficient if sent by certified mait ,
return receipt requested, addressed as set forth in the first paragraph
hereof.
The date of mailing shall be deemed the date of service. Either party
may change the address for notice by the aforesaid procedure.
K. Entire Aareement
This Agreement and the matters expressly referred to herein constitute
the entire Agreement between the parties. No representations,
warranties, undertakings or promises have been made by either party
hereto unless expressly stated herein. All amendments hereto, if any,
shall be in writing and executed by the parties.
In WITNESS whereof CITY and CONSULTANT have executed and delivered
this Agreement all on the date first above written.

� SCOPE SERVILES
The study contents will fallow the outline suggested in the Request of
Proposals.
1. Area Review
la. Site Location and Access
Lamiros will gather and analyze all relevant data and information regarding
the physical tharacteristics of the site and the adjoining blocks. The
consultant team will ask the City staff to provide copies of relevant
reports and studies and accurate property line maps for the site and the
adjoining blocks.
Camiros will prepare an project area map showing primary transportation
corridors to the site, pedestrian circulation, land uses, key business
locations and linkages, and parking availability.
A key element for this project will be the availability of parking either
on-site or off-site to support the proposed redevelopment. The Lamiros team
will inventory all available parking spaces within five blocks of the
project site. Potential skywalk linkages will be an option to be
considered.
lb. Trade Area Analysis
The Camiros team will utilize a wide variety of sources to identify primary,
secondary, and commuter trade markets which may have an impact upon this
site. Beginning with U.S. Census Data by census tract, the consultants will
update the analysis of the trade area with current demographic projections
compiled from building records, school enrollments, residential and
commercial sales data, and utility company records.
The Camiros team will also consult with the Oshkosh Department of Community
�evelopment, the East Central Wisconsin Regional Planning Commission and the
Applied Population Laboratory of the University of Wisconsin - Madison to
identify any trends or demographic shifts which could have a bearing on the
Oshkosh trade area.
Ic. Trade Area Income and Expenditure Profile .
Trade area income and expenditure profiles will be developed by drawing upon
subscriber services from U.S. Department of Commerce. Camiros subscribes
the Department's microdata computer tape file which provides a wide variety
of current data on monthly retail and wholezale trade. These sources will
provide estimates of trade area disposable incomes and spending patterns.

2. Market Evaluation
2a. Retail Sales Trends and Analysis
The Lamiros team will evaluate retail sales trends within the primary trade
area in Downtown Oshkosh through interviews with owners/managers of at
least 20 retail businesses within the primary trade area. A standard survey
instrument will be used to determine the source of customers, customer
preferences, unsatisfied consumer needs, customer expenditures, shopping
times, and parking and access factors influencing shopping patterns.
26. Office Space Trends and Analysis
The Camiros team will survey all of the major office properties within
Downtown Oshkosh to determine current vacancy rates, absorption rates, rent
levels, and the quality of office space available. The team will also
examine the range of office services presently offered in the Downtown
market to determine if there are opportunities for specialized office
services whith are not currently met in the market place.
The team will fotus extensively on office and meeting space relationships
with the Oshkosh Lentre convention complex and the Radisson Hotel at Park
Plaza.
The office space inventory report will be available to the Lity as a free-
standing subreport.
2c. Eating and Drinking Place Sales and Trends
The Camiros team will inventory all eating and drinking places within the
primary trade area to determine the ability of the area of absorb additional
restaurant, entertain, and food court facilities. The team will consult
with the Wisconsin Restaurant Association (WRA) to atquire operating and
revenue standards with which to measure the feasibility for additional
eating and drinking establishments. Restaurant parking and delivery issues .
will be specifically addresses.
2d. Summary Market Conclusions
The Camiros team will recammend specific uses, total grosz leasable area,
and an occupancy mix which can be supported by market conditions. The
conclusions will include recommend rent levels which could be sustained,
projected absorption periods, and expected financial performance of the
component elements within the project.

. 3. Site Evaluation
3a. On-site Conditions
The physical conditions of the site will be systematically inventoried by
the Camiros team with the assistance of Strang Partners. The consultant
team will thoroughly inventory all site characteristics and potential design
constraints including zoning, easements, utilities, sidewalk vaulting, and
access restrictians. Based upon a surface examination, the consultants will
identify any apparent site defects which may be associated with subsurface
conditions or factors related to demolitions.
The consultants will examine options far subsurface parking on the site and
surface or skywalk linkages to off-site parking.
3b. Off-site Conditions
� The Lamiros team will inventory off-site conditions which should be factors
in the redevelopment of the site. These include the architectural character
of the surrounding buildings and the general urban design framework within
which any redevelopment should relate.
The consultants will specifically examine parking conditions adjacent to the
100 black to determine whether the parking demand generated from the
proposed redevelopment can be absorbed by the existing parking facilities.
The findings of the off-site parking survey will determine wether on-site
parking may be a necessary part of the redevelopment guidelines.
4. Oevelooment Recommendations
The Camiros team will develop a set of specific recommendations for the
redevelopment of the 100 Block. The recommendations will describe:
a) The type and scale of uses whith are feasible from a market
perspective;
b) The projected rents and/or condominium sales prices which could be
achieved on the sites. Financial projections will tie provided in the form a
projed construction and operating proforma; �
c) The level of assistance which may be necessary to implement the
project. Such assistance could be in the form of "gap financing" , TIF
financed infrastructure improvements, or land azsembly and "write-down"
assistance;
d) �evelopment guidelines for the design and architectural character
of the project to assure its positive contribution to adjoining development
blocks.
