The Black Wolf Sanitary District ( [he "Dietrict") has compleCed a Facilitiea Plan which has established that approximaCely 50% of [he aeptic syslems in the �istric[ have direc[ evidence of failure and an addStronal 30Z of the sep[lc systems liave indirecC evidence of failure. e. The Facilities Plan esCablished that [here are many wells in the District that .contain elevated concentrations of chlorldes , an indicaCOr of probable con[amina[ion Erom EaLling sewage disposal sysCems. C . The Facilities Plan esCablished [haC many of Ghe Ea131ng sewage dlsposal systems are discharging direcCly Co Lake Winnebago , other surface waCera , or Co the ground surface . D. The Facilities Plan concluded that con[inued use of failing sewage disposal sysCems will resalt Sn further deterioration of and possible long term contamination of I:he drinking water aqulEer. E . The Facilities Plan concluded Chat failore Co correc[ the sewage disposal problems in the DSstrict could resulC in Lhe spreading of waterborne diseases . F. The oisCric[ wishes to take the acCions necessary Lo reduce Che likelihood that the public heal[h and safeCy of the waCer sapply will be endangered . G . Recetving Crea[ment from Che City of Oshkosh ( the "CiCy") Ls Lhe most cost—efficient solution to the wastewater disposal and potential health pcoblems associated with vastewaCer disposal in Che DlsLrict. N. In reCUrn for providing wastewater treatment to the Distric[ , Che CiCy requires thaC there be a legally binding agreemen[ that will assure ChaC by providing wastewater treaCmen[ services to Che Dis[rict they will not be promotiny : 1 . Competition for development that reasonably would have occu aed in [he CiLy in the absence oF the City providing wastewater treaCment for the MsCrict. 2. Compe[ition for eziating commercial and indusCrial cuncerns , within the CiCy, thaC would not have occurred in the absence of the CSty providing was[ewa[er treaCment Co [he DiaCrict. L. The City and the Dis[rict bo[h in[end this AgreemenC to allow reasunable growth Ln Che MsCrict consistent wiCh histocy and popuLation projectrons currently published by Che Cast Central Wisconsin Regional ?lanning Commission. M. The Town of Black Wolf ( the "Towrt") concurs in Chia Agreement as in Che interexC of residente of the Town, both within and wLthout lhe MaCrict . TNEBEFORE , the City , District and Town agree as follows : I. SERVECES TO eE PROVIDED BY TNE CITY A. WASTEWATER TRANSPOATATION 1 . The Cixy shall recelve the was[ewatere being discharged by the Dis[rict at the lift station on Che Eas[ end of Waukan Avenue. 2. The Cily shall transport [he wastea through the City ColLaCtion 9y9Cem to the wastewate[ LreaCmertt factliCy. B. WASTEWATER TREATMENT 1 . The Ci[y shall provide treaCment of the wasCewaCers from the Dislrict ae the CiCy ' s wasCewa[er treaCmen[ facili[ies . i '2_ - 39b - � � � Res. #794 2. The Ci[y shall � continue to own� opera[e � and inaintain [he [reaCment faclllties and shall be responsible for di�acharging in eccordance wi[h their WPDES diacharge permit or in accordance with other regularions that may be imposed from time [o i time. 3. The capital costs for existing interceptora and �i lift atations shall be charged to the Dlelrict on 'i the basls of the raCto of District design flow Lo �i design capacity of [he particular portton of the '�. facillty times the depreclated actoal City cost of ' the particular portion of Che facility being ��, utilized for cransporCation of the District ' s �, wastewaters . ��� b. From time to time , as it is necessary Lo �� replace portions oF the existrng transportation '� facili[ies , Che DistHct shall be charged for the CiCy' s actual capital coat of new facili Hes on che basis of Che raCio of Che DisCrict design flow to the design capacity of Uie portion oF the . facilltres to be replaced. Paymen[ of such costs ��. shall be made in cash or pursuan[ to whacever [erms � may be agreed upon be[ween the parCies. c. The breakdown of the capital costa for Che Cranspor[aCion facilitiea is detailed in Exhibit "A" , attached hereto. d . TREATMENT PACILiTIES a. The capital costs Eor Che wasCewater Lreatment Eacilities shall be charged to the Discric[ on che basis of the raCio of Mstrict design luads as given in item I.B. 3• [o the design capacity oE the treatment facilities Cimes Che Clty' s actual depreciated coat of the treaCment facilitres. b . From H me to [ime , as it ie necessary to replace , enlarge , or modify por[ions of the exisCtng wastewaCer treaCment facllittes , except for expansions to serve new non—DistricC users, Che Districc shall be charged for the CSty ' s act�al capttal cost of new Eacilities on [he basis of the ratio of [he DSSCrict design flow Co the design capacity of the portion of ttie facillcies to be replaced , enlarged or modified. Payment of such costs shall be made in casli or pursuant Co whatever terms may be agreed upon between the parties . c. The breakdown of the capital cosCe Eor the wastewater Creatment facilities is detailed in Exhibit "E" , attached hereto. d. The DisCricC shall pay Co [he City , in cash , at or before the time oF connecting to [he City' s interceptor sysCem, the District' s allocable share of the �� capiCal cost of the Creatment facili [les , Lhe sum of 523 ,106. 00, in full saCisfaction oE che Mstrict ' s obligation to the City for capital cosls of the [reatment facilities as they presen[ly exisC. 3 . FUTURE INCREASLS IN ALLOTTED CAPACITY a. The distributron of capi[al cosCS for Creatment and transportation facilities are based on Che best available es[imaces of required capacitles to serve the District , but it is understood that [he . Dist[ScC may, in fact � require additronal capaciCy to meet its needs . b. If dtacharges from the Dis[rict exceed the currently allotCed capaciCies by an average of 15Y. over a period of 6 consecutive months or by an average of lOX over a perlod of 12 consecuCive months , the Distrlct ahall be required to purchase 1 —4— - 39d - Res. #194 an addicional allotment in the CreaCment and Lraneporta[ion facili[ies of Che CiCy in accordance with items II. A. 1. and 2. c. The cosC of the increased allotmenC shall be at the value esCablished at the tlme fo Che signing of thls agreement , and shall not be adjusted tu reflect carrying coet or depreciation. d. The increased allotment shall also be reflected in the Demand Charge for the operarion , malntenance and replacemenC costs of [he facili[Ses , but ehall be calculaCed a[ the the then current rates . B. OPERATION, MALNTENANCE� ANU RF.PLACEMENT COSTS 1 . Charges for operation , maintenance and replacemenc cosCS for transportatron and treatment of wastewater for the District ehall be defined for the purposea of Chis Agreement Co include Che following : direc[ and general maintenance expense , allocable general municipallCy adminlstration expense , and depreciation of capl[al invesCmenC . Said ezpenses shall be apportioned between Lhe parCies as provided in Chis agreemenC . The District shall pay to the City its pro-ra[a ahare of Che operation , maintenance and replacemen[ cos[s , to be computed as tollows : . a. Future allotmenCS oE residen[lal connections shall be esCaAltshed for 10 year periods and shall fairly reflect growlh Crenda in the DSStr1cC and Ci[y areas , demand for connections in Che DisCrict , treaCment capaciCy, as well as the intent of thls AgreemenC as seC forth in the Preamble. C. FUTUBS COMMERCIAL AND INDUSTRIAL DEVELOPMENT (GGNERAL) 1 . It ia the express understanding of the ParCLes thaC a material part oE the coneideration given by the Ma[ricC Ln Lhis Agreement Ls its covenant and ander[aking , if for any reason [here shall occur future commercial and industrlal development in the DisCric[ in excese of [he limits set Eorth below, upon reques[ of the City to cause promptly to be constructed and operated its own sewage treatmenC plant , wiCh auch addi[ional collection facilities as may be requlred , and [hereupon to cease delivery of DisCricC wasCewater to the City. Sewer connecttons to fuCUre expanslona of existing commercial or SndusCrial users shall be permitted under i -8- - 39h - Res. #194 this agreeioent [o the extenC tha[ the delveopment ls located aC the same site and is of the same naCUre as the existing developmenC . 2. No new commercial or industrial connections shall be aLlowed wiChin the DisCHcG withouL the expressed wriC[en conaenC of Che Ci[y. 3. The Cicy may refuse Co gra��t its consent iE the proposed commereial or industrial establiehmenC is not in conformance wiGh the inCent of Item K. of the Preamble of this Agreement. G. Consent Lo allow connectiona for commercial and induscrial usecs shall noC be arblCrarily or untimely wiChheld by the City. D. SANITARY DISTRICT BOUNDARIES 1. Nu service shall be provided to any parcel of deveLopmenC outeide the DisCric[ Boandaries excepe with the consent oF Che CiCy. 2. No additions shall be made to the District without Che consenC of Che City. 3. City consent for service to parcels outside che DistH et Boundaries or conaent for additions to the Mstrlct shall not be arbi[rarily withheld . 4 . The District and Che Town shall adopt , mainCain in . effec[ and enforce ordinances which shall give effect to these �, covenanCS. �'' IV. TRANSFER OF ASSC'LS A. The DlstricC will not oppose annexaCions from [he Discrict to the City. B. If any area of the MstricC which is annexed to the City contains ins [alled collecClon facilities owned by Che DisCricC , and such area also detachea from Che Diatric[ � Che City will acqutre [hose Eacilitles and pay for them as follows : 1 . The asse[s shall be valued on the baeis of initial cost including all consCruc[ion costs , prora[ed engineering costs , and prorated legal and administrative costs. f _g_ - 39i - � � Res. #794 2 . All resecve funde shall be prorated on the basis of initlal consCruction cosCS and alloCted Co Che City. 3 . All liabillties shall be prora[ed on the basis of initlal connCruction cosCS and be assessed to the City. 4. All easements shall be assigned to the City . 5. Al1 sewer mains and appur[enances shall become the property of the City . 6 . The DisCric[ ehall pay to the City [he net value of all moneLary ase[s , or if the ne[ value is negatrve , the City shall pay to the DiatricL the ne[ value of Che liabilities. C. From any area of [he District which is annexed and which contatns a connec[lon for which any service or connection feea due the uistricc are u�paid the City shall collect ahd promptly remi[ payments to the Ais[ricC . V. OTHER CONSIDERATFONS A. SCWER USE FEES FOR ONMETERED DISCHARGE TO CI'LY S6WERS 1 . IE ceaidential users within the Die[ric[ are ieolated from Lhe DtsC Hct collection sysCem in a � manner that would eliminate their flow from discharging through the District meCeH ng station , the charge for treatmen[ would be that charged to all other users of the same class lying within the Sanitary Dietrict. 2 . The amounC charged for Crealment would be added to the amount due the CiCy for providing treatmenC for the meteied por[ion of lhe Distiic[ . 3. If the user ie non—residentral , but discharging only sanitary wasCes , [he City may demand ChaC Che waCec supply be metered and that the charge be assessed on [he basSs of waCer consumpCion as in the City. This amounC shall be paid by [he Diatrict to the Ci [y . 4. If soch an agreement is entered Lnto by the MsCrict and City , St shall noC reduce the number of services or capacity allot[ed to Che DisCricC . 0. INDUSTAIAL PRETREATMENT 1 . The District ' s Sewer Use Ordlnance ahall include provision for indusCrial vasCe pre[reatment that shall be as stringenC or more stringent than [haC being u[ilized by the City. 2. These P�rtiea may agree [o have the CS[y administer the moni[oring of industrial waste discharges for [he MstricC , and charge Che Dis[rict for Chese services. E. COMPLIANCE WLTN OTHER PROVISiONS OF THE CITY OF OSHKOSH � WASTEWATER SYSTEMS ORUINANCE 1 . The DisCricC shall comply wlth terms of Che Oshkoah WasCewaCer SysCems Ordinance that apply Co Che proteccion of the Facilities and the proCectton of Che treatment process . These ehall include but no[ be llmi[ed to the Eollowing : a. ProhiMtion of clearwater discharges b . Prohibition oE tozic or deleterloua was [es c. , Proh161tton of the diacharge of any subsCance that may alone , or in combination wlth o[her dischargea cause damage to CransporCa[ion or I trea[ment fact H tres of the CSty, or inhibit or � negativeLy aEfect the ability of the Ci[y' s Creatment processes to function properly. 2. The City also agrees that , to Che extent that it installs and operaCes collection facillties which utilised Che colleceion system of the Die[ric[ , it 'i wlll make slmilar efforts and take similar ac[Sona i to ensure that Cheir discharges do not damage or overload the collection syatem of the DistrLct . i —12— - 39� - � �� Res. #194 F. WAUKAU AVENUE LIFT S'PATION 1 . If it is necesary to upgrade Che capaciCy of the Waukau Avenue lift .etation to transport Che wastewaCers of the DSstrict , the cost of upgrading ahall be borne by Che Dietrict , except hte CiCy ahall pay a percenta�e of such cost which is proportionate to [he wastewacer capacity required foc any City users at the [ime of auch upgrade . G. DISPUTES 1 . All disputes which canno[ be resolved by [he parties relating to the application or in[erp[eCatlon of [he provisione of this Agreeinent ehall be submitted for binding arbitration under the usual rules and procedures of the American ArbiCration Association and any award Chereunder may be en[ered as a Sudgmertt in any courC having juHediction. H. TERM OF AGREEMENT 1 . The [erm of this agreemen[ shall be thir[y ( 30) years commencing wi[h the effective daCe which is even herewith. Said Cerm shall be renewabLe upon ten (10) year extenslona and shall be terminable upon mutual consen[ of [he partrea a[ leas[ one ( 1) year prior to the ezpiration of the Cerm or of any ezlended term hereof . I. TOWN OF BLACK WOLF AS A PARTY TO THIS AGREEMENT 1 .
