INCORPORATED INITIATED BY: DEPARTMENT OF P�BLIC WORKS BE IT RESOLVED by the Common Council of the City of Oshkosh that the attached Developer Agreement to be executed by T.H. WHEAEAS, the Common Council of the City of Oshkosh approved initial and final resolutions pursuant to Secticn 66.60 of the Wisconsin Statutes upon execution and approval of a waiver, executed by the then-owners of property herein described , of special assessment notices and hearing ; antl WHEREAS , the then-owners had heretofore agreed , in consideration of installatior. of various improvements , to pay the full cost of such improvements and related costs through special ascessment financing pursuant to Section 25-83 and 25-89 of the Oshkosh Municipal Code upo❑ certification by the City Engineer for the City of Oshkosh that said improvements have been completed ; and WHEREAS, at the tSme the uaiver and ori�inal agreement were executed , George Singstock and Lyle Miller were the owr.ers of record of the property herein described but have subsequently conveyed and assigned all obligations , ri�hts , title and interest in the property hereinafter described to T.H.B., Inc., as owners of record ; and WNEREAS, the Common Council of the City of Oshkosh by resolu- tion adopted November 22 � 1985 , authorized antl directed the proper City officials to enter Snto an appropriate agreement with the then- owners to provide for full payment b�y the undersigned ouner of said improvements and related costs and it 1s now expedient to re-execute and record this agreement with T.H.B . , Inc .; and WHEREAS, by letter dated March 21 , 1988, a copy of which is attached as Exhibit "C" and fully incorporated herein , T .H.B. , Ine . , agreed to be bound by the terms and conditions of the previous agreement with the prior owners; and WHEPEAS, by entering into this agreement, as authorized by resolution adoptetl December 1 , 1988, by the Common Council , the parties intend that Lhis document shall supercetle the previous agreement as it relates to the property as hereinafter described ; NOW, THEAEFONE, IT IS HEREBY AGREED to by antl between the City of Oshkosh, a municlpal corporatio� located in Winnebago County, Wisconsin (^CITY") and T.H.B.� Inc . , a Wisconsin corporation ( "OWNER"J , in reliance on the representation and covenants made herein � as follows : 1 - 27a - 1 . Owner covenants and warrants that it is the owner of al l property described as follows : T .H .B . The Home Builders subdivision , Gots 5-72 and Outlot 1 , easement north of the plat to Witzel Avenue , antl the First Adtlition to T .N .B . The Home Builders subdivision . 2. Owner has requested installatSon by City of various improvements to said propertY described as follows : Sanitary Sewer Water Main Laterals Crading 8 Graveling Concrete Paving Storm Sewer Engineering Services Sidewalks 3. City, or its tlesignee , shall cause such improvements to be installed according to the plans and specifications of the City Engineer . 4. Special assessments may be paltl by Owner in cash , or in inetallments pursuant to Section 25-83 and 25-89 of the Oshkosh Municipal Code in which case such deferred payments are to bear interest at the rate of ten percent ( 10$) per annum on the unpaid balance . 5. The attached � exhibits , acknowledgetl bY City antl Ouner as being true and correct , are incorporated by reference as if fully stated herein . Owner, immediately upon voluntary divestiture of title to any of the property heretofore described , shall fully pay the outstanding assessments against the particular parcel subject to divestiture. Divestiture shall mean the transfer of legal title providing owner does not retain any lien or mortgage interest in such parcel . In the event owner retains a lien or mortgage Interest in such parcel , the assessments shall be paid in full 2 - 27b - within one ( 1) year from the date of sale. Zn the event ovner sells by land contract , the assessments shall be paitl in full within one C1) year from the date of the land contract. 7 . Any refund which may be due Owner as a result of any special assessment being in excess of the actual amount paitl by City for saitl improvements is assignable by Owner . 8. This Agreement and its attachments , may be recorded at City's option and if so done , shall replace any previous agreement affecting the above described propertles and shall serve as Notice of Lien against such properties.
