PURPOSE: APPROVE AGREEMENT WITH CHAMCO, INC.
INITIATED BY: CITY ADMINISTRATION
BE IT RESOLVED by the Common Council of the City of Oshkosh that the
attached Agreement for sale of lands for industrial development between the City
of Oshkosh and Chamco, Inc. is hereby approved and the proper City officials are
hereby authorized and directed to enter into same.
BE IT FURTHER RESOLVED that, notwithstanding the price listed in the attached
"Schedule of ]989 Prices", the purchase price for Southwest Industrial Park property,
other available sites, shall be $10,500 per acre but oN y as to two entities which
have letters on file with CHAMCO, Inc. , dated February 10 and 14, 1989, unti] June I ,
1989, as previously offered by Chamco, Inc.

corporate limits of the City of Oshkosh and deslres to sell suoh
lands for industrial development; antl
WHEAEAS, CHAMCO� INC. is a non-profit Wisconsin corporation
interested Sn the industrial development of the City of Oshkosh and
having the means and aDility to work toward the development of land
intlustrially ; �
NOW, THEREFORE, the City ef Oshkosh,, hereia�fter referred to as
the "City", and CHAMCO, INC. � hereinafter referred to as "CHAMCO" ,
in order to work towards the industrial development of the following
tlescriDetl property , viz: .
A . SOUTH INDUSTRIAL PARK
B . NORTH INDUSTAIAL PARK
C . SOUTHWEST INDUSTAIAL PARR
D . NORTHWEST INDUSTRIAL PARK
agrees as follows :
THE CITY AGAEES:
1. That by these preaents, for and in consideration of Ten
Dollars ($10.00) in hand paitl , receipt of which is hereby
acknouledged from CHAMCO, has agreed and tloes agree to hold until
the thirty-first (31st) day of December, 1989, at 12:00 P.M., tlme
being of the essence of this agreement, an option � aub�ect to the
order of CHAMCO to Durchase all of the premises ownetl by the City of
Oshkosh knovn as and consSsting of the following :
A . SOUTH INDUSTRIAL PARK
E . NOATH INDUSTRIAL PAAK
C . SOUTHNEST INDUSTRIAL PAAK
D . NORTHWEST INDUSTAIAL PARK

and the City of Oshkosh covenants to convey Dy Warranty Deed any
portion of saitl property thereof at any tlme xithin the above time
prescrlbed � to CHAMCO or such person or persons as CHAMCO may tlirect
for anC at the price of Schedule attached and price thereof, payable
on delivery of a Warranty Deed by the City , sub,ject , however, to the
further requirement that this Option shall De of no effect and no
rights shall Snure to CHAMCO or any other person or persons
hereuntler or by any purported exerclse of this Option, unless within
the time written notice of exercise of thi� Option shall be
deliveretl to the City Attorney of the City of Oshkosh. The purchase
price attached hereto includes , for the North and South Industrial
Parks � graded and graveled streets� sanitary sewer and water mains
and storm aewers as needed. The prices for the Southxest Industrial
Park includes graded and graveled streets , sanitary sewers , water
main and gas main antl storm sewers as neetled . The prices for the
Northwest Industrial Park inelude graded and graveled streets �
sanitary aewer� gas main , water maln and storm sewer as needed .
2 . CHAMCO� a non-profit organization � agrees :
a. To attempt to work toward the Sndustrial development
of the land which is the sub,ject matter of this agreement .
b . To aell lantl for use permitted in the M-Zone of the
City of Oshkosh Zoning Ordlnance and as limited by protective
covenants .
c. That they have adopted protective covenants for land
sold hereunder and before any changea to saitl covenants are
adopted , they will be submStted to the Oshkosh City Councll for
reviea. CHAMCO shall monitor the enforcement of these
covenants and if a breach occurs which requires repurchase ,
then in that event , CHAMCO shall assign its right to repurchase
to the Clty of Oshkosh .

3• This Agreement shall be terminable by either party Dy
giving to the other party six (6) months vritten notice of its
desire to terminate .

as determined by saitl City. CHAMCO, INC. shall have the right to
sell the properties which are Lhe subJect matter of Lhis Agreement
and ahall receive ten percent ( 10$) plus $250.00 per acre of the
acheduled price for incidental expenses .
Shoultl the City determine to sell land for less Lhan the schetluled
price , then CHAMCO'S ten percent ( 10$) shall De determined by the
actual selling price .
The above schedule shall be in effect for calendar year 1989 .
