CITY OF OSHKOSH AND BADGER STATE OUTBOARD ASSOCIATION
PARAMED[C AMBULANCE STAND-BY
201� MOTORBOAT RACES
THIS AGREEMENT made and entered into this I�1 day of April,2015,by and between
Badger State Outboazd Associatioq heieinafter called `BADGER OUTBOARD", and [he Ciry of
Oshkosh, a mu�icipal corpo�atioq hereinafter called"CITY".
W HEREAS,BADGER OUTBOARD has requesced the CITY provide a dedicared pararnedic
ambulance for s[and-by, during specified hours for 20I5 Badger State Motorboat races at the last
boat ramp (south end), by the Park Building (sail boat area) located in Menomi�ee Park.
WHF.REAS, the Common Council for[he Ciry of Oshkosh has authorized ihe appropria[e
City officials ro enter into such an agreement.
NO W,TH6REFORE,it is agreed by and between the parties to this agreement that the CI'['Y
shall provide one(1)two-pe�son paramedic ambulance to be present at Menominee Pack duri�g the
Motorboa[ Races on Saturday, September 5, 2015 from 1130—5:00; and Sunday, September 6,
2015 from 11:30 p.m. to 5:00 p.m.
Tbe role ofthis unit shall be to provide Basic Life Support(BLS)and Adva�ce Life Support
(ALS)Foreme�gencies,iftheyoccur. Mi�orfirstaidandre-hyd�ationwillnotbeaprimaryfunetion
of this unit. Fmergencies requiring a response beyond the capabilities of the unit on scene or
emergencies occurring while the on-scene unit is busy on any emergency will be handled by a
response of on-duty resources.
IT IS FUR1'HER AGREED that BAUGER OUTBOARD shall pay as cost reimbursement the
acmal cost associated with providing pe�somel,vehicles,equipmwt and other supplics. The houdy
cost for a paramedic unit will be$110.54 per hour. Billed time will commence 30 minutes prior to
the start of stand-by and end 30 minutes after the termination of stand-by. Any additional hours
requested or required ro p�ovide adequate service in the sole opinion ofthe Dury Chief forthe Ciryof
Oshkosh ro provide adequate service shall be billed to Badger Outboard at [he same hourly rate.
A three hour minimum will be chazoed ifthe event is not ca�eelled a[least twelve Q 2)hours
prior to the scheduled start [ime. Pre-event caricellation shall be made by calline 920-236-5240
during normal business hours (M-F, 8-430) or 920-236-5271.
The CITY shall invoice Darrell Ludwig,535 W Fond du Lac St,Ripo�W154971 following
the event, with payment to be made within 30 days of receipt of iovoice.
Ail patients requiri�g transport by the Oshkosh Fire Department ambulance will be billed fo�
services rendered according to the CITY`s usual and customary procedures and rates for service.
BADGER OUTBOARD shal]indemnify and save harmless the CITY from and against any
and all losses, claims, demands, pe�alties, fines, causes of actioq costs, damages, expenses and
]iabiliry,including without limitation any attomey or consultant fees,investigatioo fees,court costs
a�d litigation expenses, and other costs of defense arising out of or in any maune� related to
BADGER OUTBOARD's operation during this event, including but not limited to:

A. Any personal i�jury or bodily iujury(including wro�eful death)or property damage(real or
personal);
B. Any lawsuit brought oi threatened,se[tlement reached,or]ocal,state,or federal govemment
or agency order, including, but not limited to claims, costs, liabilities, or expenses arising
under fedecal, state, oc local law;
C. Any violatio� of laws, orders, �egulations, requi�ements, or demands of any govemmental
authorities; and,
D. Any breach or violation of any contractual provision of whatever kind with ariy third paRy.
