AGREEMENT
This AGREEMENT, made an the ��J�ay of �r� , 2015, by
and be#ween the CITY OF OSHKOSH, parEy of the first part, h reinafter referred to as
C[TY, and CN2M HILL ENGINEERS, [NC., 135 South 84'h Street, Suite 400,
� Milwaukee, WI 53214, party of the second part, hereinafter referred to as the
C.ONSULTANT,
WITNESSETH:
That the CITY and the C�NSULTANT, for the consideration hereinafter named,
enter into the following AGREEMENT for 2015 SECAP AND CM�M PROGRAM
SERVICES.
ARTICLE L PROJECT MANAGER
A. Assignmen# of Praject Manager. The CONSULTANT shall assign #he
following individual to manage the PROJECT described in this AGREEMENT:

� B. Changes in Project Manager. The CITY shall have the right ta approve or ,
disapprove of any proposed change from the individual named above as Project
Manager. The CITY shall be provided with a resume or other in#ormation for any
proposed substitute and shall be given the opportunity to interview that person prior to
any proposed change.
ARTICLE I!. CiTY REPRESENTATlVE
The CITY shall assign the following individual to manage fhe PROJECT
described in this AGREEMENT:

The CONSULTANT shall provide the services described in the C�NSUL.TANT's
Scape of Services. CITY may make ar approve changes within the general Scope of
Services in this AGREEMENT. If such changes affect CONSULTANT's cost of or time
required for performance of the services, an equitable adjustment will be made #hrough .
an amendment ta this AGREEMENT. �
Afl reparts, drawings, specifications, computer #iles, field data, notes, and other
documents and instruments prepared by the CONSULTANT as instruments of sarvice
shall remain the property of the CiTY.

ARTICLE IV. STANDARD OF CARE
The standard of care applicable to CONSUL.TANT's services wi11 be the degree
of skiil and diligence normally employed by professional consultants or consultants
performing the same or similar services a# the time said services are performed.
CONSULTANT wi(I re-perform any services nat meeting this standard without additianal
co�npensation. , -
ARTICLE V. OPINI4NS OF COST, F(NANCIAL CONSIDERATIONS, AND
SCHEDULES
In providing opinions af cost, financial analyses, economic feasibili�y projections,
and schedules for the PR�JECT, CnNSULTANT has no control over cost or price of
labor and materials; unknown ar latent conditions of existing equipment ar s#ruc#ures
that may affect operation or maintenance costs; competitive bidding procedures and
market conditions; time or quality of performance by operating personnel or -third
parties; and other ecanomic and operational factors that may materially affect the
ultimate-}�roject cost or schedule. Therefare, it is understood between the parties that
the CONSULTANT makes no warranty fhat the CITY's actual project costs, financial
aspects, economic feasibility, or scheduEes will nat vary from CONSULTANT's opinians,
anatyses, projections, or estimates.
ARTICLE VI. RECORD DRAWINGS
Record drawings, if required, wilf be prepared, in part, on the basis of informatioh
compiled and fiurnished by others. CONSULTANT is not responsible for any�errors or �
omissions in the information from others that the CONSULTANT reasonably reiied upon
and that are incarporated into the recard drawings. .
ARTICL.E Vli. GITY RESP(JNS181UTIES
The CITY shall furnish, at the CONSULTANT's request, such information as is
needed by the CONSULTANT to aid in the progress of the PROJECT, providing it is
reasonably obtainable from City records.
To prevent any unreasonable delay in the CONSULTANT's work, the CITY will
examine a[! reports and other documents and will make any authorizatians necessary to
proceed with work within a reasonable#ime period.
ARTICLE VI11. ASBESTOS OR HAZARDOUS SUBSTANCES
If asbestas or hazardous substances in any form are encountered or suspected,
CONSULTANT will stop its own work in fhe affected portians of the PROJECT to permit
testing and evaluation. .

If asbestos is suspected, C4NSULTANT will, if requested, manage the asbestos
remediation activities using a qualified subcontractor at an additional fee and contract
terms to be negofiated.
If hazardaus substances other than asbestos are suspected, CONSULTANT will,
if requested, conduc# tes#s to determine the extent o# the probiem and will perform the
necessary studies and recommend the necessary remediaf ineasures at an addi#iana! �

CITY recognizes that CONSULTANT assumes no risk and/or liability for a waste
or hazardous waste site originated by other than the CONSULTANT.
ARTICLE IX. CITY'S 1NSURANCE .
CITY will maintain property insurance on all pre-existing physical facilities
- associated in any way with the PROJECT.
CITY wi11 provide (or have the construction cantractor{s} provide) a Builders Risk
All Risk insurance policy for the full replacement value of all praject wark including the
value af ail onsite CITY-furnished equipment and/or materials associafed with
CONSUL.TANT's services. Upon request, CITY wi11 provide CONSULTAN�T a copy of
such poficy.
ARTICLE X. T1ME OF COMPLETION ' �
The work to be performed under this AGREEMENT shall be commenced and the
. work completed within the time limits as agreed upon in the C(JNSULTANT's Scope af

The CONSUI.TANT shall perform,the services under this AGREEMENT with
, � reasonabte diligence and expediency consistent with sound prafessional practices. The
- C1TY agrees that the CONSULTANT is not responsib(e for damages arising diractly or
indirectEy from any delays for causes beyond the CONSULTANT's confrol. For the
purposes of this AGREEMENT, such causes include, but are nat limited to, strikes or
other labor disputes, severe weather disruptions or ofher natural disasters, failure of
` performance by the CITY, ar discovery of any hazardous substances or differing site
conditions. If the delays resulting from any such causes increase the time required by
the C4NSUL.TANT to pertorm its services in an orderly and efficient manner, the
CONSULTANT shall be entitled ta an equitable adjustment in schedule.
ARTICLE XI. COMPONENT PARTS OF THE AGREEMENT
This AGREEMENT consists of the following companent par�s, all of which are as

in the event that any provision in any of the above component parts of this
AGREEMENT conflicts with any provisian in any other of the component parts, the
provisian in the component part first enumerated above shall govern aver any other
component part which follows it numerically except as may be othetwise specifically
stated,
ARTICLE XII. PAYMENT
A. The Agreement Sum. The CiTY shall pay to the CONSULTANT for the
perforrnance of the AGREEMENT the total sum as set forth below, adjusted by any
change� hereafter mutually agreed upon in writing by the parties hereto:
• - Time.and Materials Not to Exceed $159,870 (One Hundred Fifty-Nine
Thousand Eight Hundred Seventy Dollars).
• Attached fee schedule shaQ be frrm for the duration of this AGREEMENT.
B. Method of Payment. The CONSULTANT shall submit itemized manthly
statements far services. The C1TY shalf pay the CONSULTANT wi#hin thirty (30)
calendar days after receipt of such statement. If any statement amount is disputed, the
CITY may withhold payment af such amvunt and shall provide #o CONSULTANT a
statement as to the reason{s} for withholding payment.
C. Additional Costs.. Casts for additional services shall be nego#iated and set
forth in a written amendment to this AGREEMENT executed by both parties prior to
proceeding with the work covered under the subject amendment.
ARTICLE X(II. HOLD'HA�MLESS
The CONSULTANT covenants and agrees to protect and hold the City of
Oshkosh harmless against all actions, claims, and demands which may be to the
propartionate�extent caused by or resuit from the intentionaf or negligent ac#s of the � �
CONSULTANT, his/her agents or assigns, his/her employees, or hislher subcontractors
related however remotefy #o the pe�formance of this AGREEMENT or be caused ar
result from any violation of any law or administrative regu(ation, and shall indemnify or
refund to the CiTY all sums including cou�t costs, attorney.fees, and punitive damages
which the GITY may be obliged or adjudged #o pay on any such claims or demands
within thirty (30) days af the date of the C(�"Y's written demand far indemnificatian or
refund for those actions, ciaim, and demands caused by or resulting from intentianal or �
negligent acts as specified in this paragraph.
Subject to any limitations contained �n Sec. 893.80 and any similar statute, of the
Wisconsin Statutes, the CITY furkher agrees to �old CC?NSULTANT harmless from any

and all liabi(ity, including claims, demands, losses, cos#s, damages, and expenses of
every kind and description (including death), or damages to person or property arising
out of re-use of the documents without consent where such liability is founded upan or
grows aut of the acts or omission of any af the o�cers, employees or agents of the City
of Oshkosh while acting within the scape of their employment,
ARTICLE XIV. 1NSURANCE �
The CONSULTANT agrees to abide by the attached Cify af Oshkosh lnsurance
Requirements.
ARTICLE XV. TERMINATI4N
� A. Far Cause. If the CONSULTANT shall fail to fulfill in timely and proper
manner any of the obligations under this AGREEMENT, the ClTY shall have #he right to
terminate this AGREEMENT b� written notice ta the CONSULTANT. in this event, the
CONSULTANT shall be entit(ed to compensa#ion for any satisfactory, usable work
comple#ed.
B. For Convenience. The CITY may ferminate this AGREEMENT at any time
by giving written notice to the CONSULTANT no later than ten {94) calendar days
befor� the termination date, !f the CITY terminates under this paragraph, then the
CONSULTANT shall be entitled to compensation for any satisfactory work performed to
the date of terminafion. �
This document and any specified attachments contain all ferms and conditions of
the AGREEME�IT and any alteration fhereto shall be invalid unless made in writing,_
signed by both parties and incorporated as an amendment to this AGREEMENT.
ARTICLE XVL: RE-USE OF PROJECT DOCUMENTS
All reports, drawings, specifications, documents, and other deliverab(es of
CONSULTANT, whether in hard copy or in electronic form, are instrumenfs of service
for this PROJECT, whether the PR�JECT is completed or not. CITY agrees to
indemnify C{JNSULTANT and CONSULTANT's officers, employees, subcontractors,
and affiliated corporatior�s from all claims, damages, iosses, and costs, including, but
not limited to, litigation expenses and aftorney's fess arising o�t of or related to the
unaufhorized re-use, change, ar alteration of these project documents.
ARTICLE XVII. SUSPENSION, DEtAY, OR INTERRUPTION OF WORK
CITY may suspend, delay, or interrupt the services af C4NSULTANT for the
convenience of CITY. ln such even#, CC7NSULTANT's canfract price and schedule shall
be equitably adjusted.

This AGREEMENT gives no rights or benefits to anyane other than CITY and

2015 SECAP and CMCJM Program Services
Purpose
The purpose of the SECAP(Sewer Evaluation Capacity Assurance Plan)and CMOM (Capacity Management,
Operations and Main#enance) Program Services Project is complete the following modeling,planning,and
reporting services related to the Implementation af the City of Oshkosh{Ciiyy sanitary sewer system CfVL�M

Task 1 - Project Management and QA/G2C
CH2M HILL Engineers,Inc.(CH2M HILL}wilf manage the delivery of the professiona)technicai services and
work products to meet the City's schedule and budget. Project management duties include project
•instructions,which address team communication,quality assurance/quality control(Qq/QCj,and cost control.
Instructions to the praject delivery team will guide performance by deflning the following:
. Detailed scape of services and project deliverabies
• Task assignments and work plan ,
• Project scheduls `
• ProJect budget and performance monitoring
• Hea{th and safety considerations
ProJect team communication will be maintained through regular team meetings,teleconferences,and e- �
mail.During proJect meetings and workshops,CH2M NiLI will provide proJect status information.CH2M HiLL
will submit a brief description of praject activities and track budget status with each monthly invoice,
CH2M Hlll will perform a�qA/QC review of completed wark and project progress prior to submission of
work products to the City. -
Task 2 - Model Refinement and Verification
The model was originalty constructed as part af the Sewer Evatuation and Capacity Assurance Plan(SECAP)
in conformance with requlrements of ti�e Administrative qrder{AO)issued by the U.S. Environmental
Protection Agency(U.S. EPA)an October 17,2011.The model is now routineiy used to simuiate sanitary
coilection system performance in order to support engineering evaluatfons of the sewer system and capita!
improvement decisions.CH2M HILL will refine the model by adding the 8-inch and 10-inch sewers to modei,
vetting sewer information avai(able in the City's geographical information system (GISj,and recalibrate the
madei with the latest coliectian system flow monitoring data.The 8-and 20-inch diameter make up abaut
65 percent of the sanitary sewer collection system.With the completian of this task,the City�nodei wil!be
an essentially complete"al1 p(pes" model.CH2M tiiLl will cof(ect the following data for incorporatlon in this
model update;
• Current GIS for sewer system
� 2013—2014 rainfali data
• 2013—2014 wastewater treatment plant influent(WWTP) hourly flow data
• 2013—2054 callection system lift station run time data
• Project�nformation for sewer system improvements currently in design or constructlon
As with the initiai model construction,there may be sanitary sewer system GIS data that requires physical
verification or confirmation by revlew of paper records.It is anticipated that CH2M HiLL will submit up ta 2S
requests for City can�rmation of GIS infarmation{e.g.,manhole)nvert or rim elevation)s.CM2M M(LL will
submit written requests#or any needed field verification to be performed by the City.
7he existing model simulates system hydraulic perforrnance assuming uniform rain derived
infiltration/inflow{Rpll)across the services area. Flow monitoring data caflected in 2013 and 2014 will be
used io adjust RDII distribution. Model tolerances,consis#ent with standard industry practice,witi be
defined and documented as follows:
Dry weather verificatlon:Dry weather verification considers the base dry weather flow in the system ti.e,
not influenced by rainfall),The model will be compared to the diurnal base flow carve at each f(ow
meter location fram the flow monitoring done in 2013 and 2014.
Wet weather uerlf(cation:Wet weather verification of the model consists of comparing the modeled peak
flow rates and wet weather volumes to the manitored peak flow rates and wet weather volumes. If the
difference between the monitared and modeled values at fEow manitoring locations is not within
reasanable tolerances,a model calibration will be recommended. �
The dry weather and wet weather#iow ci�ta will be evaluated using t11e U.S:EPA Sanitary Sewer�verflow ,
Ana{ysis and Planning(SSOAP)Toolbox.The software aids in the determtnation of the.dry weather fiow,
diurnal pattern,and groundwater Infiftration, !n addition,any anomalies in the sewer system with unusual
hydraulics or geometry will be noted and addressed in the model.
CH2M Hill wiil facilitate twa progress meetings with the City to discuss model updates and verification.
CH2M HIL!will update the Madel Devefopment Report prepared in 2013 to reflec#the work completed
under this scope of services.
Task 2 Detiverables �
CH2M HILL will provide praject progress meeting minutes and the Model Qevelopment Report update. ,
Task 3 - VI(aukau Area Study
There have been basement backup reports and ather ev�dence of wet weather related sewer surcharging in
fhe area of Waukau Avenue and Fond du Lac Avenue.Waukau Lift Station operation has been observed to
affect backups.In Task 3,CH2M HILL will investigate solutlons to address problems in this area.Possible
solutfons may inciude changes to lift statian operation to optlmfze hydraulics or sewer improvements to
increase capacity. .
One of the recommendations of the Cfty of Oshkosh Sewer EvaluatJon and CapacFtyAssurance Plan (CH2M
Hill,2013)was phased irnplementation of a deep gravity interceptor on Oregon Street to address hydraulic
constraints in this area.7o the extent possibie,solutions identified in this this study will contribute to the
City's long-term,broader sewer system plans.
CN2M NILL will facilitate two meetings with the City:one to kick-aff the sfudy and one to discuss the
preiiminary results.
Investigate area lift station operation
CH2M HILI wili gather and evaluate additional information to identify whether lift station operation can be
optimized to improve sewer system performance.
Lift station operatEon evaluation.CH2M HILI will collect available information about the pump station
deilvering fiow to the City's sanitary system including station drawings, pump(s)capacity,wetwell volume,
pump run time records,and station flow mete�-records,This information wili be incorporated in the model

so that different elackwolf flow and station o�erating conditions, in conjunction with aperation of the
Waukau Avenue and 28th Street statians,can be simulated. Based on evalaation of this area, it may be
possible ta identify ways to madify the aperaCion of these stations to irnprove system performance,
Modeiing iterations may determine whether pump run tlmes can be balanced with availabie existing sewer
capacity to help to alleviate system surcharging and mitigate basemeni backups.
Improve sewer capacity,or system storage.i#there aren't opportunities to optimize lift statlons'operatlon
to appreciably alleviate surcharging,CH2M Hill wifl use the madel to identify sewer improvernents increase
, system storage(i.e.,construct parallel sewers or replace existing sewers wlth larger lines).Two or three
afternative improvements will be evaluated and cost estimates prepared.
Task 3 Deliverables
CH2M HILL wtll prepare meeting agenda and minutes for the two Task 3 meetings.CH2M N1l.L witl document
the Task 3 results in a technical memorandum.
Task 4 - Quarterly Reports, Annual CMQM Program Audit
Following revlew of sewer sysCem operation and rnaintenance data,CH2M HILI wiil prepare the quarter{y
reports for submission to the U.S. EPA apd the WDNR.CH2M HILI wiH assist the City with tracking sewer
cleaning progress in the Witze!basin,as part the new program to clear�'or inspect 20 percent of the sewer
system annuaily. '
To complete the CMOM Program AnnuaE Audit,CHZM HILL wip facilitate four meetings with Public Works ,�
persannel to gather information needed to update the CM(?M self-assessment check(ist.CH2M HILl.wi(I �
prepare a comparison af checkiist performance indicatars between 2013,2014,and 2Q15.
Deliverables. Four draft and fina(quarterly reports. Draft and finaf Annual audit report,including the CMOM
self-assessment checklist. ' ��
Task 5 - Sewer Service Agreements Needs Assessment
The City provldes sanitary sewer service to the areas listed in Table 1 under individual service agreements
which are comprised of varying Cerms and range in ags from 8 to 27 years oid.

Current and pending future regulatory requirements have potential impacts on the City's agreements to
provide wastewater conveyance and treatment services for satellite collection systems.These impacts
pertain to chiefly to assuring sufficient hydraulic capacity In the City's sewer system and may include
significant cost of service impacts to comply with new phosphorus regulations. CN2M NILL will review the
exis#ing agreements and identify potential improvements. For the impravements the City is interested in
implementing,CH2M HILL wiil develop agreement language revisions for the Clty's conslderation.
As part of this task,CH2M HfLI wili also facilitate a meeting with#he City and representatJves of the sateliite
systems to outline the�it}+'s recent CMOM pro�ram and SECAP activities.This meeting wii)also present a
summary of sewer service agreements needs assessment and gather Input from the sateilite systems.CH2M
HIIL will prepare meeting agenda, handouts,PowerPolnt presentation,and minutes.

Level of Effort and Compensation
• The estimated level of effort is 996 hours and the proposed compensation for professlonal services is
$159,87Q.A#ask breakdown is shown in 7able 1.
