INITIATED BY: DEPARTMENT OF COMMUNITY DEVELOPMENT BE IT RESOLVED by the Common Council of the City of Oshkosh that the property City officials are hereby authorized and directed to enter into the attached Agreement with Camiros , Inc . for consultant services , in an amount not to exceed $30 , 000 , in conjunction with the update to the City' s Master Plan. rioriies for this purpose are hereby appropriated from the 1990 Community Development Block Grant Program, and is contingent upon the City' s receipt of f'unds from the U. ' Res. 4�561 R E V I S E D PROFESSIONAL SERVICE AGREEMENT This Agreement, by and between Camiros/Madison, Ltd. a Wisconsin Corporation, whose mailing address is 4610 University Avenue, Suite 640, Madison, Wisconsin 53705, (referred to as the "Consultant") and the Department of Community Development, City of Oshkosh, whose address is City Hall, 215 Churcll Avenue, Oshkosh,Wisconsin 54902-1130 (referred to as the "City"). WITNESSETH WHEREAS THE CITY desires to engage the services of the Consultant to furnish technical and professional assistance to the staff of the City of Oshkosh in connection with the preparation of a Comprehensive Plan (referred to as the "Project") under the direction of the Director of Community of Development, and WHEIZEAS THE CONSULTANT has indicated its willingness to provide such technical and professional services to the City, Now,THEREFORE, the parties mutually agree as follows: A. Scope of Consultant Service The Consultant agrees to perform technical and professional services related to assisting the City's staff in preparing an update of the City's Comprehensive Plan. All services will be provided on an "as requested" basis under the direction of the Director of Community Development. B. Materials to be Provided bv the Cit� In the event that any information, data, reports, records, aerial photographs, and maps exist and are available to City officials and may be useful for the Consultant's work on the Project, these materials shall be promptly furnished to the Consultant without its cost or expense. C. Chan�es Any changes in this Agreement, including changes or modification of this agreement shall be first mutually agreed upon by the Consultant and the City and incorporated into a written amendment. 1 � Res. ��561 R E V I S E D D. Consultant's Compensation and Payment Method Compensation for service to be provided in carrying out the Project shall be computed on the basis of the following schedule of hourly rate for professional and support staff engaged in the work. Principal Consultants $75.00 Senior Planning Associates $50.00 Senior Design Associates $50.00 Planning Associates $35.00 Design Associates $35.00 Drafting Technician $22.50 Clerical $22.50 All travel and material expenses shall be reimbursed at cost. Automobile mileage will be charged at $0.25 per mile. The hourly rates and mileage rates shall be effective through twelve months following the execution of this Agreement. The Consultant will submit monthly invoices indicating the number of hours worked and material and travel expenses. The City shall pay such invoices within 30 days of receipt. E. Time of Performance and Delays Be,yond Consultant's Control Service provided by the Consultant shall be provided in a timely and efficient manner. Upon request the Consultant shall provide an estimate for time of completion for any tasks or assignments requested by the Director of Community Development. The Consultant shall not be in default by reason of any failure in performance of this Agreement in accordance of its terms, if such failure arises out of reasonable causes beyond the control and without the fault or negligence of the Consultant. Such causes may include, but are not limited to, the City's failure to comply with the terms hereof, acts of God, acts of the government in either its sovereign or contractual capacity, fires, floods, epidemics, strikes and unusually severe weather. 2 � Res. 4�561 R E V I S E D F. Nondiscrimination The Consultant agrees not to discriminate by reason of age, race, religion, color, sex, national origin, or handicap unrelated to the duties of a position of applicants for employment or employees as to terms of employment, promotion, demotion or transfer, recruitment, layoff and termination, compensation, selection for training or participation in recreational and educational activities. G. Notices All notices, communications and/or demands given pursuant to this Agreement shall be in writing and addressed to the respective party at the address set forth in the first paragraph of this Agreement. The date of mailing shall be deemed the date of service. Either party may change the address for notice by the aforesaid procedure. H. Key Contacts The key contact for the City for the purposes of administration of this Agreement shall be Jackson Kinney, Director of Cornmunity Development. The key contact for the Consultant for purposes of administration of this Agreement shall be John Stockham, Principal Consultant, Camiros/Madison, Ltd. I. Entire A�;reement This Agreement and the matters expressly referred lo llerein constitule tlle entire Agreement between the parties. No representations, warranties, undertakings or promises have been made by either party hereto unless expressly stated herein. All amendments hereto, if any, shall be in writing and executed by the parties. 3 .
