� REVOCABLE ENCRDACHMENTAGRFEMENT
This agreement is between the City of Oshkosh (City), and Oshkosh Housing
Authority (Housing Authority). The parties enter into this agreement for $1.00 and other
good and valuable consideratian, the receipt of which is acknowledged.
The Housing Authority is the fee owner of the property historicalfy known as The
Raulf Hotel, currently known as Mainview Apartments, and commonly known as 522—530
North Main Street {"Property"), and with a description as fallows:
Lots Four (4), Five (5), Twelve (12), Thirteen (13}, Fourteen (14),
Seventeen (17), Eighteen (18) and the South Twenty (20) feet of Lot
Six{6), all in B)ock One {1) in MERRITT'S ADDN., in the Fourth Ward,
City of Oshkosh, Winnebago County, Wisconsin, per Leach's Map of
1894, excepting therefrom the South Twenty (20) feet of said Lof
Fourteen (14).
That part of Lat Three (3) in Block One (1) in MERRETT'S ADDN., in
the Fourth Ward, City of Oshkosh, Winnebago County,Wisconsin, per
Leach's Map of 1894, described as follows, viz:- Commencing at the
Northwest carner of said Lot; thence south, alang the West line of said
Lot, 39.69 #eet; thence easterly, to a point on the East line of said Lot
that is 39.96 feet south of the northeast corner of said Lot;thence north,
along the East line of said Lot, 39.16 feet, to the No�theast comer of
said Lot; thence wesf, along the North line of said Lot, to the place of
beginning.
The South Two (2) feet of Lot Eleven (11) in Block One (1) in
MERRITT'S ADDN., in the Fourth Ward, City of Oshkosh, Winnebaga
County, Wisconsin, per Leach's Map of 1894.

Adjoining the Property along its Wes# boundary is a public right-of-way used for
various public utilities, public sidewalks, and a public vehicular way commonly known as
Main Street. The City owns and/or is responsible for maintenance of the right of way for
Main Street and therefore has the authority to enter into this Agreement.
The Hous'sng Authority�r a previous owner/tenant of the Property erected attached
awnings/marquees extending into the City's public right of way(Projecting Objects). The
Housing Authority proposes to remove these old objects and install new awnings and
marquee that will project over and extend into the public right-of-way a total distance of 6
feet 9 inches. No structures or objects, including these awnings or marquee, ar� allowed
to project into a public right of way without the City's permission.
The City of Oshkosh has reviewed the Projecting Objects as described in this
document, and will allow the placement of the requested Projecting Objects subject to the
terms and conditions identified in this agreement. Parties agree that all of the City's terms
and conditions in this document are to be considered material. Specific terms and
conditians of this agreement between City and the Housing Authority follow.

1. The City grants permission to the Housing Authority to install awnings and
marquee on the Property projecting into the right-of-way of North Main Street no
more than six (6) feet(9) inches, provided that these Projecting Objects remain
in the exact same location and is in all respects materially similar to the sign
design and specificatians as proposed. The Projecting Objects shall have a
: minimum sidewalk clearance of eleven (11)feet. Drawings and descriptions of
the Projecting Objects allowed are attached hereto as Exhibit A. The Housing
Authority may make changes to the signage withouf modifying this Agreement,
' provided such changes do not alter external dimensions and all other necessary
approvals and authorizations are abtained.

2. The City's permission for this Projecting Objects is contingent upon the initial,
and continuing, compliance with all applicable loca(, state, and federal codes
and rules. The Projecting Objects shall comply with City Ordinances, including
but not limited to requirements for zoning, permits, structures, signs, projecting
signs, Sections 30-11, 30-27, and 30-37 of the Municipal Code,
3. The Housing Authority agrees that it is solsly responsible for the installation and
; maintenance of the Projec#ing Objects, and that it is solely responsible for any
and all personal or property damage caused by the Projecting Objects. The
; Housing Authority's responsibility includes actions taken by Praperty tenants or
others using the Property, or any persons using the public street or sidewalk.
4. The Housing Authority is solely responsibie for securing, maintaining, repairing,
and replacing the Projecting Objects so that#hey project into the public right-of-
way in a safe and aesthetically approved manner. The City may inspect and
notify the Housing Authority of necessary maintenance or repairs, but is not
obligated to do so. The City's enforcement remedies for issues related to the
Projecting Objects are not limited to the terms of this Agreement. The City's
permission and appraval af#he Projecting Objects is not related to the Housing
Autharity's responsibility far the short and long term stability and safety of the
Proj�cting Objects.
5. The Housing Authority acknowledges and agrees that public utilities and
facilities, and the sfreet and sidewalk, in the right-of-way are subject to
maintenance, repair or replacement. In the event that mainfenance, repair, or
replacement of public utilities or facilities in the right-of-way wi11 need to occur,
the City agrees to make reasonable efforts to no#ify the Housing Authority of
these activities so that the Housing Authority may remove or ofherwise protect
the Projecting Objects if affected. lf t�e Housing Authority elects to remove or
otherwise protect the Projecting Objects, such actions must be taken within the
timeframe for the City's anticipated work. However, the City shall not be
responsible for any damage to the Projecting Objects, or any structure or
hardware to which the Projecting �bjects are attached, related to the City's
actions in its right of way. The Cify has no obligation, but shall be allowed to
remove, at its sole discretian, the Projecting Objects for the purpose of
maintenance, repairs, and repiacement of utilifies and facilities within the right af
way. The Housing Authority shall be responsible for reinstalling/reattaching the
Projecting Objects in those circumstances where the City removes the Projecting
Objects. The City sha11 be reimbursed by the Housing Authorify for all costs and
expenses related to removing or protecting the Projecting Objects, The Housing

Authority gives the City permission to enter, access, and alter the Property even
if it is not in the right of way for the sole purpose of removing or protecting the
Projecting Objects.
' 6. The City may revoke its permission allowing the Projecting Objects for any of the
following reasons:
a. The City's use of the right-of-way prohibits, at its discretion,the continued
' location of the Projecting 4bjects;
b. Local, state, or federal rules, laws, or guidelines relating to public
' sidewalk or street clearances or distances prohibit the continued location
; of the Projecting Objects;
c. The Housing Authority fails ta properly maintain, repair, or replace the
Projecting Objects as determined by the City;
I d. The Housing Authority fails to provide the City with annual written proof
that the Projecting Objects are covered by the required insurance.
e. The Housing Authority is in violation of the terms of this Agreement.
7. The Housing Authority releases the City af Oshkosh, its employees, agents,
elected officials, and authorized volunteers from all debt, claims, demands,
damages, actions and causes of action whatsoever which may result from the
, Projecting Objects. The Housing Authority shall protect and hold the City of
Oshkosh harmless against all actions, claims and demands of any kind or
character whatsoever which are related ta the Projecting Objects.
8. Both parties understand and agree #hat accidents and incidents occurring on
City rights of way may result in lawsuits or#hreafs of lawsuits against the City.
Therefore, the Housing Authority agrees to indemnify and pay to the City all
amounts that the City may be required, obligated,or adjudged as responsible to
pay, for any dispute, action, or claim rela#ed to the Projecting Objects. This
indemnificatian is broad, and shall include damages, attorney's fees and costs,
and defense costs. The payments required of the Housing Authority by this
paragraph are due no later than 3Q days affer written request for such
indemnification. The Housing Authority agrees that this paragraph shalf be
iiberally canstrued in favor of the City of Oshkosh, in consideration of the
privilege granted by the City under fhis Agreement.
9. At all times during which the Projecting Objects encroach into the right-of-way,
the Housing Authority's property liability insurance shall cover all potential
liabilities related to the Projecting Objects. The Housing Authority's insurance
shall provide reasonabfe coverage far potentia! damages to persons and
property cause wholly, or in part, by the Projecting Objects. Minimum insurance
coverage related to the Projecting Objects shall be $500,000 far each
occur�ence far badily injury and property damage liability and $500,OOQ general
aggregate, The Housing Authority shall include the City of Oshkosh as an
additional insured on its policy for claims, liabilifies, and damages related to the
F'rojecting �bjecfs. The Housing Authority shall annually provide the City with
proof of insurance for the Projecting Objects.
10, The City's permission is personal to the Housing Authority in its capacity as the
owner of the Property, and cannot be transferred or assigned to any other
person or entity, whether voluntarily or involuntarily except as may be identified

or described in this Agreement. The Housing Authority's rights contained in this
agreement do not attach to property and do not run with the land. Except as
otherwise described in this Agreement, permission for the Projecting Objects is
revofced immediately and without notice as of the time that any person or entity
other than The Housing Authority becomes a fee owner, whether in whole or in
' part, of the property at 522-530 North Main Street. Revocation of permission for
the Projecting Objects will also occur when the Property ownership changes to a
separate entity in which the Housing Authority is the sole or partial owner,
' shareholder, ar member,
11. The Housing Authority's responsibilities pursuant to this agreement extend to
other persons, contractors, and agents performing work on the Housing
Authority's behalf and related to the Projecting Objects, as well as any tenant on
the Property.
12. The Housing Authority remains responsible far the actions or inacti�ns of any
tenant that is related to this Agreernent.
� 13. This Agreement is solely for the benefit of the parfies to this agreement,and it is
not intended to benefit any third party.
' 14. The election to enforce or not enforce any term af #his Agreement, or any
statute, code, or rule, as well as the#iming of such enforcement, shalf be at the
City's sole discretion and shall not act as a waiver of any rights to exercise any
right relating to the Projecting Objects in the future.
15. This Agreement shall incorporate and adopt all of the City's immunities and
limitations provided to municipalities within the Wisconsin Statutes, regardless of
whether a claim is based upan contract, tort, or other theory.
This Agreement shall not run with the land, but may be recorded with the Winnebago
County Register of Deeds for notice purposes only at the City's discretion.
This agreement shall become effective upon the last date a party signs below.
