1. Parties: The City of Oshkosh, through its Seniors Center, 200 North Campbell
Road, Oshkosh, Wisconsin 54902, and Lucky Stables, LLC, 6976 Woodenshoe
Road, Neenah, Wisconsin 54946, are the parties to this Agreement. Th.e Oshkosh
Senior's Center undertakes or facilitates a wide variety of services, activities, and
events for members of the public aged 50 and over. Lucky Stables, LLC is in the
equine business and provides a wide variety of services including lessons,boarding,
and�showing.
2. Purpose: The City seeks to make equine-related activities available to its public
- patrons, and Lucky Stables seeks to provide services for persons invofved with the
Seniors.Center who are interested in its equine activities, as well as exposing its
services to a new market.
3. Event: Lucky Stables will hold an event tentatively titled "Horse'n Around" on
Monday, Sepfember 21, 2014, for the benefit of the Seniors Center public patrons,
and the Seniors Center agrees to promote the event to those qualified to utilize the
Seniors Center services_
a. The event will take place at Lucky Stables' place of business, 6976
Woodenshoe Road, Neenah, Wisconsin 54946. ,
b. The event will occur solely at the direction of Lucky Stables' employees and
agents. . �
c. Lucky Stables agrees to demonstrate to the participants various me#hods of
horseback riding that strengthens the body's core as well as helping to
maintain flexibility.
d. Lucky Stables will allow the participants the ability to work directly with the
horses to learn grooming and other hands-on care.
e. Lucky Stables will provide a riding demonstration to the participants.
f. Liacky Stables may provide lessons to interested participants.
g. Lucky Stables will provide use of their indoor ar�na if necessary.
h. Lueky Stables reserves the right to cancel the event if fewer than 6
participants sign up for the event no later than 2 days before the event.
Lucky Stables reserves the right to allow a maximum of 15 participants sign
up for the event.
4. Cost: L.ucky Stables will charge $10.00 per person for participating in the base
event(s). Participants will pay Lucky Stables directly.. The City will not collect these
costs. Lucky Stabfes may enter into additional and separate agreements with
participants for additional activities or services. There are no fees between the City
and Lucky Stables for promoting, holding, or cancelling this event.

5. Reserva#ions: The City may receive reservations for the scheduled event, and will
forward those reservations to Lucky Stables. �
6. Advertisinq: The City agrees to advertise the event in a form it believes appropriate
through signs and flyers at the Seniors Center, and promotional material in the
Seniors Center September 2014 Newsletter. Lucky Stables may provide the City
with assistance with advertising material including any trademarks for temporary,
limited uses, preferred lettering, slogans contact information, and/or handouts.
7. Participant Safety: Lucky Stables asserts that it carries liability insurance covering
certain injuries and damages occurring during its normal business operations.
Lucky Stables may require event participants to sign release or waivers that may
limit its liability for injuries or damages. Lucky Stables reserves the right to make an
independent judgment regarding the fitness of any participant for the scheduled
activities. In the event Lucky Stables makes a determination of unfitness, it will -
advise the potential participant of that determination in a discrete manner as is
possible, and will refund the initial participation fee. The City and Lucky Stables
agree that they are responsible for their own negligent or willful actions and will not
be liable for the negligent or willful actions of the other party.
8. No Business Relationship: The City and Lucky Stables are not in a partnership or
business relationship for this event. Lucky Stables retains the sole right to activities
to b� performed by the participants and the manner in which they should be
performed.
9. Governmental Immunities: The City is protected by certain governmental
immunities and limitations af liability within the Wisconsin Statutes including,without
limitation, Section 893.80 of the Wisconsin Statutes. All such immunities and
limitations are not intended to be waived and are fully incorporated within this �
agreement.
10.No 3�d Party Beneficiaries: This Agreement is intended to benefit only the parties
signing this agreement, and will not benefit any 3`d party.
