7. AGCESS RIGHT`S: Grantee shalt ltave the comp�ete right ta access and nsa the Sheiter Eas$m$nt and Constrtiction
Easement Properties as described in zhis Agreernent.
8. USE AS EASEMENT FOR BtIS SHELTER PUBLIC PURPOSE_ Grantee shall have the right to Futly i�se the
Shelter Easement Property fo�purposes associated►vith its public tra��sit system. The Shelter Easement Property�viil
be accessible by the�ublic,and��ili be subject to any rules and regutatians for tlie use of bus sto�s and/ar bus sto�
shelters as ttie Grantee may"from iime to time approve or aud�orize. The Grantec shall have th�right to access,
survey,lay,constract,use,operate,maintain,repair,replace,retocate,and/ar remove a i�us stop sheJtar ttiat may he
necassary for this stated use. The actuat shelter and the continued use as a bus stop shall be at t3�e discrekion of tl�e
Grantee. The public shail have tl�e right to t�se any side�valks,eement pad,and shefter on the Easement Prnperty in a
manner consistent with use af other�us shelters within the City by the public or consistent�vith Grantee's rules for
such shetter.
9. iJSE AS Ct7NSTRtICTI{3N EASEMENT: Grantee shall be ailowed to use tfie Construction Easement Praperty on
a limi#ed and temgorary basis to carry out its bus shelter oa;structivn,maintenancs,and repair oblig�tions. Grantee
shalt have t13e right to use this CQnstruction Easemen�Property onIy for construction aad mainkenance purposcs,and
only for periods reaso3iabty necessary to cotnple#e sach eoustruction andfor maititenance project. Construetion and
maitttenance access sha11 include ihe initial c�nstruciion,as�ve11 as subsec�uent maintenance,repair,ancl replacement
completed by,or at tlie direction of,Grantee. Grantor n�ay install iandscapu�g,fencing,ar struccures in the
Conshvet�on Easement E'roperty tf�az ara othenvise altnlved by City Code and approved by Grantee. Gr�nree may
deny such improvements if they�vnuld n}aterially ai�ect Grantee's abiti.ty ta maintain ihe stivctures in the Shetter
Easement Property. Gran#ee shal2 b�responsible E'or grading and seeding this constructionlmamtenance easement,if
necessary,upon completion of construction or maintenance activities.

the Shelter F.nsementPropecty. Tl�e eo►zcrete instailation shalt be accorciing to Grantee's specitic�tions Eo a11oGV the
instailation of+E'ira�tce's shetter. Gr�sntee�vil(install at its expense 1he bus sl�elter stn�cture on the conerete pad
instalted by Grarator. �nce the co�icretc pad ac�d sheiter structure are inst111ed,Grantee�vili be responsible for ali
subsat}uent maintenance,repair,an8 replacement#he shelter struc#ure and#he concrete pad,e�cept to the extent
i cai�sed by the Fvillful or negtigent actions of Grantor. Grantee wil!grade and seed tl�e SheIter and Constzvction

easet�ienf. Cran#or shall not place,pile,or move snoiv ar ice nn the Easemenf Praperty.Prohihited stntctttres ot
improvemen#s i�clude,but are not limited to,temporaryar permanent building structures,drive�vays,parking ureas,
sheds,change in elevations,vegetation exeept grass,landscaping or f��zc�s. Grantor shalt be espected to promptly
remo�e any matcrials Qr objects it is directly,or inac3verientty tesponsible for tocatit�,�in the Easenient Proi�.erty and
ir�tetfextttig with iti�easement pr,if,�rantot fails to remo�e thesa materials.or:objects,Grantee shaIl remove them at
Grantor's expense. _

and maintenance rights ideniified herein to any contractor,third party,or ottier assignee�vho demonstrates to the
Gruntee sut�"icient compstence and gives adet�ua#e assurances thak any�vork t�be perfonned in tir around the
easement shail6e cenducied in a skiltfu2 mxnner,and tliat the GranEor's interest in the easemen:�premises shall be
protected to the same extent as ifti�e Grantee�vas itself performing the constructio�t and maintec�ance.

'� 15. WAIVER: Na delay or omission by any party to this agreement in excrcising any right or pc�is�er arising out of any
; defaul#under any of(he teri�is ar conditions of ttiis Agreemenk sil�it be constrned as a waiver of the right or power. A
tvaiver by a party of any of the oblig�tions of the other party sli�il nat be canstrued to be a waiver of any breach of
any other terms orcanditians of this Agreement.
16. TNVALIDITY: If any term or canditian af this Agreement,or the applicatian ofthis Agreemeni ta any person or
circumstance,shatl be invalid ar une�iforceable,the remainder of this Agrecment,or the application of the tenn or
condition to persotis or circumstances ather than those to�vhicl�it is held invalid or unenforceahle,shali not be
af�ected thereby,and each tarm and condition shatl be valid antl enforceal�le to t}�e fullest extent perrttitted by►ativ.
17. NO THIRD PARTY BENEFICIARY: The tercns af this Agreement are for tke benefit of the hvo parties Sdentified,
and it is noE the'inte��tion ofeither the Graru�r or Grantee that otherp�uties shflil acqitii•e any rights to ei�force or
benefst through this Agresment.
I8. MUNICIPAL LIABILITY: Nathing uz[his Agreement is intended as a�vaiver of tl�e municipality's right or
opportunity to re2yupon ths.muni�ip�t 1'unitations and itnmunities coniained�vitbin;Wisconsin law. ivlunicipal
immunities and iimitatians include,twt are not litnited to,Sections 345:05,893.80,and 893:83.WiSCD1iS1I1 SMc tUtCS.
Such damage limits,caps an�i immunities are intcnded to be preserved by tlie Grantar and iocorporated into this
agreement by the municipatiYy and its agents,offices,and esnployecs. Sucli lemitations and immiFnities sMatl appiy to
