HomeMy WebLinkAboutFEH Associates/Master Planning Services/Menominee Park Zoo 2014PROFESSIONAL SERVICES AGREEMENT.• MASTER PLANNING SERVICES- FEH ASSOCIATES INC MENOMINEE PARK ZOO MASTER PLAN THIS AGREEMENT, made on the 23R °day of July, 2014, by and between the CITY OF OSHKOSH, party of the first part, hereinafter referred to as CITY, and FEH ASSOCIATES, INC. IN ASSOCIATION WITH WDM ARCHITECTS, 105 N. WASHINGTON, WICHITA, KS 67202, hereinafter referred to as the CONSULTANT, PE:fl di SSCGlAT &S, UV34, 5525 wn&Y, DEtAFiEL9, hr1, 5400 WITNESSETH: That the City and the Consultant, for the consideration hereinafter named, enter into the following agreement. The Consultant's proposal is attached hereto and reflects the agreement of the parties except where it conflicts with this agreement, in which case this agreement shall prevail. ARTICLE I. PROJECT MANAGER A. Assignment of Project Manager. The Consultant shall assign the following individual to manage the project described in this contract: (Gregory Baum, AIA, LEED AP, FEH Associates, Inc.) \N3►IP 55'7-5 G1iQ►57-o ?HcMt 153t)[3 B. Changes in Project Manager. The City shall have the right to approve or disapprove of any proposed change from the individual named above as Project Manager. The City shall be provided with a resume or other information for any proposed substitute and shall be given the opportunity to interview that person prior to any proposed change. ARTICLE II. CITY REPRESENTATIVE The City shall assign the following individual to manage the project described in this contract: (Ray Maurer, Parks Director) ARTICLE III. SCOPE OF WORK The Consultant shall provide the master planning services described in the Consultant's "Menominee Park Zoo" proposal dated June 12, 2014, attached as Exhibit A, in response to the City's "Master Planning for the Menominee Park Zoo Oshkosh Parks Department" RFP dated May 13, 2014 attached as Exhibit B. Both exhibits are attached to this agreement. If anything in the Consultant's proposal 1 conflicts with this agreement, the provisions in this agreement shall govern. The Consultant may provide additional products and /or services if such products /services are requested in writing by the Authorized Representative of the City. ARTICLE IV. CITY RESPONSIBLITIES The City shall furnish, at the Consultant's request, such information as is needed by the Consultant to aid in the progress of the project, providing it is reasonably obtainable from City records. To prevent any unreasonable delay in the Consultant's work the City will examine all reports and other documents and will make any authorizations necessary to proceed with work within a reasonable time period. ARTICLE V. TIME OF COMPLETION The work to be performed under this contract shall commence immediately and work will be completed no later than December 31, 2014 unless both parties agree to extend the completion date in writing. ARTICLE III. PAYMENT A. The Contract Sum. The City shall pay to the Consultant for the performance of the contract the sum of $29,800, adjusted by any changes hereafter mutually agreed upon in writing by the parties hereto. Fee schedules shall be firm for the duration of this Agreement. B. Method of Payment. The Consultant shall submit itemized monthly statements for services. The City shall pay the Consultant within 30 calendar days after receipt of such statement. If any statement amount is disputed, the City may withhold payment of such amount and shall provide to Consultant a statement as to the reason(s) for withholding payment. C. Additional Costs. Costs for any additional services are to be negotiated and set forth in a written amendment to this agreement executed by both parties prior to proceeding with the work covered under the subject amendment. ARTICLE IV. CONSULTANT TO HOLD CITY HARMLESS The Consultant covenants and agrees to protect and hold the City of Oshkosh harmless against all actions, claims and demands of any kind or character whatsoever which may in any way be caused by or result from the intentional or negligent acts of 2 the Consultant, his agents or assigns, his employees or his subcontractors related however remotely to the performance of this Contract or be caused or result from any violation of any law or administrative regulation, and shall indemnify or refund to the City all sums including court costs, attorney fees and punitive damages which the City may be obliged or adjudged to pay on any such claims or demands within thirty (30) days of the date of the City's written demand for indemnification or refund. ARTICLE V. INSURANCE The Consultant shall provide insurance for this project that includes the City of Oshkosh as an additional insured. The specific coverage required for this project is identified in the "Master Planning for the Menominee Park Zoo Oshkosh Parks Department" RFP dated May 13, 2014 attached as Exhibit B. ARTICLE VI. TERMINATION A. For Cause. If the Consultant shall fail to fulfill in timely and proper manner any of the obligations under this Agreement, the City shall have the right to terminate this Agreement by written notice to the Consultant. In this event, the Consultant shall be entitled to compensation for any satisfactory, usable work completed. B. For Convenience. The City may terminate this contract at any time by giving written notice to the Consultant no later than 10 calendar days before the termination date. If the City terminates under this paragraph, then the Consultant shall be entitled to compensation for any satisfactory work performed to the date of termination. This document and any specified attachments contain all terms and conditions of the Agreement and any alteration thereto shall be invalid unless made in writing, signed by both parties and incorporated as an amendment to this Agreement. 3 In the Presence of: (Seal of Consultant if a Corporation.) I have visited Menominee Park on Lake Winnebago several times and really like the way the zoo is integrated within the overall park setting. A new education building will certainly serve the zoo but it also has the ability to provide many new educational opportunities for the entire community. Our team is currently working in Madison, Wisconsin at the Henry Vilos Zoo on the new bear and seal exhibits. FEH Associates I WDM Architects An updated entry building at one end and the original 1934 Zoo building at the other are the bookends of the Zoo campus, Much of the interior of the Zoo is planned to be dramatically changed to create a zoogeographic organization as well as intriguing and logical pathways for visiting the Zoo without back - tracking. Long term expansion of the Zoo perimeter is also planned. The master plan has strengthened the Zoo's position in the community and with local officials in making an impressive case for financial investment with the City and private businesses. The Center is located within the 1380 acres of the Mines of Spain. The EB Lyons Interpretive Center, which opened in 1976 and has served tens of thousands of visitors. Hundreds of programs are held at the Center each year with thousands of school children, youth groups, and families. The building is architecturally designed to blend into the natural setting of prairie and bluff land, through its low stature and use of native materials. Increased interest in the rich history of the area and growing awareness of the significance of the Mississippi River and its watershed has created greater demand on the Center. Continued success and growth are inhibited by current space limitations. Consultants were brought on board in 2005 to assist with the development of plans and an image of the new Center to assist with fundraising efforts. The existing building was emulated in the expansion, in terms of scale and shape. The expansion consisted of a wood- framed building with wood siding and a metal roof. Native and recycled materials were utilized, wherever possible, for building construction and in finishes. The building envelope is as energy efficient as possible. All glazing is tinted, thermal pane. Expanses of glass foster views of the natural land- scape as well as bring in natural light. The Center is accessible for people of all ages, including those with disabilities. Gathering space and display spaces were created with an open and inviting feel. This project was awarded a LEED Silver certification. Work accomplished by key team members while with another firm. More than 100 spe- cies and 600 specimens are represented through 7 distinct biomes along the river. High- lighted by a 40,000 gallon salt water marine life tank, exhibits along the pathways include a shore bird free flight aviary, cougar, jaguar, ocelot, bison, prairie dog, otter, and black bear. These habitats offer unique opportunities for animals and guests alike. The varying terrain of the yards gives the animals a raised vantage point to survey their surroundings. The view for guests also serves to create a natural feeling of respect toward the animals. A large shaded pool for the bears to escape from the intense Texas sun is equally enjoyed by guests watching through a large window. The glass separation be- tween the black bear and river otter habitats in clear view and close proximity of the human guest encourages the natural behavior and curiosity of all three species. FEH Associates I WDM Architects REFERENCES Additional WDM Project Experience AKRON ZOO - GRIZZLY RIDGE AKRON, OH This new exhibit is at the core of the Zoo and is central to guest orientation and connection to the other distinct areas of the campus. Grizzly Ridge is designed to showcase the present and historical fauna of wild Ohio and create interactive experiences for guests that inspire and educate them. New habitats include grizzly bear, red wolf, coyote, river otter, eagle, and a free flight aviary. This project opened the season prior to a public vote that potentially could provide capital funding for the next seven years. The success of Grizzly Ridge played a pivotal role in building community support that led to the overwhelming passage of a new tax levy. This center is able to accommodate multiple programs at the same time. Architectural elements were used to create interest and moods for the building while at the same time being conservation oriented. Exterior roof overhangs vary around the spiral shaped building and make dramatic shifts to take into account both the summer and winter solstice. Tinted glass was only used where direct sunlight would enter the build- ing. These concepts allow the light to enter the interior spaces _W differently everyday of the year, thus creating differing moods and affects from season to season. Along with the day lighting concepts, other green or sustainable initiatives were included in the building. Recycled glass is used in the aggregate in the terrazzo flooring and recyclable carpet is used throughout the building. Background, Scope of Services & Schedule The City of Oshkosh currently has a population of approximately 66,080. The last plan for the Menominee Park Zoo was prepared in 1999 by Bassett Associates Landscape Architects. Since that time, the City has constructed an elk exhibit and river otter exhibit. The zoo entertains and educates over 100,000 visitors annually. The current zoo is situated on a flat tract of land within the boundaries of Menominee Park adjacent to Lake Winnebago. The zoo consists of 3.8 acres, which includes 1.4 acres of land and a 2.4 acre pond in the center of the property. Exhibits are situated around the pond. Game birds, river otters and wolves belong to the zoo. All other native and exotic animals are leased for the summer months (the zoo is open from the first weekend in May through the last weekend in September). A Historical Theme — It is desirous to have the zoo theme focus on how Oshkosh appeared to early Europeans in the mid - seventeenth century, and to have animals native to the area from that time exhibited year- round. The information below has been provided to give a scope of past discussions in regard to a theme for the Menominee Park Zoo. The City of Oshkosh is located in a unique geographical and ecological area. Receding glaciers left rock hills, broad sandy valleys, numerous lakes and streams. This terrain sustained a wide variety of vegetation, including hardwood forests dotted with prairie openings and an abundance of wetlands. To the north were coniferous forests and to the south, where the glaciers terminated, were prairies. These factors provided an optimal habitat for a wide variety of animal species which were hunted or trapped by Indians for thousands of years. The lakes and streams carved out by glaciers also provided Indians with several access points between the Great Lakes and the Mississippi river basin, which encouraged trade and allowed hunting of animals not native to this area. One key route passed through the current site of Oshkosh. The region's water highways and abundant fur - bearing animals eventually enticed French traders and trappers into the area during the mid - seventeenth century. The rapid impact these Europeans had on the animals of this are was staggering. Certain species, decimated by hunting and trapping, no longer live in the Oshkosh area. ELEMENTS OF PROPOSALS To be complete, each proposal submission shall include two submissions: a technical proposal and a cost proposal. 1. Statement of Qualifications (firm's history, expertise) Applying consultants must have experience with park and recreation planning. Include a description of your firm identifying your size, location, staffing level, longevity, etc. 2. Name and background of the individual(s) who would be assigned to the rp oject Identify specific personnel that will be assigned to the project and the number of hours each will spend on the project. The list shall be organized to show personnel and time commitments in relation to the activities outlined in the scope of services. Please provide resumes for all staff and identify the individual(s) that will serve as the main contact for assignments, billings, and general project administration. 3. References Please provide the City of Oshkosh with three (3) references where similar projects have been completed in the last three (3) years. 4. Scope of Services /Objectives Describe how services will be provided. Include a detailed listing and description of proposed tasks and deliverables with cost assigned to each task and deliverable, broken down by staff time and duties. Provide a summary of the proposed approach to the project as well as a detailed description of the 5 proposed methodologies to be used to provide the requested services and deliverables. 5. Cost of Services Indicate proposed cost of services including how the costs were determined based on rates, direct costs and a list of charges per classification of employee. Proposed cost of services shall include a detailed budget categorizing expenses by type of service relevant to the scope of the work. Please also provide an estimated fee and billing rate schedule including: fee estimate for the project based on the understanding of the project and services itemized according to project phases and types of service, hourly rate schedule for all assigned personnel, and reimbursable expenses estimate. Provide a "'cost not to exceed" figure for the project. IV. SUBMISSION OF PROPOSALS An original and three (3) copies of the required qualifications and technical information for the first step must be submitted in sealed envelopes along with a separate sealed envelope (1) containing pricing and addenda acknowledgement (if any) for step two. Proposals must be on standard 8 1/2" X 11" paper. All supporting documents must be on paper no larger than 11" X 17 ". V. EVALUATION PROCEDURE & SELECTION OF FIRM A two -step selection process will be used. The first step will consist of evaluation of qualifications and technical information submitted by the vendor. Interviews may be scheduled with those firms. The second step will consist of opening of the priced proposals from the short - listed firms. The City will notify all proposers upon completion of the evaluation process. The City will begin negotiating with the most qualified (highest scoring responsive 31 and responsible) consultant. If an agreement on price fails, negotiations with the next most qualified consultant will be conducted until a contract award can be made to the most qualified consultant whose price is fair and reasonable to the City. The scope of services defined in this RFP, the cost schedule supplied by the proposer, along with any subsequent scope addenda /amendments, will become the scope of the work for the proposer and summarized in a contract agreement between the City and the successful proposer. The contractual agreement will require the consultant to provide proof of required insurance coverage, naming the City as an additional insured, as part of this submittal. The City's professional services liability insurance requirements are attached to this RFP. Upon signature by designated City officials, the agreement will become binding and the consultant may begin to execute its scope of work. A sample of the contractual agreement is attached to this RFP. Proposers do not need to complete this agreement as part of their proposal. VI. AMENDMENTS, ADDENDA OR QUESTIONS The City of Oshkosh reserves the right to modify or issue amendments to this RFP. If questions result in the modification of this RFP, the written modifications will be distributed to known proposers, or anyone who has indicated an interest in writing a proposal. PROTEST PROCEDURE Any proposer who wishes to protest the proposed award of a contract must submit a detailed statement in writing of the grounds for protest and any supporting documentation to the General Services Manager prior to the contract award. The appealing party must be an actual or prospective proposer whose direct economic interest would be affected by the award, or failure to aware the 7 contract. Award of the contract will be suspended temporarily unless this action will cause undue harm to the City of Oshkosh. The General Services Manager shall issue a determination upon the protest and notify the protesting parry. Minor errors in proposal procedures shall not be grounds for delaying or prohibiting approval of the contract. ARTICLE V. INSURANCE The CONSULTANT shall provide insurance for this project that includes the CITY as an additional insured. The specific coverage required for this project are identified on a separate document. ARTICLE VI. TERMINATION A. For Cause. If the CONSULTANT shall fail to fulfill in timely and proper manner any of the obligations under this Agreement, the CITY shall have the right to terminate this Agreement by written notice to the CONSULTANT. In this event, the CONSULTANT shall be entitled to compensation for any satisfactory, usable work completed. B. For Convenience. The CITY may terminate this contract at any time by giving written notice to the CONSULTANT no later than 10 calendar days before the termination date. If the CITY terminates under this paragraph, then the CONSULTANT shall be entitled to compensation for any satisfactory work performed to the date of termination.
