PURPOSE: APPROVE OPTION TO PURCHASE FROM BANK FIRST
NATIONAL & GREGORSKI DEVELOPMENT / PROPERTY
AT SOUTHWEST CORNER OF JACKSON STREET AND
PEARL AVENUE

REDEVELOPMENT AUTHORITY RECOMMENDATION: Approved as amended
WHEREAS, Bank First National and Gregorski Development LLC have
expressed interest in the vacant lot at the southwest corner of Jackson Street and Pearl
Avenue, within the Marion/ Pearl Redevelopment Area for construction of an office
building/bank; and
WHEREAS, Bank First National and Gregorski Development are requesting a
180 day option to purchase said lot to permit them to perform their due diligence relative
to further investigation of environmental issues on the site, preparation of a site plan,
construction options and possible developer assistance, per the attached request dated
June 17, 2014; and
WHEREAS, Bank First National and Gregorski Development have offered to
purchase the property for $1 and propose to construct a 6,000+ square foot bank
building with a minimum assessed value of $2,000,000.
NOW, THEREFORE, BE IT RESOLVED by the Common Council of the City of
Oshkosh that the request for a 180 day option to perform due diligence to purchase the
vacant lot at the southwest corner of Jackson Street and Pearl Avenue for $1 as
requested by Bank First National and Gregorski Development is hereby approved, and
the proper City officials are hereby authorized and directed to enter into an appropriate
option to purchase agreement, with terms as noted on the attached request dated June
17, 2014, for purposes of same.

BACKGROUNDIANALYSIS
Bank First National and Gregorski Development LLC have approached the City regarding
Parcel H, at the southwest corner of Jackson Street and Pearl Avenue, within the Marion/
Pearl Redevelopment Area. They are interested in obtaining a 180 -day Option to purchase in
order to perform the due diligence required for the architectural, engineering, environmental
and legal research and analysis needed to determine the feasibility of their project. The
attached email serves as their letter of interest and photos of example structures. They have
proposed basic terms for a possible Option in their correspondence:

Recommendation
The RDA will take action on this request at its July 21, 2014 meeting.

Thank you for meeting with us today regarding the Marion Road site.
As indicated, Bank First National would like to be develop a main office building on Lot 2 of CSM 6558 at the corner of
Pearl Avenue and Jackson Street in the City of Oshkosh. We understand that this site is a former industrial site that is
the subject of redevelopment by the City of Oshkosh and the Redevelopment Authority. To that end, we would like to
secure a 180 day option to purchase the property for $1, Additional consideration will be provided in the form ofTIF
increment with the construction of a main office bank building of approximately 6,000 to 7,000 square feet in size with
an approximate value of $2,000,000.
I have attached pictures of the prototype building that we constructed in Sheboygan, WI to use as reference. We are
constructing this building in Two Rivers, Wl and Appleton, WI with slightly smaller footprints. We are using the
Sheboygan building for your reference as it is very similar to what we intend on constructing in Oshkosh.
We understand that this property is currently in a TIF district and has some unique limitations. The site currently is a
capped site and we would need to disturb that cap and receive appropriate authorization from the DNR. Additionally,
the site characteristics require building construction on a geopier foundation of unknown size and quantity. We also
would need establish a site plan that works with the existing cross access easements and bio- filtration system.
We are an end user and this proposal is not for speculative development. We are asking for 180 days for permitting and
approvals as we feel this is a realistic timeline given the complex nature of the site.
Bank First National currently has a presence in downtown Oshkosh and their facilities are leased. By building a main
office in the downtown Bank First National is making a commitment to the City of Oshkosh and will improve the City's
economic base. Additionally, Bank First National will increase its workforce in Oshkosh by adding approximately 10 full
time equivalent staff members in a new main office. These job opportunities are far skilled employees and are above
the median income level for the community.
In Sheboygan and Two Rivers the bank worked successfully with the community to establish facilities that enhanced the
streetscape and allowed a pedestrian friendly experience. It is the intent of Bank First National.to create a site plan for
Oshkosh that supports the existing downtown urban plan and maximizes the use of green space and establishes great
curb appeal. Our facilities exceed requirements for landscaping, site design and architectural aesthetics. Additionally,
our building design, materials and energy efficiency is planned to meet or exceed requirements of certification.
We are currently working on designing a site plan for this site and will provide a draft once it is completed. We will also
have our attorney follow up with a standard form option to purchase that can be used if our request is accepted. We
would ask that this request be presented to the Redevelopment Authority for their next scheduled meeting. Thank you.
