ARTICLE I. PROJECT MANAGER A. Assignment of Project Manager. The CONSULTANT shall assign the following individual to manage the PROJECT described in this AGREEMENT: Jim Bachhuber- Midwest Area Stormwater Practice Leader B. Changes in Project Manager. The CITY shall have the right to approve or disapprove of any proposed change from the individual named above as Project Manager. The CITY shall be provided with a resume or other information for any proposed substitute and shall be given the opportunity to interview that person prior to any proposed change. ARTICLE II. CITY REPRESENTATIVE The CITY shall assign the following individual to manage the PROJECT described in this AGREEMENT: James Rabe, P.E., CPESC-Civil Engineering Supervisor ARTICLE III. SCOPE OF WORK The CONSULTANT shall provide the services described in the CONSULTANT's Proposal. CITY may make or approve changes within the general Scope of Services in this AGREEMENT. If such changes affect CONSULTANT's cost of or time required for performance of the services, an equitable adjustment will be made through an amendment to this AGREEMENT. All reports, drawings, specifications, computer files, field data, notes, and other documents and instruments prepared by the CONSULTANT as instruments of service shall become property of the CITY upon payment for those documents by the CITY to the CONSULTANT, and shall remain the property of the CITY. ARTICLE IV. STANDARD OF CARE The standard of care applicable to CONSULTANT's services will be the degree of skill and diligence normally employed by professional consultants or consultants performing the same or similar services at the time said services are performed. CONSULTANT will re-perform any services not meeting this standard without additional compensation. OPINIONS OF COST, FINANCIAL CONSIDERATIONS, AND SCHEDULES In providing opinions of cost, financial analyses, economic feasibility projections, and schedules for the PROJECT, CONSULTANT has no control over cost or price of labor and materials; unknown or latent conditions of existing equipment or structures that may affect operation or maintenance costs; competitive bidding procedures and market conditions; time or quality of performance by operating personnel or third parties; and other economic and operational factors that may materially affect the ultimate project cost or schedule. Therefore, it is understood between the parties that the CONSULTANT makes no warranty that the CITY's actual project costs, financial aspects, economic feasibility, or schedules will not vary from CONSULTANT's opinions, analyses, projections, or estimates. ARTICLE VI. RECORD DRAWINGS Record drawings, if required, will be prepared, in part, on the basis of information compiled and furnished by others. CONSULTANT is not responsible for any errors or omissions in the information from others that the CONSULTANT reasonably relied upon and that are incorporated into the record drawings. ARTICLE VII. CITY RESPONSIBILITIES The CITY shall furnish, at the CONSULTANT's request, such information as is needed by the CONSULTANT to aid in the progress of the PROJECT, providing it is reasonably obtainable from City records. To prevent any unreasonable delay in the CONSULTANT's work, the CITY will examine all reports and other documents and will make any authorizations necessary to proceed with work within a reasonable time period. ARTICLE VIII. TIME OF COMPLETION The work to be performed under this AGREEMENT shall be commenced and the work completed within the time limits as agreed upon in the CONSULTANT's Proposal. The CONSULTANT shall perform the services under this AGREEMENT with reasonable diligence and expediency consistent with sound professional practices. The CITY agrees that the CONSULTANT is not responsible for damages arising directly or indirectly from any delays for causes beyond the CONSULTANT's control. For the purposes of this AGREEMENT, such causes include, but are not limited to, strikes or other labor disputes, severe weather disruptions or other natural disasters, failure of performance by the CITY, or discovery of any hazardous substances or differing site conditions. If the delays resulting from any such causes increase the time required by the CONSULTANT to perform its services in an orderly and efficient manner, the CONSULTANT shall be entitled to an equitable adjustment in schedule. ARTICLE IX. COMPONENT PARTS OF THE AGREEMENT This AGREEMENT consists of the following component parts, all of which are as fully a part of this AGREEMENT as if herein set out verbatim, or if not attached, as if hereto attached: 1. ARTICLE X. PAYMENT A. The Agreement Sum. The CITY shall pay to the CONSULTANT for the performance of the AGREEMENT the total sum as set forth below, adjusted by any changes hereafter mutually agreed upon in writing by the parties hereto: • Time and Materials Not to Exceed $125,700 (One Hundred Twenty-Five Thousand Seven Hundred Dollars). • Attached fee schedules shall be firm for the duration of this AGREEMENT. B. Method of Payment. The CONSULTANT shall submit itemized monthly statements for services. The CITY shall pay the CONSULTANT within 30 calendar days after receipt of such statement. If any statement amount is disputed, the CITY may withhold payment of such amount and shall provide to CONSULTANT a statement as to the reason(s) for withholding payment. C. Additional Costs. Costs for additional services shall be negotiated and set forth in a written amendment to this AGREEMENT executed by both parties prior to proceeding with the work covered under the subject amendment. D. Indirect Costs. Indirect costs such as computer time, printing, copying, cell phone charges, telephone charges, and equipment rental shall be considered overhead and shall not be invoiced separately to the PROJECT. E. Expenses. Expenses may be billed with up to a maximum of 10% mark-up. All invoices with expenses shall include supporting documentation of the expense. Failure to include the supporting documentation will result in the reduction of payments by the amount of those expense(s) not including documentation. ARTICLE Xl. HOLD HARMLESS The CONSULTANT covenants and agrees to protect and hold the City of Oshkosh harmless against all actions, claims, and demands to the proportionate extent caused by or resulting from the intentionally wrongful or negligent acts of the CONSULTANT, his/her agents or assigns, his/her employees, or his/her subcontractors related to the performance of this AGREEMENT or be caused or result from any violation of any law or administrative regulation, and shall indemnify to the CITY for all sums including court costs, attorney fees, and damages of any kind which the CITY may be obliged or adjudged to pay on any such claims or demands upon the CITY's written demand for indemnification or refund for those actions, claim, and demands caused by or resulting from intentional or negligent acts as specified in this paragraph. I:\Engineering\Storm Water Information\Fernau Avenue Watershed\SWMP RFP Materials\B&C Femau Ave Wtrshed SWMP Agreemnt_6-2-14.docx Page 3 of 5 Subject to any limitations contained in Sec. 893.80 and any similar statute, of the Wisconsin Statutes, the CITY further agrees to hold CONSULTANT harmless from any and all liability, including claims, demands, losses, costs, damages, and expenses of every kind and description (including death), or damages to person or property arising out of re-use of the documents without consent where such liability is founded upon or grows out of the acts or omission of any of the officers, employees or agents of the City of Oshkosh while acting within the scope of their employment. ARTICLE XII_ INSURANCE The CONSULTANT agrees to abide by the attached City of Oshkosh Insurance Requirements. ARTICLE XIII. TERMINATION A. For Cause. If the CONSULTANT shall fail to fulfill in timely and proper manner any of the obligations under this AGREEMENT, the CITY shall have the right to terminate this AGREEMENT by written notice to the CONSULTANT. In this event, the CONSULTANT shall be entitled to compensation for any satisfactory, usable work completed. B. For Convenience. The CITY may terminate this AGREEMENT at any time by giving written notice to the CONSULTANT no later than 10 calendar days before the termination date. If the CITY terminates under this paragraph, then the CONSULTANT shall be entitled to compensation for any satisfactory work performed to the date of termination. This document and any specified attachments contain all terms and conditions of the AGREEMENT and any alteration thereto shall be invalid unless made in writing, signed by both parties and incorporated as an amendment to this AGREEMENT. ARTICLE XIV. RE-USE OF PROJECT DOCUMENTS All reports, drawings, specifications, documents, and other deliverables of CONSULTANT, whether in hard copy or in electronic form, are instruments of service for this PROJECT, whether the PROJECT is completed or not. CITY agrees to indemnify CONSULTANT and CONSULTANT's officers, employees, subcontractors, and affiliated corporations from all claims, damages, losses, and costs, including, but not limited to, litigation expenses and attorney's fees arising out of or related to the unauthorized re-use, change, or alteration of these project documents. ARTICLE XV. SUSPENSION, DELAY, OR INTERRUPTION OF WORK CITY may suspend, delay, or interrupt the services of CONSULTANT for the convenience of CITY. In such event, CONSULTANT's contract price and schedule shall be equitably adjusted. The SWMP will guide the City in addressing existing flooding problems, manage storm water from future development within the watershed, and reduce storm water pollution. Briefly,the SWMP will include: • Preparing an XP SWMMTM' model to represent the hydrologic and hydraulic conditions of the Fernau Avenue watershed. • Identifying existing flooding conditions during a variety of storm events. • Evaluating potential flood mitigation alternatives to select a proposed alternative for managing storm water within the watershed. The evaluation will include identifying the flood control benefits,as well as other factors such as, construction feasibility,costs,storm water pollution control,and environmental factors. • Incorporation of storm water pollution control measures where feasible. • Cost estimates and conceptual design information for alternatives evaluated as part of the study. • Within the study area the City is proposing a Tax Incremental Financing(TIF)District. As a critical component of the Fernau Avenue Watershed SWMP,the study will identify off-site practices to meet the TIF District's storm water management needs in compliance with local and state requirements. This allows property within the District to fully utilize their available land for future development or redevelopment. The Fernau Watershed is an 877 acre drainage area located on the north side of Oshkosh. Approximately 511 acres of the watershed are within the current corporate limits of the City of Oshkosh,and 366 acres are unincorporated. Table 1 shows the current land use within the incorporated area of the watershed. Most of the land in the unincorporated area is agricultural with some Table 1.Fernau Ave.Watershed Land Use commercial along County Highway A(CTH A). The undeveloped land will (incorporated area only) likely be under development pressure in the coming years. Figure 1 (attached) is provided by the City of Oshkosh and shows the watershed Land Use %of Area area,storm sewer,and surface channel drainage system of the Fernau Industrial 43% Avenue Watershed. Fernau Creek itself is highly channelized throughout the watershed and Residential 22% discharges to South Asylum Bay on Lake Winnebago(between Shadow Commercial 14% Lane and Cozy Lane east of CTH A). Flow in the creek is limited by sediment deposits, dense vegetation, and a flat channel slope. Government/School 5% Of major interest to the City of Oshkosh (City) is the proposed Tax Undeveloped/Other 16% Incremental Financing(TIE) District 27 which is within the project area. The TIF District covers 237 acres,and is being proposed to facilitate industrial development and redevelopment. As part of the TIF funding,the City intends to provide off-site storm water management practices to allow future development and re-development to meet the Municipal Code Chapter 14 storm water management requirements. Among other items, Chapter 14 specifies requirements for peak flow, and pollution (TSS)control from new and re-development, and these requirements will be met by the off-site practices. The City has stated that the TIF District 27's land cover should be assumed as 70 percent impervious under a full build-out(future)condition. In addition to the Chapter 14 requirements,the City's policy targets a storm water conveyance level of service as follows: 1. Eliminate street surcharging of the storm sewer system onto the street for up to the 10-year design storm. 2. Maintain drivability of streets(center of street"dry")for up to the 25-year design storm. IBrown^NOCaldwell Fernau Ave.Watershed SWMP Proposal I 1 3. Contain runoff within the right-of-way for up to the 100-year design storm. This study will include two main objectives: 1. A primary focus of the study will be to conceptually size storm water conveyance and storage structures in the entire Fernau Avenue Funding from the proposed TIF Watershed so that the City's target storm water conveyance level of service criteria are met. District 27 will provide off-site 2. A secondary focus of this study is to model and conceptually size the storm water management storm water conveyance and storage structures necessary for parcels allowing industrial sites to within TIF District 27 to meet the Chapter 14 requirements without the meet City requirements need for new on-site management measures when the properties without loss of developable develop or re-develop. land. The schedule for this study is primarily driven by the need to implement certain storm water structures in 2015. Most likely the proposed Main Street Detention Basin and associated storm sewer will be constructed in 2015 in order to accommodate planned business expansions within TIF District 27. Conceptual sizing of these structures will be completed in order to allow for design and subsequent bidding and construction in 2015. Key Project Considerations Because of our past history of working with the City of Oshkosh,we realize that the Fernau Avenue Watershed Stormwater Management Plan must integrate several factors into the scope of work to be a successful project. Several of these factors are described below and will be incorporated into the appropriate phases of the study process. 1. Proposed Tax Incremental Finance(TIF)District 27: As discussed previously,the Fernau Avenue Watershed Stormwater Management Plan must address the storm water needs for TIF District 27, and provide a conceptual level analysis of the management measures necessary to address the District's future compliance with the requirements of Municipal Code Chapter 14. Under a preliminary analysis, BC worked with the City to identify the potential storm water management needs of TIF 27 District and developed cost estimates. Figure 4(attached) shows the conceptual location of the identified management measures. Preliminary cost estimates for all of the identified practices is about$5.9 million. Not all of these costs would be funded by TIF 27 District. Several of the practices(or a pro-rated portion of them)would be funded through the Storm Water Utility. A cost breakdown table is also attached at the end of this proposal showing a potential distribution of costs. 2. Storm Water Pollution Control/TMDL Issues: The City of Oshkosh is in compliance with the current NR 151 City- wide TSS control requirements through its existing management measures. However,the City realizes that it will likely face increased storm water pollution reduction requirements through the pending Upper Fox River TMDL. Although the Upper Fox TMDL Plan is not predicted to be completed for a few years,the City -` '('1 , aggressively seeks storm water pollution control E :;y�i , , i, .t; , t. measures whenever it is possible to incorporate these ti� !Sy' features with planned flood control practices. Project Area Watershed Boundaries: When conducting past watershed studies in Oshkosh at this scale,we often find that the watershed boundaries must be carefully reviewed and adjusted to accurately reflect actual drainage Brown and Caldwell Fernau Ave.Watershed SWMP Proposal! 2 conditions. Brown and Caldwell (BC)staff worked on a previous watershed study to the south (Libbey/Nicolet Watersheds)and will match the common drainage boundaries with the Fernau Avenue Watershed boundary. Also, the proposed TIF District 27 will require some adjustments to the watershed boundary to meet the development needs of that area. Finally,a review of the LiDAR topographic information and existing storm sewer data indicates that adjustments may also be necessary in the North Industrial Park area. 5. Existing Storm Water Management Practices: Within the Fernau Avenue Watershed many developed parcels currently have on-site storm water management features. These existing management practices must be assessed and incorporated into XP SWMMTM to accurately predict runoff volumes and flows to the storm water conveyance system. Accounting for the existing practices allows for properly sized storm channels and pipes for meeting the City's desired performance levels. 6. Thorough QA/QC: BC staff developed an extensive quality assurance/quality control (QA/QC)checklist that establishes a procedure to review interim and final deliverables specific to the City of Oshkosh's needs. Through our past work with the City of Oshkosh we understand how previous watershed studies were conducted,and we will maintain consistent criteria with the Fernau Avenue Watershed project. BC will use this procedure and enhance it where necessary to provide the City with the highest quality deliverables. Scope of Services BC worked with the City staff to review and revise the draft scope for this project. Below is the revised scope of services which will be conducted. 1. Conduct preliminary analysis related to the development of project cost estimates for TIF District 27. a. Projects identified as potential projects for TIF District 27 include: i. Main Street Area Detention Basin. ii. Moser Street Area Detention Basin. iii. Moser Street storm sewer(Fernau Avenue north to approximately four hundred feet south of Snell Road). iv. Main Street storm sewer(Main Street Area Detention Basin north approximately seven hundred feet). v. Main Street Area Detention Basin inlet storm sewer(from Jackson Street to Main Street Area Detention Basin). vi. Channel Improvements along northern branch,southern branch,and main stem of the waterway from Jackson Street to CTH A. vii. Fernau Avenue Area Detention Basin. b. Cost estimates for projects shall include: i. Land acquisition. ii. Design engineering(includes permitting). iii. Construction. iv. Construction related engineering. v. Pavement restoration. c. Projects will allow development(existing and new)within the TIF boundary to meet the post-construction storm water management requirements of Wisconsin State Administrative Code Section NR 151,and City of Oshkosh Municipal Code Chapter 14 via regional storm water management practices. d. Post-construction conditions for undeveloped/ underdeveloped parcels shall assume 70 percent impervious surface coverage. This will be consistent with the regional storm water management practices located within other industrial parks. 2. Collect survey information necessary to assist in the construction of the storm sewer network model. a. Utilize NAVD 88 vertical datum and NAD 1983 Ham Wisconsin CRS Winnebago County horizontal datum. b. Waterways: i. Survey waterways from Bowen Street west to Jackson Street(both branches after the split). ii. Cross section frequency: iii. Curves:start, middle, and end of curve. iv. Main Street culvert crossings. xix. Jackson Street culvert crossings. 3. Construct conveyance network model(XPSWMMTM). Utilize "2D" modeling overland flow methodology. a. Model all storm sewer and culvert segments 18 inches in diameter(or equivalent)and larger. Figure 2 shows the location of the storm sewer within the watershed. b. Incorporate existing storm water management facilities(public and private) into the model. Figure 3 shows the sites that have approved Drainage Plans on file. c. The City of Oshkosh will provide storm sewer and culvert GIS information to assist in the network building. The information contained in the GIS may be utilized without the need for field verification. d. The City of Oshkosh will provide tiff images of development Grading and Drainage Plans to assist in the input of existing detention facilities. These images typically do not contain a stage-storage table, but do contain contours which can be utilized to calculate the stage-storage information. e. The City of Oshkosh can provide tiff images of utility and paving plans, if required. f. The City of Oshkosh will provide the LIDAR data necessary to utilize the"2D" modeling. g. The Lake Winnebago tailwater elevation to be utilized is 747.56. 4. Construct Existing Condition Watershed Characteristics. a. The City of Oshkosh can provide GIS information relating to the impervious area for parcels within the city limits. b. BC will develop impervious area coverage for parcels not within the City limits. c. The City of Oshkosh can provide GIS information relating to the land use characteristics for all parcels within the study area. d. Subdivide into smaller watersheds as needed in order to properly execute the model. 5. Execute Existing Conditions Hydrologic and Hydraulic Model a. Utilize Huff&Angel (Midwest Climate Center Bulletin 71) rainfall depths and distributions. b. Run and calibrate model with June 12-13, 2008 rainfall amounts and soil conditions and compare with actual observed flooding conditions to fine tune model. The City of Oshkosh will provide the rainfall distribution based upon the Wittman Regional Airport recording station. c. Perform sensitivity analysis to determine which duration design storm is the most critical for conveyance system capacities(check the 30-minute, 1-hour,2-hour,3-hour and 6-hour duration storm events). d. Utilize existing land use and coverage characteristics. e. Run model at the critical duration for the following design storm events: i. 1-year ii. 2-year iii. 5-year iv. 10-year v. 25-year Brown and Caldwell Fernau Ave.Watershed SWMP Proposal 14 vi. 50-year vii. 100-year f. Prepare color figures showing the maximum extent of flooding during each storm event. The figures shall be color coded to show depth of flooding(typical ranges utilized are: 0.01'-0.25',0.25'-0.5',0.5'-1.0', and greater than 1'). g. Prepare table noting the flooding depth and duration for up to 25 locations for each design storm and for the June 12-13, 2008 storm event. Locations will be determined through coordination with City staff. 6. Construct Proposed Condition Watershed Characteristics. a. Utilize Existing Conditions Watershed Characteristics except as noted below. b. Coordinate with TIF District 27 Plan to include Post Construction Storm Water Management for all parcels within TIF boundary. i. Expand Watershed boundary to include all areas within TIF Boundary. ii. Provide peak flow control for undeveloped/under developed parcels up to a maximum impervious surface coverage of 70 percent. iii. Provide water quality control to meet redevelopment requirements(40 percent TSS reduction)for all developed parcels. iv. Provide water quality control for undeveloped/ under developed parcels up to a maximum impervious surface coverage of 70 percent. Expansion of impervious surface coverage is considered "new development" under Municipal Code Chapter 14. v. Provide storm sewer sizing to be able to convey additional runoff from private parcels. c. Subdivide into smaller watersheds as needed in order to properly execute the model. 7. Evaluate storm water management alternatives a. Review and coordinate(where appropriate)with previous studies within watershed and adjacent to the watershed. i. 2000 Citywide Storm Water Management Study(Mead & Hunt). ii. 2008 Citywide Stormwater Management Plan and Ordinance Development(Earth Tech\AECOM). iii. 2013 Citywide Stormwater Management Plan Update(AECOM). b. Storm Water Quantity Goals: i. Eliminate street surcharging of the storm sewer system onto the street for up to the 10-year design storm. ii. Maintain drivability of streets(center of street"dry")for up to the 25-year design storm. iii. Contain runoff within the right-of-way for up to the 100-year design storm. c. Storm Water Quality Goals: i. Provide water quality management for existing development within TIF boundary,allowing for future reconstruction on parcels without having to provide individual storm water management. ii. Provide water quality management for new development within TIF boundary,on parcels without having to provide individual storm water management. iii. Provide water quality reducing the city's"Base Load"for compliance with state regulations and upcoming TMDL requirements. d. Develop a list of potential storm water management components. i. Coordinate with City Staff to determine feasibility of potential components. ii. Utilize City approved list to develop five(5) mitigation alternatives. e. Storm water management alternatives may consist of a single component, or a combination of components. The components of the additional alternatives will be based upon discussions with City Staff during the review process. i. Alternatives analysis shall include executing the model at the critical duration for the 10-year,25- year, and 100-year design storm events. ii. Prepare table and/or figure showing the reduction in flooding for locations identified in 5.G. f. TIF District 27 Project Plan tentatively includes the following projects: i. Regional detention basin on west side of Main Street, located just north of waterway between Jackson Street and Main Street. Brown and Caldwell Fernau Ave.Watershed SWMP Proposal 15 ii. Regional detention basin on east side of Moser Street, located just north of waterway between Moser Street and Bowen Street. iii. Channel improvements within waterways between Bowen Street and Jackson Street. g. Analyze up to ten (10)mitigation alternatives. The initial five(5)alternatives developed under 7.d.ii. above, and up to five(5)additional alternatives that will be developed in conjunction with City staff through the review and discussion process. h. Prepare figures showing the locations and conceptual layouts for above alternatives and components of alternatives. If renderings are desired for the recommended alternative,they will be added via contract amendment at a later date. i. Prepare planning level cost estimates for analyzed alternatives. i. Coordinate with city staff for cost information to be used. j. Potential sanitary sewer, large diameter water main,ANR Pipeline,and ATC Transmission Line conflicts shall be taken into account during the alternatives analysis. The City will provide available GIS information to assist in accounting for these potential conflicts. k. Potential utility conflicts other than those listed above shall not be taken into account during the alternatives analysis. I. Coordinate with City Staff to recommend one alternative. 8. Execute Post-Mitigation Hydrologic and Hydraulic Model (with recommended alternative). a. Perform sensitivity analysis to determine which duration of 100-year design storm event is the most critical for detention facilities. Note the peak water surface elevation of this storm event for all detention facilities in addition to the other design storm events modeled. 9. Prepare detailed written report, including at a minimum: a. Executive Summary. b. Introduction and Project Setting. c. Watershed Characteristics. d. Engineering Analysis of Existing Conditions. e. Alternatives Analysis. f. Engineering Analysis of Post-Mitigation Conditions. g. Recommendations and Conclusions. h. Implementation Discussion and Potential Funding Sources. 10. Five (5) meetings with City staff,a Storm Water Utility Committee Meeting, and a Common Council Workshop are included in this Scope of Services. The Storm Water Utility Committee Meeting and the Common Council Workshop will be to present the findings of the study. Information on areas of known flooding concerns. Assumptions and Limitations The following assumptions were made in preparing the for the Scope of Services budget. 1. The information provided by the City of Oshkosh as described under#12 can be relied upon by BC without independent verification as to the accuracy of the data. 2. Based on the proposed TIF District 27 land use(industrial)and general soil conditions,the runoff volume (infiltration) requirements of Chapter 14 are assumed to be not applicable to the properties within the District. 3. Other than the work conducted under Task 2 (Survey)and a single site visit to observe existing conditions at identified potential regional detention basins, no other field work will be conducted (including, but not limited to: wetlands investigations and/or environmental investigations). 4. Property boundary survey work(CSM)is not included under the Scope of Work. 5. No federal, state,or local government permit preparation work is included in the scope of work. 6. Other than the meetings described under Task 10, no other face-to-face meetings are budgeted. 7. Budget assumes consistent hydrologic methods and rainfall distributions are used throughout the project area. 8. The contract terms and conditions as used in the"2014 General Storm Water Management Services"agreement will be used for this agreement. 9. This is a planning level study,and no design level services are included in the scope of work. Schedule BC anticipates initiating the project in mid-June 2014. Assuming the City's Notice to Proceed is issued by this time, BC will commence work immediately and the final deliverables will be provided to the City by December 31, 2014. BC understands the need for the design of the Main Street Detention Basin to be completed in time for a spring 2015 construction advertisement. The analysis for the Main Street Detention Basin will be completed in time for the design work to be initiated by October of 2014.
