CC, Kaukauna, WI 54130, party of the second part, hereinafter referred to as the CONTRACTOR, WITNESSETH: That the CITY and the CONTRACTOR, for the consideration hereinafter named, enter into the following Agreement for 2014 NUISANCE ANIMAL TRAPPING. ARTICLE I. PROJECT MANAGER A. Assignment of Project Manager. The CONTRACTOR shall assign the following individual to manage the PROJECT described in this Agreement: Kurt Schroeder—Owner B. Changes in Project Manager. The CITY shall have the right to approve or disapprove of any proposed change from the individual named above as Project Manager. The CITY shall be provided with a resume or other information for any proposed substitute and shall be given the opportunity tc interview that person prior to any proposed change. ARTICLE II. CITY REPRESENTATIVE The CITY shall assign the following individual to manage the PROJECT described in this Agreement: James Rabe, P.E., CPESC—Civil Engineering Supervisor ARTICLE III. SCOPE OF WORK The CONTRACTOR shall provide the services described in the CITY'S Request for Proposal. CITY may make or approve changes within the general Scope of Services in this AGREEMENT. If such changes affect CONTRACTOR'S cost of or time required for performance of the services, an equitable adjustment will be made through an amendment to this AGREEMENT. All reports, drawings, specifications, computer files, field data, notes, and other documents and instruments prepared by the CONTRACTOR as instruments of service shall remain the property of the CITY. CITY RESPONSIBILITIES The CITY shall furnish, at the CONTRACTOR'S request, such information as is needed by the CONTRACTOR to aid in the progress of the PROJECT, providing it is reasonably obtainable from City records. To prevent any unreasonable delay in the CONTRACTOR'S work, the CITY will examine all reports and other documents and will make any authorizations necessary to proceed with work within a reasonable time period. ARTICLE V. TIME OF COMPLETION The work to be performed under this Agreement shall be commenced and the work completed within the time limits as agreed upon in the CITY's Request for Proposal. ARTICLE VI. COMPONENT PARTS OF THE AGREEMENT This Agreement consists of the following component parts, all of which are as fully a part of this Agreement as if herein set out verbatim, or if not attached, as if hereto attached: 1. CONTRACTOR'S Proposal dated April 28, 2014 and attached hereto In the event that any prodsion in any of the above component parts of this Agreement conflicts with any provision in any other of the component parts, the provision in the component part first enumerated above shall govern over any other component part which follows it numerically except as may be otherwise specifically stated. ARTICLE VII. PAYMENT A. The Agreement Sum. The CITY shall pay to the CONTRACTOR for the performance of the Agreement the total sum as set forth below, adjusted by any changes hereafter mutually agreed upon in writing by the parties hereto: • Per Bid Item Basis Not to Exceed $3,070 (Three Thousand Seventy Dollars). B. Method of Payment. The CONTRACTOR shall submit itemized monthly statements for services. The CITY shall pay the CONTRACTOR within 30 calendar days after receipt of such statement. If any statement amount is disputed, the CITY may withhold payment of such amount and shall provide to CONTRACTOR a statement as to the reason(s)for withholding payment. C. Additional Costs. Costs for additional services shall be negotiated and set forth in a written amendment to this Agreement executed by both parties prior to proceeding with the work covered under the subject amendment. HOLD HARMLESS The CONTRACTOR covenants and agrees to protect and hold the City of Oshkosh harmless against all actions, claims, and demands which may be to the proportionate extent caused by or result from the intentional or negligent acts of the CONTRACTOR, his/her agents or assigns, his/her employees, or his/her subcontractors related however remotely to the performance of this Agreement or be caused or result from any violation of any law or administrative regulation, and shall indemnify or refund to the CITY all sums including court costs, attorney fees, and punitive damages which the CITY may be obliged or adjudged to pay on any such claims or demands within thirty (30) days of the date of the CITY's written demand for indemnification or refund for those actions, claim, and demands caused by or resulting from intentional or negligent acts as specified in this paragraph. ARTICLE IX. INSURANCE The CONTRACTOR agrees to obtain General Liability Coverage of $500,000 per occurrence. The following must be named as additional insureds — City of Oshkosh, and its officers, council members, agents, employees and authorized volunteers. Certificates of Insurance acceptable to the City of Oshkosh shall be submitted to the applicable City department prior to commencement of the work. These certificates shall contain a provision that coverage afforded under the policies will not be canceled or non- renewed until at least 30 days prior written notice has been given to the City Clerk — City of Oshkosh. ARTICLE X. TERMINATION A. For Cause. If the CONTRACTOR shall fail to fulfill in timely and proper manner any of the obligations under this Agreement, the CITY shall have the right to terminate this Agreement by written notice to the CONTRACTOR. In this event, the CONTRACTOR shall be entitled to compensation for any satisfactory, usable work completed. B. For Convenience. The CITY may terminate this Agreement at any time by giving written notice to the CONTRACTOR no later than 10 calendar days before the termination date. If the CITY terminates under this paragraph, then the CONTRACTOR shall be entitled to compensation for any satisfactory work performed to the date of termination. This document and any specified attachments contain all terms and conditions of the Agreement and any alteration thereto shall be invalid unless made in writing, signed by both parties and incorporated as an amendment to this Agreement. ARTICLE XI. SUSPENSION. DELAY. OR INTERRUPTION OF WORK CITY may suspend, delay, or interrupt the Services of CONTRACTOR for the convenience of CITY. Nuisance animals, such as muskrats, cause damage to the side slopes of detention basins and drainage ways and destroy the emergent vegetation planted within the facilities. Maintaining the emergent vegetation is vital in protecting the shoreline from erosion, as well as removing nutrients from storm water runoff. State of Wisconsin Administrative Code Section NR12.10 allows landowners, occupants, and/or agents to remove nuisance animals from their property. Administrative Code Section NR12.10(3)(c)requires that the person performing removal to have a valid hunting or trapping license. The State of Wisconsin does NOT allow trapped muskrats to be released onto state lands. With permission,the animals may be relocated to private land elsewhere, otherwise the animals shall be dispatched. Section 6-10 of the Municipal Code of the City of Oshkosh prohibits "Any unlicensed trap, snare, spring gun, set gun, net or other device or contrivance which might entrap, ensnare, or kill games, or any trap without a metal tag attached as required by Section 29.03(5) State of Wisconsin Statutes, except for live traps." Section 17- 3 through 17-6 of the Municipal Code of the City of Oshkosh covers the use and discharge prohibitions of weapons within the City of Oshkosh. The goal of this Contract is to reduce or eliminate the muskrat population at the detention basins listed below. The work covered by this proposal shall include the furnishing of all materials, equipment, and labor to install, maintain, and remove traps in the detention basins. The CONTRACTOR shall inspect the traps at a sufficient interval to ensure trapping ability, and remove all trapped animals and dispose of offsite. The trapped animals shall become the sole property and responsibility of the CONTRACTOR. The CONTRACTOR shall install, maintain, and remove traps in the spring of 2014, and again in the fall of 2014 at the following detention basins: ➢ Fair Acres Detention Basin, located in front of Pick-N-Save North, near the intersection of Murdock Avenue (STH 21) and Jackson Street(STH 76). ➢ Oshkosh North High School Area Detention Basin, located just northwest of Oshkosh North High School (1100 West Smith Avenue). Access to the detention basin shall be from Morgan Avenue, east to the gravel driveway along the west edge of the detention basin. There is a gravel parking lot near the northwest corner of the detention basin. Do not access through the North High School parking lot. ➢ Westhaven Clubhouse Area Detention Basin, located just south of the Westhaven Golf Course Clubhouse (1400 South Westhaven Drive). There is on-street parking located on Westhaven Circle. Do not park in the Golf Course Clubhouse parking lot. ➢ Northwest Industrial Park Detention Basin, located on Fernau Avenue,just west of Vinland Street. There is on-street parking on Fernau Avenue. Page 1 of 3 ➢ Southwest Industrial Park Detention Basins (East, Middle, and West), located along Atlas Avenue,just north of STH 91 and west of Oakwood Road. There is on-street parking available on Atlas Avenue and Global Parkway. The attached location maps show where each of the above sites is located within the City of Oshkosh. Also attached is a copy of the City of Oshkosh Insurance Requirements and an example contract. Article IX of the Insurance Requirements shall apply to this Contract. SCOPE OF SERVICES 1. Meet with City Project Manager prior to trap installation to verify location and discuss number of traps to be installed. 2. Install traps and mark location with lath. All traps must be marked with a lath, so that the City of Oshkosh can observe the locations. CONTRACTOR may phase trapping, but shall install traps at each site during each season. 3. Notify City Project Manager at least three (3)working days prior to setting traps at Oshkosh North High School Area Detention Basin. City Project Manager must notify appropriate Oshkosh Area School district staff prior to trapping at this location. 4. Notify City Project Manager within three (3)working days after setting traps of the number of traps set at each site. The City will not pay for traps or trapped muskrats at a site if the CONTRACTOR fails to properly notify the City Project Manager. 5. Inspect traps in compliance with Wisconsin Department of Natural Resources regulations. 6. Promptly remove and dispose of all trapped animals offsite when traps are inspected. 7. Remove traps from detention basins after each season of trapping, as determined by the City Project Manager and CONTRACTOR. 8. Submit invoices no more frequently than monthly during each trapping season, detailing the number of traps set, and how many muskrats have been trapped at each site. 9. The City Project Manager may schedule a second site meeting in the fall of 2014, if necessary. CONTRACTOR to provide a minimum of one (1) week notice prior to setting traps in the spring so the City Project Manager can determine if a site meeting is necessary. PROPOSAL Complete the attached Proposal Form. BID ITEM 1 shall be paid for each mobilization to commence a trapping season. There will be one (1) mobilization for the spring season, and one (1) for the fall season. Moving traps from one location to another is not considered a mobilization. Payment for each mobilization is to cover overhead and fixed costs (such as procurement of appropriate insurance) of the CONTRACTOR. Page 2 of 3 BID ITEM 2 shall be paid based on the actual number of traps set up,properly maintained, and removed at the completion of each trapping season. As noted above, failure to properly notify the City Project Manager of trap setting will result in traps not being paid for. The proposal estimates a total of 300 traps being set. The unit price for Bid Item 2 shall remain firm, regardless of any quantity increases or decreases. BID ITEM 3 shall be paid based upon the actual number of muskrats trapped and properly disposed of As noted above, failure to properly notify the City Project Manager of trap setting,may result in animals trapped not being paid for. The proposal estimates a total of 125 muskrats being trapped. The unit price for Bid Item 3 shall remain firm,regardless of any quantity increases or decreases. Completed proposal shall be submitted by 4:00 p.m., Thursday, April 17, 2014. PROFESSIONAL SERVICES LIABILITY INSURANCE REQUIREMENTS The Contractor shall not commence work on contract until proof of insurance required has been provided to the applicable City department before the contract or purchase order is considered for approval by the City. It is hereby agreed and understood that the insurance required by the City of Oshkosh is primary coverage and that any insurance or self insurance maintained by the City of Oshkosh, its officers, council members, agents, employees or authorized volunteers will not contribute to a loss. All insurance shall be in full force prior to commencing work and remain in force until the entire job is completed and the length of time that is specified, if any, in the contract or listed below whichever is longer. 1. ADDITIONAL PROVISIONS A. Acceptability of Insurers - Insurance is to be placed with insurers who have an A.M. Best rating of no less than A- and a Financial Size Category of no less than Class VI, and who are authorized as an admitted insurance company in the state of Wisconsin. B. ARTICLE I. PROJECT MANAGER A. Assignment of Project Manager. The CONTRACTOR shall assign the following individual to manage the PROJECT described in this Agreement: Name—Title B. Changes in Project Manager. The CITY shall have the right to approve or disapprove of any proposed change from the individual named above as Project Manager. The CITY shall be provided with a resume or other information for any proposed substitute and shall be given the opportunity to interview that person prior to any proposed change. ARTICLE II. CITY REPRESENTATIVE The CITY shall assign the following individual to manage the PROJECT described in this Agreement: James Rabe, P.E., CPESC— Civil Engineering Supervisor ARTICLE III. SCOPE OF WORK The CONTRACTOR shall provide the services described in the CITY'S Request for Proposal. CITY may make or approve changes within the general Scope of Services in this AGREEMENT. If such changes affect CONTRACTOR's cost of or time required for performance of the services, an equitable adjustment will be made through an amendment to this AGREEMENT. CITY RESPONSIBILITIES The CITY shall furnish, at the CONTRACTOR'S request, such information as is needed by the CONTRACTOR to aid in the progress of the PROJECT, providing it is reasonably obtainable from City records. To prevent any unreasonable delay in the CONTRACTOR'S work, the CITY will examine all reports and other documents and will make any authorizations necessary to proceed with work within a reasonable time period. ARTICLE V. TIME OF COMPLETION The work to be performed under this Agreement shall be commenced and the work completed within the time limits as agreed upon in the CITY's Request for Proposal. ARTICLE VI. COMPONENT PARTS OF THE AGREEMENT This Agreement consists of the following component parts, all of which are as fully a part of this Agreement as if herein set out verbatim, or if not attached, as if hereto attached: 1. ARTICLE VII. PAYMENT A. The Agreement Sum. The CITY shall pay to the CONTRACTOR for the performance of the Agreement the total sum as set forth below, adjusted by any changes hereafter mutually agreed upon in writing by the parties hereto: • Per Bid Item Basis Not to Exceed $ ( Dollars). • Attached fee schedules shall be firm for the duration of this AGREEMENT. B. Method of Payment. The CONTRACTOR shall submit itemized monthly statements for services. The CITY shall pay the CONTRACTOR within 30 calendar days after receipt of such statement. If any statement amount is disputed, the CITY may withhold payment of such amount and shall provide to CONTRACTOR a statement as to the reason(s) for withholding payment. C. Additional Costs. HOLD HARMLESS The CONTRACTOR covenants and agrees to protect and hold the City of Oshkosh harmless against all actions, claims, and demands which may be to the proportionate extent caused by or result from the intentional or negligent acts of the CONTRACTOR, his/her agents or assigns, his/her employees, or his/her subcontractors related however remotely to the performance of this Agreement or be caused or result from any violation of any law or administrative regulation, and shall indemnify or refund to the CITY all sums including court costs, attorney fees, and punitive damages which the CITY may be obliged or adjudged to pay on any such claims or demands within thirty (30) days of the date of the CITY's written demand for indemnification or refund for those actions, claim, and demands caused by or resulting from intentional or negligent acts as specified in this paragraph. ARTICLE IX. INSURANCE The CONTRACTOR agrees to obtain General Liability Coverage of $500,000 per occurrence. The following must be named as additional insureds — City of Oshkosh, and its officers, council members, agents, employees and authorized volunteers. Certificates of Insurance acceptable to the City of Oshkosh shall be submitted to the applicable City department prior to commencement of the work. These certificates shall contain a provision that coverage afforded under the policies will not be canceled or non- renewed until at least 30 days prior written notice has been given to the City Clerk — City of Oshkosh. ARTICLE X. TERMINATION A. For Cause. If the CONTRACTOR shall fail to fulfill in timely and proper manner any of the obligations under this Agreement, the CITY shall have the right to terminate this Agreement by written notice to the CONTRACTOR. In this event, the CONTRACTOR shall be entitled to compensation for any satisfactory, usable work completed. B. For Convenience. The CITY may terminate this Agreement at any time by giving written notice to the CONTRACTOR no later than 10 calendar days before the termination date. If the CITY terminates under this paragraph, then the CONTRACTOR shall be entitled to compensation for any satisfactory work performed to the date of termination. This document and any specified attachments contain all terms and conditions of the Agreement and any alteration thereto shall be invalid unless made in writing, signed by both parties and incorporated as an amendment to this Agreement. ARTICLE XI. SUSPENSION, DELAY, OR INTERRUPTION OF WORK CITY may suspend, delay, or interrupt the Services of CONTRACTOR for the convenience of CITY.
