BILL OF SALE
KNOW ALL MEN BY THESE PRESENTS, THAT the UNITED STATES OF
AMERICA (the "Government"), acting by and through Administrator of the GSA under and
pursuant to the powers and authority contained in the provisions of the Property Act 40 U.S.C.
101 et.seq., and in accordance with procedures established by the Federal Management
Regulations 41 CFR 102-75, having an address of the General Services Administration,New
England Region, Thomas P. O'Neill Federal Building, 10 Causeway Street, Boston,
Massachusetts 02222, for and in consideration of ONE DOLLAR($1.00) and other good and
valuable consideration, received of the CITY OF OSHKOSH, a Wisconsin municipal
corporation (the "Purchaser"), whose address is 215 Church Avenue, P.O. Box 1130, Oshkosh,
Wisconsin, 54903, the receipt of which is hereby acknowledged, hereby bargains, sells and
conveys, without representation or warranty, express or implied, unto the Purchaser, its
successors and assigns, the Government-owned personal property improvements (the "Property")
located at 221 North Sawyer Street, Winnebago County, Oshkosh, Wisconsin 54901.
The Property is conveyed"as is" and"where is", without representation, warranty, or
guaranty as to quantity, quality, character, condition, size, or kind, or as to the completeness or
accuracy of the description thereof, or that same is in condition to be used for the purpose
intended by Purchaser.
Notice of the Presence of Asbestos (a) The Purchaser is warned that the Property contains
asbestos-containing materials. Unprotected exposure to asbestos fibers has been determined to
significantly increase the risk of cancer, mesothelioma, and asbestosis. These diseases can cause
serious bodily harm resulting in disability or death. (b) The Purchaser is deemed to have relied
solely on its own judgment in assessing the overall condition of all or any portion of the Property
including any asbestos hazards or concerns. (c)No warranties either express or implied are
given with regard to the condition of the Property including, without limitation, whether the
Property does or does not contain asbestos or is or is not safe for a particular purpose. The failure
of the Purchaser to have inspected, or to be fully informed as to the condition of all or any
portion of the Property, will not constitute grounds for any claim or demand against the
Government. (d) The description of the Property set forth herein and any other information
provided with respect to the Property was based on the best information available to the disposal
agency and is believed to be correct, but an error or omission shall not constitute grounds or
reason for any claim by the Purchaser against the Government including, without limitation, any
claim for allowance, refund, or deduction from the purchase price. (e) The Government assumes
no liability for damages for personal injury, illness, disability or death, to the Purchaser, or to the
Purchaser's successors, assigns, employees, invitees, or any other person subject to Purchaser's
control or direction, or to any other person, including members of the general public, arising
from or incident to the purchase, transportation, removal, handling, use, disposition, or other
activity causing or leading to contact of any kind whatsoever with asbestos on the Property. (f)
The Purchaser further agrees that in its use and occupancy of the Property it will comply with all
Federal, State, and local laws relating to asbestos.
The Property is conveyed subject to the right of the Government to terminate the
Leasehold described in that certain Lease No. DA-11-032-ENG-4599 dated December 20, 1956.
The sale of the Property was duly authorized by the United States of America for disposal
pursuant to the provisions of the above-cited Act and orders, regulations and delegations
promulgated thereunder.
TO HAVE AND TO HOLD the Property sold and conveyed hereunder, subject to
the terms herein, to the Purchaser, its successors and assigns forever.
IN WITNESS WHEREOF, the UNITED STATES OF AMERICA, acting by and
through the Administrator of General Services, have caused these presents to be duly executed
for and in its name and behalf by Robert Zarnetske, Regional Administrator, and Glenn C.
