A G R E E M E N T THIS AGREEMENT made and entered into this a/,st day of JANUARY , 19 83 , by and between WATER PRODUCTS CO. of 5431 N. 131st, Butler, WI 53007" , party of the first part, and the CITY OF OSHKOSH, a municipal corporation located in Winnebago County, Wisconsin, hereinafter referred to as the "City", and party of the second part. WITNESSETH: WHEREAS, the Common Council of the City of Oshkosh by resolution duly adopted on the 20th day of January , 19 83 , accepted the bid of the first party and authorized and directed the proper City officials to enter into an agree- ment with the party of the first part for: Brass Goods for Water Utility: 75 - 3/4" XS lead paks 551 .25 10 - 2" copper female unions $130.00 15 - 3/4" XS lead paks to I .P. 87.00 30 - curb box bases 291 .00 10 - 3/4" L.F. lead paks straight 39.00 1 - Magnetic locator 579.00 10 - 1" L.F. lead paks 64.50 25 - 1" X.S. lead paks 328.50 TOTAL BID $2,174.00 25 - 1" copper double unions 103.75 according to the specifications and bid for same on file in the office of the City Clerk. NOW, THEREFORE, pursuant to said resolution of the Common Council of the City of Oshkosh, the parties hereto agree as follows : 1 . That the party of the first part will furnish same to the City, all in accordance with the specifications and bid on file in the office of the City Clerk. 2. That no assignment of this agreement or of any rights thereunder by said party of the first part, shall be valid without the written consent of the City; and that this document including the specifications and bid , constitutes the entire agreement between the parties hereto and that any understanding either oral or written, not a part hereof shall not be binding on either party. 3. That in consideration thereof, the City will pay to the first party the sum of $ 2,174.00 , upon presentation of a proper voucher, and delivery and acceptance by the City in conformity on said specifications and bid. Agrees to exonerate and indemnify'Etna from and against any and all loss and expense of whatever kind including interest, court costs and counsel fees, hereinafter referred to as Loss, which it may incur or sustain as a result of or in connection with: (1) the providing of the Bond; (2) the enforcement of this agreement. Authorizes 'Etna at its discretion and at anytime to file this Agreement as a Financing Statement under the Uniform Com- mercial Code. 5. Agrees that /Etna may enforce said security interests and may demand and secure possession of all property and funds sub- ject thereto upon the happening of any of the following: (a) Failure to pay premium for this Bond, or any other Bond, furnished by /Etna to Applicant, when due. (b) If Applicant is an individual, upon his death, disappearance, incapacity or conviction of a felony. (c) Default in the performance of, or in the payment of bills in connection with, the Contract,or of any other Contract for which 'Etna has provided bond, whether or not such default is formally declared. (d) Insolvency of Applicant. (e) The bringing of any proceedings alleging the insolvency of Applicant. (f) The bringing of any proceedings depriving Applicant of the use of any equipment used or needed in the work. (g) Notice to 'Etna of any fact or circumstance which it reasonably interprets as justification for the enforcement of its security rights. 6. Directs all persons or organizations from whom funds subject to this security agreement are or become payable to pay such funds to /Etna upon its demand, and relieves such persons and organizations from any responsibility for inquiry into the grounds for such demand. 7. Authorizes /Etna, in the event it enforces the security interests granted hereby, to exercise and enjoy all right and title of the Applicant with respect to: (a) Tools, plant, equipment and materials used in or needed for the Project. (b) Subcontracts and other agreements for the furnishing of labor, tools, plant, equipment and/or materials to be used in or for the Project. 8. Agrees that funds realized by'Etna through the exercise of the security rights granted hereby may be applied by the /Etna in discharge of the obligations of Applicant which are set forth in Paragraphs 2, 2(a)and 2(b)of this agreement, and to like obligations which may exist with respect to any other bond which 'Etna may have issued for Applicant. 9. Agrees that'Etna may procure the Bond herein applied for from other surety or sureties, or that/Etna may arrange for par- ticipation by other surety or sureties as co-surety, and that in either event such other surety or sureties shall have the benefit of this agreement and the right to enforce it. 10. Agrees that the validity and effect of this agreement shall not be impaired by, and neither Applicant nor Indemnitor (s) need be notified of, the'Etna's consent or failure to consent, to changes in the terms and provisions of the Bond, or of any obligation or performance secured by the Bond. 11. Waives notice of any fact or information coming to the attention of the /Etna which affects, or might affect, its rights and liabilities, or those of any other party hereto. 12. Agrees that rights under this agreement are supplemental to and not in derogation of'Etna's legal and equitable rights as Surety and that neither the filing of this agreement under the Uniform Commercial Code nor the assertion of rights hereunder shall be construed as a waiver of other rights, including the right of subrogation. 12A. It is also agreed that carbon, photographic or other reproduction of this security agreement may be filed with the appropriate governmental agency, in lieu of the original, as evidence of this security agreement. • 13. Frueh • City Manager PUBLISH : December 28 , 1982 GENERAL PROVISIONS 1 . Proposals shall be submitted on the sheets provided by the City of Oshkosh and proposals not submitted on those forms will be considered irregular and will not be read. 2. Unless stated otherwise in the specifications, all equipment or commodities shall be new and the manufacturer' s current model , complete with all standard equipment and accessories. 3. Full identification of equipment or commodities quoted upon, including brand, make, model , catalog identification number (if any) , and descriptive literature where possible, must be furnished with the bid as an aid in checking the bid against specifications. If the item bid varies in any way from these specifications, special mention must be made of such points or it will be understood that the bidder proposes to meet ,all details of the specifications. 4. Unless stated otherwise in the specifications, all prices shall be F.O.B. Oshkosh, Wisconsin, stated destination, with all Federal Excise and Wisconsin Sales taxes deducted. The City of Oshkosh is exempt from these taxes and will furnish proper exemption certificate, if requested by the successful bidder. 5. If a warranty applies, the bidder shall state the conditions of warranty. 6. When requested in the specifications, the bidder must state the nearest location were parts and repair service will be available. 7. Delivery date must be stated in realistic terms to enable the bidder to adhere to them. 8. Indicate your terms of payment. The City of Oshkosh pays invoices on the first and third Thursday of the month. 9. If there are several items in the bid, the City of Oshkosh reserves the right to accept separate items or to award the total bid to one supplier, whichever is in the best interest of the City. If you bid is qualified in this respect, clearly state whether your bid is for "all or none" or to what extent it is qualified. 10. If there is a trade-in, the City of Oshkosh may elect to accept the bid with trade-in or without trade-in, whichever is in the best interest of the City. 11 . Equipment or items must conform to all applicable Federal Occupational Safety and Health Act provisions. 12. If two or more bidders submit identical bids and are equally qualified, the decision of the City to make award to one or more of such bidders shall be final . Selection shall be made by drawing lots. Cash discounts, when 10 days or longer are allowed will be considered. GENERAL CONDITIONS All material shall be new and American porducts produced by standard manufacturers . To give consideration to bids submitted as being equal to the Mueller or Ford numbered items listed as minimum specifications , it would be well for the bidder to write the brand name and/or number of the item they are bidding in the left hand margin of this proposal form so we are informed as to what product they propose to furnish. Curb stops can be equal to Mueller Oriseal or Ford Ball Valves . Compression valves and fittings must be a positive conductive type suitable for electrical thawing . Company manufacturing must furnish ing writing that compression type valves and fittings can be thawed electrically up to 400 amps . , without damage to material .
