Praska, Assistant City Attorney City of Oshkosh, Wisconsin December 11, 2013 1 ►.��� ENCROACHMENT AGREEMENT This agreement is between the City of Oshkosh (City) and Mark S. Ratchman and Debora A. Ratchman (collectively, Ratchman). The parties enter into this agreement for $1.00 and other good and valuable consideration as described in this Agreement, the receipt of which is acknowledged. Ratchman is the fee owner of Parcel Number 91100360000 (Property),which more particularly described as: Lot Six (6) of Block Eighty-two (82) in ROWLEY'S PLAT, in the Eleventh Ward, City of Oshkosh, Winnebago County, excepting therefrom the North 45 feet thereof, The Property is commonly known as 720 Merritt Avenue, Oshkosh, is located at the northwest corner of the intersection of Merritt Avenue and Bowen Street, and is used for commercial purposes. The City recently identified an underground vault with a surface access point allowing ingress and egress for this Property through a public sidewalk within the Bowen Street right-of-way. The location of the vault and surface access is identified on Exhibit A, which is attached to and incorporated into this Agreement. The vault and surface access point are used by Ratchman to access the basement of their commercial structure. The cover of the underground vault as well as other parts of the surface access structure are deteriorating and need to be replaced. The date that the vault and access structure was installed is unknown, and Ratchman has advised the City that the vault pre-dates their ownership of the Property. The City cannot locate any records indicating that it previously knew of and/or authorized the installation of this underground vault and surface access through the sidewalk. Based upon the history of this matter and the Encroachment's repair /replacement, this Agreement is the only authorization allowing the Encroachment to exist within the City's right-of-way. Ratchman seeks permission from the City to allow it to continue encroaching over, under, and through a portion of the City's sidewalk and right-of-way known as Bowen Street. Ratchman's encroachment includes an underground vault with surface access through the public sidewalk. The City agrees to allow such encroachments provided it is clear that the approval of this encroachment is revocable and is subject to the conditions identified or referenced in this Agreement are followed. The City has reviewed Ratchman's request and will allow the existing underground vault to remain and the repair/replacement of the surface access to the sidewalk, as identified, described, and specified in Exhibit B attached to and incorporated in this agreement. It is agreed that all of the City's terms and conditions in any part of this document are material. Specific terms and conditions of this agreement between City and Ratchman follow. 1. The City grants permission to Ratchman to encroach into the City's public sidewalk and right-of-way for the purpose of maintaining an underground vault and sidewalk access so that Ratchman may access the basement of the December 11, 2013 2 Property on, over, and under the public sidewalk and right-of-way (Encroachment). The City consents to the encroachment provided it is, and remains, materially similar to the location, design, and specifications identified in the attached Exhibits A and B. 2. The Encroachment shall not in any way adversely affect the operation and use of the public sidewalk or street. The door(s) to the surface access shall be closed and locked except for those times the access point is being actively used. Ratchman is responsible for marking hazards and closing the sidewalk during use of the vault's surface access, including appropriate signage and barriers, and for preventing the public from being near the surface access when fully or partially open. 3. The City's permission for the Encroachment is contingent upon the initial, and continuing, compliance with all applicable local, state, and federal statutes, codes, ordinances, and rules. 4. Ratchman agrees that it is solely responsible for the installation and maintenance of the underground vault and surface access, and that it is solely responsible for any and all personal or property damage caused in whole or in part by the existence of this Encroachment. 5. Ratchman is solely responsible for constructing, securing, maintaining, repairing, and replacing the Encroachment. The City does not accept or assume any liability or responsibility for the Encroachment to Ratchman or to any third party by virtue of its permission to locate the Encroachment in the City's public right- of-way. 6. Ratchman acknowledges and agrees that City's public utilities and public facilities within the right-of-way are subject to ongoing investigation, maintenance, repair, replacement, or installation of new or additional facilities. The parties agree to make good faith efforts to coordinate changes to or disruptions related to the Encroachment. The City agrees to make reasonable efforts to provide advance notification to Ratchman in the event that the City undertakes any work or action related to the public utilities and/or public facilities within the right-of-way so that Ratchman may take any necessary actions to protect or remove some or all of the Encroachment within the City's right-of-way. The removal, protection, or replacement of any Encroachment shall be at Ratchman's expense. If Ratchman elects to protect or remove its Encroachment, such actions must be taken within the timeframe for the City's anticipated work. However, the City shall not be responsible for any damage to any Encroachment, or any real property or structure to which the encroachments are attached, related to the City's actions in its right-of-way. 7. In the event that Ratchman fails to remove or protect the Encroachment, or in the event of an emergency, the City may take all reasonable actions to remove and/or protect the encroachment for the purpose of maintenance, repairs, and replacement of utilities and facilities within the public sidewalk and right-of-way. Removal of the encroachment by the City shall be at Ratchman's expense. December 11, 2013 3 Ratchman shall be responsible for repairing, replacing, reinstalling or reconstructing the Encroachment in those circumstances where they are removed or rerouted by the City. Ratchman shall reimburse the City for all costs and expenses related to removing or protecting the Encroachment. Ratchman gives the City permission to enter, access, and alter the Property outside of the public sidewalk and right-of-way to the extent reasonably necessary for the purpose of removing or protecting the Encroachment. 8. The City may revoke its permission for the Encroachment for any of the following reasons: a. The City's use of the public sidewalk and right-of-way prohibits the continued location of the Encroachment; b. The City determines that the Encroachment adversely affects the functioning of the public utilities and public facilities in the right-of-way; c. Future Encroachments are added or the existing Encroachment is altered or expanded without permission; d. Local, state, or federal rules, laws, or guidelines relating to any public utility and/or public facility located in the right-of-way, or any other local, state, or federal law prohibit the continued location of the Encroachment; e. Ratchman fails to properly maintain, repair, or replace the Encroachment; f. Ratchman fails to provide the City with annual written proof that the Encroachment is covered by the required insurance; or, g. Any other lawful reason or circumstance at the City's discretion. 9. Ratchman must remove its Encroachment in its entirety, at its expense, upon the City's revocation of its permission allowing the Encroachment. The City may remove Ratchman's Encroachment after revocation of its permission in the event Ratchman fails to remove the Encroachment after a reasonable time. All expenses incurred by the City shall be reimbursed by Ratchman. 10. Ratchman releases the City of Oshkosh, its employees, agents, elected officials, and authorized volunteers from all debt, claims, demands, damages, actions and causes of action whatsoever which may result from the Encroachment, including the removal and/or rerouting of the Encroachment. Ratchman shall protect and hold the City of Oshkosh harmless against all actions, claims and demands of any kind or character whatsoever which are related to the Encroachment. 11. Both parties understand and agree that accidents and incidents related to the City's public sidewalk and right-of-way, or the City's facilities located in the right- of-way, may result in lawsuits or threats of lawsuits against the City. Therefore, the Ratchman agrees to indemnify and pay to the City all amounts that the City may be required, obligated, or adjudged as responsible to pay,for any dispute or action related to or caused by the Encroachment. This indemnification is broad, and shall include damages, attorney's fees and costs, and defense costs. The payments required of Ratchman by this paragraph are due no later than 30 days after written request for such indemnification. Ratchman agrees that this paragraph shall be liberally construed in favor of the City of Oshkosh, in December 11, 2013 4 consideration of the privilege granted by the City under this Agreement. 12. At all times that the Encroachment is located in the sidewalk and on, over, or under the right-of-way, Ratchman's liability insurance shall cover all potential liabilities related to the Encroachment. Ratchman's insurance shall provide reasonable coverage for potential damages to persons and property cause wholly, or in part, by the Encroachment. Minimum insurance coverage related to the Encroachment shall be $500,000 for each occurrence for bodily injury and property damage liability and $500,000 general aggregate. Ratchman shall include the City of Oshkosh as an additional insured on its policy for claims, liabilities, and damages related to the encroachments. Ratchman shall annually provide the City with proof of insurance covering the Encroachment. 13. Ratchman's responsibilities pursuant to this agreement extend to other persons, contractors, and agents performing work on Ratchman's behalf and related to the Encroachment, as well as successors and assigns, and those with any interest in the Property. 14. This agreement is solely for the benefit of the two parties to this Agreement, and it is not intended to benefit any third party. 15. The election to enforce or not enforce, as well as the timing of enforcement, shall be at the City's sole discretion and shall not act as a waiver of any rights to exercise any right relating to the Encroachment in the future. 16. While Mark S. Ratchman and Debora A. Ratchman are referenced throughout this Agreement collectively as"Rachtman,"their obligations and responsibilities described herein are joint and several. 17. This Agreement shall incorporate, adopt, and apply all immunities and limitations on liability provided to municipalities within the Wisconsin Statutes, regardless of whether a claim is based upon contract, tort, or other theory. This revocable Encroachment Agreement shall inure to the benefit of, and be binding upon, the parties hereto, their successors, tenants, subtenants, licensees, and assigns.
