f ORIGINAL CONTRACTOR AGREEMENT PLAYGROUND EQUIPMENT& INSTALLATION AT TEICHMILLER PARK, CITY OF OSHKOSH, WISCONSIN THIS AGREEMENT, made on the 23rd day of October, 2013, by and between the CITY OF OSHKOSH, party of the first part, hereinafter referred to as CITY, and GERBER LEISURE PRODUCTS INC, PO BOX 42, 132 S. FIRST STREET, MT. HOREB, WI 53572, hereinafter referred to as the CONTRACTOR, WITNESSETH: That the City and the Contractor, for the consideration hereinafter named, enter into the following Agreement. The CITY'S Bid Specifications and Insurance requirements are attached hereto and incorporated into this Agreement. The Contractor's proposal is also attached hereto and reflects the agreement of the parties except where it conflicts with the CITY'S terms within this agreement, in which case the CITY'S Bid Specifications, Insurance requirements, and other terms of this agreement shall prevail. ARTICLE I. PROJECT MANAGER A. Assignment of Project Manager. The Contractor shall assign the following individual to manage the project described in this contract: (Ann Szalkowski, Project Manager) B. Changes in Project Manager. The City shall have the right to approve or disapprove of any proposed change from the individual named above as Project Manager. The City shall be provided with a resume or other information for any proposed substitute and shall be given the opportunity to interview that person prior to any proposed change. ARTICLE II. CITY REPRESENTATIVE The City shall assign the following individual to manage the project described in this contract: (Ray Maurer, Parks Department) ARTICLE III. SCOPE OF WORK The Contractor shall provide services described in the CITY'S RFP Specifications dated August 24, 2013, referred to as the "Request for Proposals for Playground Equipment and Installation Oshkosh Parks Department" and the Contractor's "Playsense Option #2"submitted within their proposal. The Contractor's bid form is attached hereto as 1 • Exhibit A. If anything in the Contractor's proposal conflicts with the CITY'S Bid Specifications or with this agreement, the CITY'S Bid Specifications and the provisions in this agreement shall govern. The Contractor may provide additional products and/or services if such products/services are requested in writing by the Authorized Representative of the City. ARTICLE IV. CITY RESPONSIBLITIES The City shall furnish, at the Contractor's request, such information as is needed by the Contractor to aid in the progress of the project, providing it is reasonably obtainable from City records. To prevent any unreasonable delay in the Contractor's work the City will examine all reports and other documents and will make any authorizations necessary to proceed with work within a reasonable time period. ARTICLE V. TIME OF COMPLETION The work to be performed under this contract shall be commenced and the work will be completed as per the bid specifications and addenda schedules with full completion no later than December 31 , 2013. ARTICLE VI. PAYMENT A. The Contract Sum. The City shall pay to the Contractor for the performance of the contract the sum of $39,933, adjusted by any changes hereafter mutually agreed upon in writing by the parties hereto. Fee schedules shall be firm for the duration of this Agreement. B. Method of Payment. The Contractor shall submit itemized monthly statements for services. The City shall pay the Contractor within 30 calendar days after receipt of such statement. If any statement amount is disputed, the City may withhold payment of such amount and shall provide to Contractor a statement as to the reason(s) for withholding payment. C. Additional Costs. Costs for additional services to be negotiated and set forth in a written amendment to this agreement executed by both parties prior to proceeding with the work covered under the subject amendment. ARTICLE VII. CONTRACTOR TO HOLD CITY HARMLESS The Contractor covenants and agrees to protect and hold the City of Oshkosh 2 • harmless against all actions, claims and demands of any kind or character whatsoever which may in any way be caused by or result from the intentional or negligent acts of the Contractor, his agents or assigns, his employees or his subcontractors related however remotely to the performance of this Contract or be caused or result from any violation of any law or administrative regulation, and shall indemnify or refund to the City all sums including court costs, attorney fees and punitive damages which the City may be obliged or adjudged to pay on any such claims or demands within thirty (30) days of the date of the City's written demand for indemnification or refund. ARTICLE VIII. INSURANCE The Contractor shall provide insurance for this project that includes the City of Oshkosh as an additional insured. The specific coverage required for this project is identified in the CITY'S RFP Specifications dated August 24, 2013, which is fully incorporated into this Agreement. The Contractor is responsible for meeting all insurance requirements. The CITY does not waive this requirement due to its inaction or delayed action in the event that the Contractor's actual insurance coverage varies from the Insurance required. ARTICLE IX. TERMINATION A. For Cause. If the Contractor shall fail to fulfill in timely and proper manner any of the obligations under this Agreement, the City shall have the right to terminate this Agreement by written notice to the Contractor. In this event, the Contractor shall be entitled to compensation for any satisfactory, usable work completed. B. For Convenience. The City may terminate this contract at any time by giving written notice to the Contractor no later than 10 calendar days before the termination date. If the City terminates under this paragraph, then the Contractor shall be entitled to compensation for any satisfactory work performed to the date of termination. This document and any specified attachments contain all terms and conditions of the Agreement and any alteration thereto shall be invalid unless made in writing, signed by both parties and incorporated as an amendment to this Agreement. Option 1 is PlayBooster#1, and Option 2 is Playsense#2. The PlayBooster Option is built with a 5" aluminum post system and the Playsense Option is built with a 4" aluminum extruded post system. Please see the specifications section for information regarding the two different playsystems. General Qualifications Gerber Leisure Products, Inc has been in business since the 1970s. We have been supplying Landscape Structures playground equipment, designing playground sites, supervising community build projects, and coordinating installations with subcontractors, for the State of Wisconsin for almost 40 years. We have completed turn-key projects that have included multiple types of resilient surfacing, walkways, gazebos, water features, seating/site furnishings, existing equipment, bleacher seating, fencing, asphalt and landscaping. Gerber Leisure Products, Inc employs 3 designers, 4 sales representatives and 3 office staff personnel. We work only in the state of Wisconsin. Bob and Ann Szalkowski are the current owners of Gerber Leisure Products, Inc . They will be the key personnel for this project. Please see the resumes that follow. The installation we area providing is by a contracted, certified installer,(Dresen's Decks and Patios) that has been installing Landscape Structures playground equipment for 20 years. They are experts in their field of playground installation, as well as landscapers, and builders. Their sample insurance certificate is included with Gerber Leisure Products and Landscape Structures sample certificates. Project Understanding I understand that the proposal options must be compliant with all ASTM/CPSC guidelines for safety, have IPEMA certification, and also compliant with current ADA guidelines. This is assuming that the city will comply with requirements for access pathways to the site, and if they end up supplying the wood fiber surfacing material, that it will be certified to meet the current guidelines for fall height safety and ADA compliance as well. All of the LSI equipment proposed is compliant with ASTM/CPSC and is IPEMA certified. The designs comply with the ADA requirements for playgrounds. The play structures that we are proposing are constructed with aluminum posts. The Playsense Option uses a 4" diameter extruded aluminum post size (please see attached Playsense. specifications), the PlayBooster uses a 5" diameter post size. All decks will be PVC coated, all steel components will either be powdercoated or PVC coated. Swing Chains for the full bucket seats and the belt seats are Proguard coated chains and the Tire Swing chains will be PVC coated. See the documents for the recycled content of the play structures. I understand that the existing footprint will be used, with no greater an area of 60' x 100' and that play areas shall extend a minimum of 7' from the nearest playground equipment. We used the footprint gained from the Google Earth satellite photo and from measurements in the field. The areas that we used to determine total resilient surfacing areas for each proposal is outlined in Pink on each of the diagrams. PlayBooster Option =4200 sq. ft and the Playsense Option =4700 sq. ft (also listed on each diagram) I understand that there is to be a separate area for the 2-5 year olds and one for the 5— 12 year olds, only separated by distance, not by physical separations. We have divided the two structure/swing areas with the Saddle Spinner(s) and the Bobble Rider. Component inclusion Please see the component.lists that are included with each option. There is a Rock Climbing component/wall , a Creative Slidewinder Slide, age appropriate welcome signs for the 2-5 year old area and the 5-12 year old area , belt swings on the 5" single post swings, and a Full Bucket Infant seat and Full bucket toddler seat on the 2"Arch Swing Frame in the 2-5 year old area. There is also a Tire Swing in the 5-12 year old area. Two spinning components have been included in each option along with either a Single(Playsense Option) or Double Bobble Rider(PlayBooster Option). No Roofs/canopies or Tunnels were included in these proposals. A color chart is enclosed in the binder along with possible color palettes. The colors used in the 3-D's were those selected: Blue, Red, Yellow for the 2-5 year old area and Green, Orange and Purple in the 5-12 year old area. Site Preparation and Installation — WORK PLAN I understand that all site prep and base course will be completed by the city of Oshkosh Parks Dept. We have included the cost for the filter fabric installed, over pea gravel/washed stone(installed by city) and Certified Engineered Wood Fiber @15" depth non-compressed, installed. Our PlayBooster Option includes 195 cu. yds fiber, and the Playsense Option includes 220 cu. yds PlayBooster Option—4200 sq. ft Playsense Option—4700 sq. ft. We understand that if the city decides to supply and install the wood fiber and fabric that the budget made available will go towards the addition of additional equipment for the area. The prices listed on the Cost Proposal Form include the equipment, its *installation, FOB destination freight prepaid, our vendor discount and exemption from Wis. Sales Tax. Prices are valid for equipment ordered and purchased in 2013. Equipment can be held and stored with our installers until 2014 in the event the equipment cannot be installed in 2013 due to weather. In this case, equipment must be paid for 30 days after delivery in 2013, however, installation and surfacing costs will not be billed until the project is completed in 2014. NOTE: Installation as listed in the above paragraph includes digging footing holes on a clear, prepared, level site. We require that the pea gravel/washed stone be installed only after the equipment is concreted in the ground. Digging footings and removing spoils over pea gravel/washed stone may reduce the drainage quality of the stone given the likelihood of the spoils dropping in the stone upon removal from the holes. If the stone is installed in advance, you will lose some quantity upon the digging of the footings through the stone. The installation includes all assembly, hanging of swings, and concrete for all footings as well as the laying of the filter fabric and the installation of the engineered wood fiber. It does not include any site restoration, seeding, walkways/borders, access pathways, site preparation, or surfacing installed in areas not included in the square footage of our proposal. We recommend that safety fencing be erected when the site preparation has begun and remains in place until after the wood fiber surfacing is installed. The addition of the swing bay and the removal of the spring rider were an even swap in cost so the original bid amount does not change.
