THIS AGREEMENT made and entered into this 18th day of November , 1983 ,
by and between AMERICAN CYANAMID CO. of
1 Cyanamid Plaza, Wayne, N.J. 07470 , party of the first part, and the
CITY OF OSHKOSH, a municipal corporation located in Winnebago County, Wisconsin,
hereinafter referred to as the "City", and party of the second part.
WITNESSETH:
WHEREAS, the Common Council of the City of Oshkosh by resolution duly
adopted on the 17th day of November , 198 3 , accepted the bid of the first
party and authorized and directed the proper City officials to enter into an agree-
ment with the party of the first part for:
74,000 lbs. Liquid Polyelectrolyte ( .50 per lb) TOTAL BID $37,000.00
for Water Treatment Plant for 1984,
according to the specifications and bid for same on file in the office of the City
Clerk.
NOW, THEREFORE, pursuant to said resolution of the Common Council of the
City of Oshkosh, the parties hereto agree as follows:
1 . That the party of the first part will. furnish same to the City, all in
accordance with the specifications and bid on file in the office of the City Clerk.
2. That no assignment of this agreement or of any rights thereunder by
said party of the first part, shall be valid without the written consent of the City;
and that this document including the specifications and bid, constitutes the entire
agreement between the parties hereto and that any understanding either oral or written,
not a part hereof shall not be binding on either party.
3. That in consideration thereof, the City will pay to the first party
the sum of $ 37,000.00 , upon presentation of a proper voucher, and
delivery and acceptance by the City in conformity on said specifications and bid.
IN WITNESS WHEREOF, the parties hereto have caused this agreement to be
signed by the proper officers of each party and their corporate seals to be hereunto
affixed all on the day and year first above written; then if first party is a cor-
poration or partnership, the signing of this agreement shall constitute a warranty by
the person(s) so signing the proper authority so to do.

1 . We are submitting wherewith for your consideration. an in-
vitation to bid" on:

2 . Bids must be addressed to Oshkosh Purchasing Division,
P.O. Box 1130 , City Hall , Oshkosh , Wisconsin 54902 . Envelope
shall show name of bidder , and must be plainly marked in the
lower left hand corner "Bid for Polyelectrolyte"
3 . Bids must be on file in the office of the Purchasing Agent no
later than 10 : 30 a.m. , C.S .T . , Wednesday ,November 16 , 193
Any bids received after that hour and date will not be opened
and will be returned to the bidder unread.
4 . A written request for the withdrawal of a bid or any part
thereof may be granted if the request is received by the City
prior to the specified time of opening .
5 . All formal bids submitted shall be binding for thirty-five ( :35 )
calendar diys following bid opening date , unless the bidder(s )
upon request of the Purchasing Agent , agrees to an extension.
6 . Bids will be publicly opened and read at the hour and date
above stated. Award, if any , will be made as soon thereafter
as practical .
7 . Although no certified check , cashier ' s check, or bid bond must
accompany the proposal , if the bid is accepted, the bidder must
execute and file the proper contract within ten (10 ) days after
award by the Common Council and receipt of the contract form
for signature .
8 . The City reserves the right to reject any and all bids and to
waive any informalities in bidding .

SPECIFICATIONS FOR LIQUID POLYELECTROLYTE
Scope:
These specifications for furnishing liquid polyelectrolyte in conformance with
the requirements set forth herein and delivered to the purchaser in 55 gallon
drums at the Oshkosh, Wisconsin Water Filtration Plant. The material to be
furnished shall be for use in the treatment of a municipal water supply. Bids
shall be for furnishing an estimated quantity of 7)4, 000 1bs. of liquid polyelec-
trolyte.
Quality:
A. Bidders shall be required to file proof that the specific polyelectrolyte
has been certified by the USEPA and Wisconsin DNR for use in potable water
systems. Such proof must accompany sample.
B. It shall not affect the pH, add to the dissolved solids, or increase the
total hardness of the water.
Characteristics:
A. The materials shall be furnished in the liquid form only and shall not
contain any objectionable solids or other foreign substances.
B. The polymer shall be chlorine resistant.
C. It shall be active in the pH range of 7 to 12.
Storage:
The polymer shall have a storage life of 12 months minimum when stored in closed
drums. The dillute solution (10% approximate) shall have a storage life of at
least 30 days in an open tank, without benefit of germicidal or bacteriostatic
additives.
Procedure of Obtaining Acceptance of a Specific Polyelectrolyte
There are large numbers of polyelectrolytes available from a host of manufac-
turers. Since the polymers are organic in nature, there will be a wide variation
in chemical and physical properties. Therefore, the City of Oshkosh will not be
able to award a contract to a specific bidder on price alone. Consideration
will be given to effectiveness, activity, and total application cost of the
material . For a product to be considered, each bidder must submit a 5-ounce
sample of the liquid concentrate. A series of laboratory evaluations will then
be made at the Filtration Plant. The tests will be made only on naturally
occurring turbid waters, not on synthetically created turbid waters.
Submission of a sample shall not obligate the City of Oshkosh Laboratory to make
immediate evaluations. Conditions of the raw-water supply and convenience shall
be the determining factors.

GENERAL PROVISIONS
1 . Proposals shall be submitted on the sheets provided by the City of
Oshkosh and proposals not submitted on these forms will be considered
irregular and will not be read.
2. All prices shall exclude any Federal Excise Tax or State of Wisconsin
Sales Taxes as the City of Oshkosh is exempt from such taxes and will
furnish an exemption certificate, if requested by the successful
bidder.
3. As stated in the Requirements and Specification sheets for Liquid
Polyelectrolyte, all prices shall be F.O.B. Oshkosh Water Filtration
Plant at the Foot of Washington Avenue.
4. Although we would prefer to have no drum deposit charge for the various
chemicals, if there must be a deposit charge, show such cost on the
proposal form.

6. Bidders are requested to quote their best cash discounts in the space
provided on the attached proposal sheet.
7. Invoices shall be sent to the Oshkosh Purchasing Division, P.O. Box
1130, Oshkosh, WI 54902, in duplicate, as soon as possible after
delivery so we can pay them promptly.
If laboratory evaluations of a specific product warrant further tests, and the
City of Oshkosh so requests, the bidder must supply enough polymer for a two-
week practical test under actual plant conditions. The material must be fur-
nished at the bidder' s expense, shipped Freight Prepaid to the City of Oshkosh
Water Filtration Plant. During the plant trial , the City of Oshkosh will not
provide any special material handling or feeding equipment. The plant trial
will be conducted at the convenience of the Water Department and as determined
by the condition of the raw-water supply. If a bidder elects to furnish mate-
rial for the practical test, this shall not be interpreted as a guaranteed
approval of the product. Product approval will be based on performance under
actual plant conditions. The following is a list of approved products :
Nalco 8102, American Cyanamid 587C.
Regulatory Agency Approval
Certification of USEPA must be furnished to indicate the maximum concentration
of the polyelectrolyte which may be applied in the production of potable water.
Allowable concentration must be at least 30 mg/1 .
