THIS AGREEMENT, made on the 4th day of November , 1983 ,
by and between the CITY OF OSHKOSH, party of the first part , hereinafter
referred to as the CITY, and AUGUST PITZ & SONS
of 459C Church Avenue, Oshkosh, WI 54901
party of the second part, hereinafter referred to as the CONTRACTOR,
WITNESSETH: That the City and the Contractor, for the
considerations hereinafter named, agree as follows :
ARTICLE I . SCOPE OF WORK
The Contractor hereby agrees to furnish all of the materials
and all of the equipment and labor necessary, and to perform all of
the work shown on the plans and described in the specifications for
the project entitled or described as follows :
For alterations to the shelter at Rainbow Park, pursuant to Resolution #2
adopted by the Oshkosh Common Council on November 3, 1983,
all in accordance and in strict compliance with the contractor' s
proposal and the other contract documents referred to in ARTICLE V
of this contract.
ARTICLE II . TIME OF COMPLETION
The work to be performed under this contract shall be commenced
and the work completed within the time limits specified in the General
Conditions and/or Contractor' s proposal.
ARTICLE III . "'PAYMENT.
(a) The Contract Sum.
The City shall pay to the Contractor for the performance of the
contract the sum of $ 8,750.00 , adjusted by
any changes as provided in the General Conditions , or any
changes hereafter mutually agreed upon in writing by the parties
hereto , provided, however, in the event the proposal and contract
documents are on a "Unit Price" basis , the above mentioned figure
is an estimated figure, and the City shall , in such cases , pay
to the Contractor for the performance of the Contract the
amounts determined for the total number of each of the units
of work as set forth in the Contractor ' s proposal ; the number
of units therein contained is approximate only , and the final
payment shall be made for the actual number of units that are
incorporated in or made necessary by the work covered by the
contract .
(b) Progress Payments .
In the event the time necessary to complete this Contract is
such that progress payments are required , they shall be made
according to the provisions set forth in the General Conditions.
ARTICLE IV. CONTRACTOR TO HOLD CITY HARMLESS
The Contractor covenants and agrees to protect and hold the
City of Oshkosh harmless against all actions , claims and demands of
any kind or character whatsoever which may in any way be caused by
the negligent digging up of streets , alleys or public grounds or
which may result from the faulty , carelessness or neglect of said
Contractor, his agents , employees or workmen in the performance of
said work or caused by the violation of any City ordinance, and
shall refund to the City all sums which it may be obliged or adjudged
to pay on any such claims or demands within a reasonable time after
demand thereof .
ARTICLE V. COMPONENT PARTS OF THE CONTRACT
This contract consists of the following component parts , all of
which are as fully a part of this contract as if herein set out
verbatim, or if not attached , as if hereto attached :

4 . Specifications , including any addenda
5. Plans
6 . Contractor 's Proposal
7 . This Instrument
In the event that any provision in any of the above component
parts of this contract conflicts with any provision in any ether of
the component parts , the provision in the component part first
enumerated above shall govern over any other component part which
follows it numerically except as may be otherwise specifically stated .
IT IS HEREBY DECLARED , UNDERSTOOD AND AGREED that the word
"Contractor" wherever used in this contract means the party of the
second part and its/his/their legal representatives , successors and
assigns .

contract to be sealed with its corporate seal and to be subscribed to by its
City Manager and City Clerk and countersigned by the Comptroller of said City,

General Construction for alterations to Shelter - Rainbow Park
NOW, THEREFORE, if the said Contractor shall save and hold harmless the
said Owner from all Public Liability and Damages of every description in
connection therewith, shall well and faithfully in all things fulfill the said
contract, according to all the conditions and stipulations therein contained,
in all respects, and shall save and hold harmless the said Owner from and against
all liens and claims of every description in connection therewith, including
payment for all materials, labor and equipment, then this obligation shall be
void and of no effect, but otherwise, it shall remain in full force and virtue,
and in the event that the said Owner shall extend the time for completion of
the work or otherwise modify elements of the contract in accordance with
provisions thereof, such extensions of time or modifications of the contract
shall not in any way release the sureties of this bond.

INSTRUCTIONS TO BIDDERS
IB-1 DESCRIPTION OF WORK
Under this contract the City of Oshkosh will receive bids for
construction of work as stated in the proposal.
IB-2 PLANS DEPOSIT
A deposit of $10.00 will be required for the plans and specifications.
The deposit will be returned within 10 days after letting for plans
and specifications returned in good condition.
IB-3 PREQUALIFICATION OF CONTRACTORS
The Wisconsin Statutes, under section 66.29 permits the prequalifica-
tion of all contractors interested in submitting a bid on a municipal
project.
A questionnaire will be sent to each contractor requesting plans and
specifications for this project. Each contractor shall return the
questionnaire prior to receiving plans, specifications and bid proposal.
THIS QUESTIONNAIRE MUST BE RETURNED AT LEAST FIVE (5) DAYS BEFORE THE
OPENING DATE OF THE BIDS TO THE PERSON IN CHARGE OF RECEIVING THE BIDS
DESIGNATED ON THE QUESTIONNAIRE. IF, IN THE OPINION OF THE OWNER, BASED
ON INFORMATION CONTAINED IN THE QUESTIONNAIRE, THE CONTRACTOR IS NOT
QUALIFIED TO CARRY OUT THE PROVISIONS OF THIS CONTRACT, THE CONTRACTOR
WILL BE NOTIFIED.
IB-4 SECTIONS TO BE READ BY THE CONTRACTOR
Before submitting a bid all contractors and subcontractors shall read
the Official Notice, Instructions to Bidders, General and Special
Conditions, Specifications and Contract all of which contain provisions
applying to all contractors and subcontractors. The execution of a
proposal will be considered by the City of Oshkosh as evidence that the
contractor is familiar with every and all requirements for carrying out
the project for which the bid is submitted.
IB-5 EXAMINATION OF PLANS AND SITE
Bidders must satisfy themselves by personal examination of the location
and the proposed work by examining the plans on file with the Owner and
by such other means as they may prefer as to the accuracy of the schedule
and quantities of work to be done, the intent of the specifications,
requirements of the Owner, and the Engineer.
The bidders are expected to make a thorough examination and familiarize
themselves with the site of the work, nature of the soil, and all local
conditions affecting the execution of the work.
Bidders are required to inform themselves fully of the conditions
relating to the construction and Labor under which the work is to be
done or is now being performed and the successful bidder must employ
as far as possible the methods and means for carrying out this work as
will not cause any interference or interruption with other contractors.
After the submission of a proposal, no complaints or claims that there
was any misunderstanding in regard to the estimates of the Owner or the
nature of the quantities of work to be done will be entertained.

IB-6 PROPOSAL FORM
The proposal form hereto attached shall be used. The bid price
shall be inked and in writing and figures and in the case of
conflict the former shall apply. Where unit prices are called for,
each of these items must be filled in. All computations in a unit
price bid will be checked by the Engineer and corrections made where
an error in computation is found and the corrected figures used to
determine the total. The contractor shall bid on all items. If
any item is omitted, the bid will be considered incomplete and
rejected. The total amount of the bid will be the summation of the
extensions of the unit prices with the estimated number of units.
Only proposals which are made out on the regular proposal forms attached
hereto will be considered. The proposal forms must not be separated from
the attached volume. •
IB-7 TIME OF COMPLETION
Where so provided in the proposal of the contractor he shall specify
the number of calendar days after the award of the contract when he
will begin the work and the number of calendar days he will require to
complete the work. A calendar day is considered 24 hours. He may be
granted an extension of time as provided in the specifications.
When a contractor is delayed for any reason whatsoever, and such
delay may prevent him from completing his contract within the time
specified, he may apply for an extension of time to the City but such
request must be made in writing within five (5) days after a delay
occurs. The request shall clearly and concisely set forth the cause
of the delay and the extension of time requested. The City will review
the request based on its merits.
The contract shall be considered completed when in the judgment of the
Engineer all work called for in the specifications has been completed
and the construction becomes usable to the City.
IB-8 REQUIREMENT FOR SIGNING BIDS
(1) Bids which are not signed by individuals making them should have
attached power of attorney evidencing authority to sign the bid in
the name of the person for whom it was signed.
(2) Bids which are signed for a partnership should be signed by all
of the partners, or by an attorney-in-fact. If signed by an attorney-
in-fact, there should be attached to the bid a power of attorney,
evidencing authority to sign the bid, executed by the partners.
(3) Bids which are signed for a corporation shall have the correct
corporate name thereof and the signature of the president or other
authorized officer of the corporation manually written below the
corporate name followed by the word, " By ."

IB-9 WITHDRAWAL OF BID
Proposals may be withdrawn any time previous to the hour of opening
the bids but no proposal may be withdrawn after the time of opening
bids is passed, for a period of thirty (30) days.
IB-10 REJECTION OF BIDS
The right is reserved by the Owner to reject any and all bids or
to award any and all contracts to bidders who, in the judgment of
the Owner, will best serve the Owner. The City reserves the right
to reject the bid on any items which they may decide not to have
installed.
A bid which has not been prepared according to the instructions
contained herein or which does not contain a unit price which is
both adequate and reasonable for each and every item named in the
proposal is subject to rejection. Unbalanced bids are subject to
rejection.
IB-11 WHEN AWARD EFFECTUAL
The Contract shall be deemed as having been awarded when formal
notice of award shall have been duly served upon the intended
awardee (i.e., the bidder to whom the Owner contemplates awarding
the contract) by some officer or agent of the Owner duly authorized
to give such notice.
IB-12 RETURN OF BID GUARANTEE
The bid deposit of all except the three (3) lowest bidders will be
returned within three (3) days after opening of all bids. The bid
deposit of the three (3) lowest bidders will be returned within forty-
eight (48) hours after contract and required bonds have been finally
approved by the Owner.
