THIS AGREEMENT made and entered into this 8th day of
November, 1985, by and between AEROTRON, INC., P.O. Box 27500,
Raleigh, N.C. 27611, party of the first part, and the CITY
OF OSHKOSH, a municipal corporation located in Winnebago County,
Wisconsin, hereinafter referred to as the "City", and party of the
second part.
WITNESSETH:
WHEREAS, the Common Council of the City of Oshkosh by reso•-
luton duly adopted on the 7th day of November, 1985, , accepted
the bid of the first party and authorized and directed the proper
City officials to enter into an agreement with the party of the
first part for:
base stations for Fire & Police Departments
according to the specifications and bid for same on file in the
office of the City Clerk.
NOW, THEREFORE, pursuant to said resolution of the Common
Council of the City of Oshkosh, the parties hereto agree as
follows:
1 . That the party of the first part will furnish same to the
City, all in accordance with the specifications and bid on file in
the office of the City Clerk.
2. That no assignment of this agreement or of any rights
thereunder by said party of the first part, shall be valid with-out
the written consent of the City; and that this document including
the specifications and bid, constitutes the entire agreement be-
tween the parties hereto and that any understanding either oral or
written, not a part hereof shall not be binding on either party.
3. That in consideration thereof, the City will pay to the
first party the sum of $12,680.00 , upon presentation of a proper
voucher, and delivery and acceptance by the City in conformity on
said specifications and bid.

IN WITNESS WHEREOF, the parties hereto have caused this agree-
ment to be signed by the proper officers of each party and their
corporate seals to be hereunto affixed all on the day and year
first above written; then if first party is a corporation or part-
nership, the signing of this agreement shall constitute a warranty
by the person(s) so signing the proper authority so to do.

Subject : Invitation to Bid
VHF Base Stations for Police & Fire Departments
Dear Mr. LaFontaine:
Thank you for the opportunity to bid on the proposed purchase
of radio equipment for the Oshkosh Police and Fire Departments.
We have included our response to the bid on the accompanying
page that has been provided by the City of Oshkosh. Descriptive
literature is also a part of this package.
As always, Motorola will provide the top quality and performance
that you have come to expect from us. We are anxious to work
with your department heads to develop a COMMUNICATIONS SYSTEM
that works, and works well. Our experience has shown that good
sound solid system design requires time to plan and a unique
partnership that grows when it is built upon the trust that
develops between a reliable vendor and the customer. We also
realize that the City of Oshkosh has a budget that must be considered
above all else.
To those ends, we have structured this, our bid response, to
offer you only the basics, the bare essentials. We offer no
,r frills and no unnecessary costs. We have shaved this proposal
to include only the three base station/repeaters asked for in
u the general body of the bid package and we have taken exception
~ to areas of the bid that could cost the City of Oshkosh money.

4. We are willing to work with you on the issue of "trade-in"
however there is no consideration for it in the body of
our response.
0(5. We will consider a cash discount if you wish to change the
terms in #3 above.
J6. We will not provide manuals to tihe city. Our service agencies
already have them. ,'p , '
7. No training should be required in this case, but we will
it as a free service if necessary.
8. Emergency stand-by capabilities on the new system will be
the same as that in present operation: From the 911 center
control console via manual switchover with LED indicator.
9. We will not address the question of a move to the fire statiof
until your department heads are fully aware of all RF and .
FCC licensing ramifications involved. For instance, the R ''`
City Hall cavities and protection devices are engineered ' 't {1
for the RF at the City Hall site. The fire station site . `; f H : 1 ;
has completely different RF and protection requirements`'" f
which can be identified only by an engineering study. p _,
We will aid you in modifying your FCC license and identifying
those devices if you ultimately decide to move. However,
in order to save you money, neither the engineering study
nor the devices, nor the move will be a part of this bid
response.
10. We will not provide 4 channel capable repeaters since DC
control is not capable of doing that without extensive
modifications.
0 11. Your repeaters will be intermittent duty rated, but you
choose to select a continuous duty rating for an
additional $342. 00 per station.

NOW, THEREFORE, the condition of the above obligation is such, that if the above bounden
Principal shall well and truly and in good, sufficient and workmanlike manner, perform or cause
to be performed the said contract, and each and every of the covenants, promises, agreements
and provisions therein stipulated, and in each and every respect comply with the conditions there-
in contained, then this obligation to be void; otherwise to remain in full force and virtue.
No claim, suit or action by reason of any default shall be brought against the Principal or
Surety after two years from date hereof. If this limitation is made void by any law controlling
the construction hereof, such limitation shall be deemed to be amended to equal the minimum period
of limitation permitted by such law. The Principal shall be made a party to any suit or ac-
tion,
and be served with process commencing the same if the Principal can with reasonable dili-
gence be found. No judgment shall be rendered against the Surety in excess of the penalty of this
instrument.
