CITY OF OSHKOSH
AND THE
EAST CENTRAL WISCONSIN REGIONAL PLANNING COMMISSION
This Pass-Through Agreement between the City of Oshkosh (City) and the East
Central Wisconsin Regional Planning Commission (Commission) is entered into on
this 2L day of MoSTr, 1987.
WITNESSETH THAT:
Whereas, the East Central Wisconsin Regional Planning Commission has been
designated by the Governor as the Metropolitan Planning Organization (MPO) for
the purpose of carrying out continuing, comprehensive cooperative urban
transportation planning in the Appleton and Oshkosh Urbanized Areas, and
Whereas, a memo of understanding between the Commission and the City was
executed in 1977 recognizing East Central as the agency responsible for
areawide transit planning, and
Whereas, the Urban Mass Transportation Administration (UMTA) has annually made
Section 8 transit planning funds available to the Commission for the purpose
of conducting technical studies for the planning, design and evaluation of
public transit systems as- described in its approved Planning Work Program for
the Appleton and Oshkosh areas, and
Whereas, because of Congressional inaction on the new transportation funding
bill for 1987, the Commission was not granted its full 1987 allocation of UMTA
Section 8 funds, and
Whereas, to compensate for the shortfall in Section 8 funds for 1987, Oshkosh
Transit System submitted application for Section 9 planning funds in the
amount of $37,230, and
Whereas, UMTA approved this request for funds on June 19, 1987, and
Whereas, the City of Oshkosh is the designated recipient of the Section 9
funds,
NOW THEREFORE, the parties do mutually agree as follows:
Article 1: Use of Planning Funds
1. The City agrees to provide Section 9 funds in the amount of $37,230 to
the Commission for the purpose of carrying out transit planning
activities outlined in the 1987 Planning Work Program.
2. The Commission will provide for the required local match.
Article II: Method of Payment
A. The Commission shall submit two quarterly billings to the City, one at
the end of the third quarter, and one at the end of the fourth quarter of
1987.
B. Costs incurred since July 1, 1987 are eligible for reimbursement under
this agreement.
C. The total payment to the Commission under this Agreement may not exceed
$37,230.
Article III: Records and Audits
The Commission shall maintain complete and accurate records with respect to
allowable costs incurred under this Agreement. All such records shall be on a
generally accepted accounting basis and shall be clearly identified and
readily accessible. The Commission shall provide free access to
representatives of the City, Wisconsin Department of Transportation, U.S.
Department of Transportation, and the Comptroller General of the United States
at all proper times to such data and records, and the right to inspect and
audit all data and records of the Commission relating to work activities under
this Agreement, and to make transcripts therefrom as necessary to allow
inspection of all work data, documents, proceedings, and activities related to
this Agreement for a period of three years from the day of final payment under
this Agreement.
Article IV: Equal Employment Opportunity_
In connection with the performance of work under this Agreement, the
Commission and the City agree not to discriminate against any employee or
applicant for employment because of age, race, religion, color, handicap, sex,
physical condition, developmental disability as defined in s.51.05(5), or
national origin.
Article V: Minority Business Enterprise
In connection with the performance of work under this Agreement, the
Commission will cooperate with the City in meeting commitments and goals with
regard to the maximum use of minority business enterprises.
Article VI : Interest of Public Officials
No member, officer, or employee of the public body or of a local public body
during his tenure or for one year thereafter shall have any interest, direct
or indirect, in this Agreement or the proceeds thereof.
Article VII : Pass-Through Administrator
The City's Pass-Through Administrator shall be the Transportation Director or
his designated representative. All matters related to this Agreement
requiring formal action by the City shall be authorized in writing by the
Transportation Director.
IN WITNESS WHEREOF, the parties hereto have executed this Contract in the
manner most appropriate to each.
