The Oshkosh Commercial Development Corporation, herein referred to as OCDC, and
the City of Oshkosh, herein referred to as CITY, agree as follows :
1. The City shall :
A. Provide funding of $12,500 to OCDC for the purpose of
personnel expenses for the 9-month period between
June 1, 1986 and February 28, 1987.
(1) Funding for the period June 1 , 1986 to February 28,
1987 shall be paid with the 1986-87 allocation of
Community Development Block Grant funds. Should
said Community Development Block Grant funds not be
received by the City, this Agreement shall be null
and void.
(2) Funds to be released monthly, in advance, upon
receipt of proper invoice.
B. Provide personnel to administer the Commercial Rehabilitation Program.
C. Provide a general consulting service to OCDC as it is capable of
doing so.
2. OCDC shall :
A. Promote the Oshkosh Commercial Rehabilitation Program and act as
a review board to encourage coordinated rehabilitation of existing
commercial buildings in the Central Business District.
B. Promote and encourage beautification of the Central Business District.
C. Review the City's plans for improvements to the Central Business
District and to enlist private sector support for the plans which
complement the objectives of OCDC.
D. Actively promote the Central Business District to new and expanding
businesses.
E. Provide the City with copies of an operating budget and an annual
audited financial statement.
F. Shall cooperate and provide information necessary for the City to
monitor this activity.
3. OCDC has contracted with Oshkosh Association of Manufacturers and Commerce
to provide administrative services in order to accomplish the above.
(See Addendum A)
4. If the City or OCDC is unable to meet their full responsibility under
the terms of this Agreement, adjustments to this Agreement may be
mutually agreed upon.

5. Should it be determined by the City that OCDC is not performing in
accordance with this Agreement and the applicable Department of
Housing and Community Development regulations, the City at its
discretion can terminate this Agreement and recover funds allocated
under this Agreement.

ADDENDUM A
MEMORANDUM OF UNDEF:STANDING
Oshkosh Commercial Development Corporation, Inc. , herein referred
to as OCDC; and the Oshkosh Association of Manufacturers and
Commerce, herein referred to as OAMC, do hereby enter into this
memorandum of understanding this 9th day of October, 1984.
WHEREAS, OCDC- and OAMC do hereby agree that increasing the area
economy may best be served by increasing the job opportunities
through the expansion of existing business and industry;
expansion and/or relocation of new business and industry to the
city of Oshkosh and Winnebago County, and
WHEREAS, OCDC and OAMC do hereby agree that existing business and
industrial expansion accounts for more than sixty percent (607.)
of all new basic job opportunities in the city of Oshkosh and
Winnebago County, and
WHEREAS, OCDC and OAMC agree that to protect this valuable
community asset, the first priority of the economic/commercial
development program is the maintenance of an active liaison with
existing business and industry, and
WHEREAS, OCDC and OAMC feel that instrumental to the assistance
of existing business and industry, and the solicitation of new
industry is the development and maintenance of relevant
statistical information to respond to inquiries from both
existing and relocating or expanding business and industry, and
WHEREAS, OCDC and OAMC agree that a total unified community
effort of both the private and public sectors, under the
direction of the OCDC Board of Directors, will provide an
environment of total community support and service,
THEREFORE BE IT RESOLVED, that OCDC and OAMC do hereby agree to
establish this memorandum of understanding for the purpose of
promoting the creation of new job opportunities; expansion of the
tax base of the city of Oshkosh and Winnebago County; increase

the economy of the city of Oshkosh and Winnebago County through
assistance to existing business and industry; and, through the
promotion of the city of Oshkosh and Winnebago County to
commerical and industrial prospects seeking to expand or
relocate.
I . ADMINISTRATION
•
A. OCDC agrees to retain the Executive Vice President of OAMC
to undertake the general management and coordination of
all organizational activity; . direct all planning aims
at deciding methods of implementation of OCDC goals; to be
responsible for implementation of OCDC policy as directed by
the OCDC Board of Directors.

B. Specific duties:
1 . Assist the President and/or responsible officers in
selection, education and motivation of all necessary
committee personnel .
2. Direct processing of appointments relative to their
completion and staff committee meetings, to include
planning, notices, . preparation of necessary
information, minutes, etc.
3. With the approval of the OCDC Board of Directors (and
Executive Committee) , develop long-range plans for the
achievement of important goals.
4. Employ necessary personnel (see addendum A for Job
Description of principal staff assigned to OCDC
activity) to accomplish OCDC (goals.
5. Direct all public communication.

b. Direct the representation of OCDC at various meetings
on various occasions to include appearances as witness
before local , state and federal bodies and/or agencies;
public addresses and/or secure other speakers
concerning OCDC; and maintain a list of available
speakers.
7. Maintenance of close liaison with groups in community.
S. Prepare and present to the Board of Directors of OCDC,
periodic reports on OCDC activity.
9. Prepare and present annual goals and objectives, annual
budget and a method of program evaluation, specifying
performance indicators and attendant time lines.
C. The Executive Vice President is accountable to the President
of OCDC, the Executive Committee of OCDC, and the Board of
Directors of OCDC.
D. OCDC agrees to compensate OAMC for staff support, based upon
actual time sheets and related expense reports submitted.
E. This Memorandum of Understanding shall be in effect upon
proper execution thereof by both parties hereto and shall
continue on September 30, 1985.
F. This Memorandum of Understanding shall be binding on all
parties hereto and their successors and assigns.
G . This memorandum of understanding shall be reviewed annually
by OCDC and OAMC , and renewed annually upon mutual agreement
by both parties .
