Yours truly, CITY OF OSHKOSH ewe Carol Marchant Administrative Assistant Enclosure cc: Pam Ubrig, City Clerk (w/original) Carol Poklasny, OFD (w/copy) City Attorney File (w/copy) AGREEMENT CITY OF OSHKOSH AND Tough Mudder LLC PARAMEDIC AMBULANCE STAND-BY 2013 TOUGH MUDDER WISCONSIN ' THIS AGREEMENT made and entered into this day of August,2013,by and between Daniella Sloane,Tough Mudder LLC,55 Washington St,Ste 329,Brooklyn NY 11201,hereinafter called"Tough Mudder LLC",and the City of Oshkosh,a municipal corporation,hereinafter called "CITY". WHEREAS, Tough Mudder LLC,has requested the CITY provide a dedicated paramedic ambulance for stand-by,during specified hours for the Tough Mudder Wisconsin event at the EAA Grounds in Oshkosh WI, and WHEREAS,the Common Council for the City of Oshkosh has authorized the appropriate City officials to enter into such an agreement. NOW,THEREFORE,it is agreed by and between the parties to this agreement that the CITY shall provide two(2)two-person paramedic ambulances and six(6)ATV crews to be present at the EAA grounds during the Tough Mudder event on Saturday,Sept 7 from 7:30 a.m.to 7:00 p.m.and Sunday, September 8,2013 from 7:30 a.m.to 6:00 p.m. The role of these units shall be to provide Basic Life Support (BLS) and Advance Life Support(ALS)for emergencies,if they occur. Minor first aid and re-hydration will not be a primary function of this unit. Emergencies requiring a response beyond the capabilities of the unit on scene or emergencies occurring while the on-scene unit is busy on any emergency will be handled by a response of on-duty resources. IT IS FURTHER AGREED that Tough Mudder LLC shall pay$108.60 per hour for each ambulance and$96.10 for each ATV crew.Billed time will commence 30 minutes prior to the start of stand-by and end 30 minutes after the termination of stand-by.Any additional hours requested or required to provide adequate service in the sole opinion of the Duty Chief for the City of Oshkosh Fire Department, shall be added to the prescheduled stand-by hours and billed at the same hourly rate.If for any reason the event is cancelled,a three(3)hour minimum will be charged if the event is not cancelled at least twelve(12)hours before the scheduled start time. There will also be an RV rental fee for the use of five(5)all-terrain vehicles at the rate of $100 per day per each ATV,plus$60 delivery charge covering all units. Pre-event cancellations shall be made by calling(920)236-5240 between 8:00 a.m.and 4:30 p.m. Monday through Friday or(920) 236-5271 at other times. The CITY shall invoice Tough Mudder LLC following the event,with payment to be made within 30 days of receipt of invoice. Failure to timely pay an invoice shall be a breach of this agreement. All patients requiring transport by the Oshkosh Fire Department ambulance will be billed for services rendered according to the CITY's usual and customary procedures and rates for service. TOUGH MUDDER shall indemnify and save harmless the CITY from and against any and 1 all losses,claims,demands,penalties,fines,causes of action,costs,damages,expenses and liability, including without limitation any attorney or consultant fees, investigation fees, court costs and litigation expenses, and other costs of defense arising out of or in any manner related to TOUGH MUDDER's operation during this event,including but not limited to: A. Any personal injury or bodily injury(including wrongful death)or property damage(real or personal); B. Any lawsuit brought or threatened,settlement reached,or local,state,or federal government or agency order, including, but not limited to claims, costs, liabilities, or expenses arising under federal, state, or local law; C. Any violation of laws, orders,regulations,requirements, or demands of any governmental authorities; and, D. Any breach or violation of any contractual provision of whatever kind with any third party.
