AMENDMENT TO 1989 URBAN MASS TRANSIT OPERATING ASSISTANCE CONTRACT BETWEEN THE STATE OF WISCONSIN AND CITY OF OSHKOSH This Contract Amendment is made and entered into between City of Oshkosh, Wisconsin, hereinafter referred to as "Recipient," and the State of Wisconsin Department of Transportation, hereinafter referred to as "Department." RECITALS WHEREAS, the Recipient and the Department have entered into a 1989 Urban Mass Transit Operating Assistance Contract for the period January 1, 1989 through December 31, 1989, in accordance with Wis. Stat. 85.20; and WHEREAS, funds available were adequate to satisfy only a portion of the maximum state share allowable under the state aids distribution formula; and WHEREAS, additional funds are now available under Wis. Stat. (1989) 20.395(1) (bq) for this mass transit aid program; and WHEREAS, such funds are available to a local public body in an urban area that includes a city or village of more than 2,500 population which is served by an urban mass transit system incurring an operating deficit; and WHEREAS, the Recipient is a local public body of more than 2,500 popula- tion and will pay the operating deficit of the urban mass transit system known as the Oshkosh Transit System, hereinafter referred to as "Transit System"; and WHEREAS, the Recipient is therefore eligible to receive mass transit aid program funds: The parties agree to amend the 1989 Urban Mass Transit Operating Assis- tance Contract in the manner set forth below: I. Under SECTION I: DEFINITIONS. In paragraphs A and B, replace March 31, 1989 with "December 31, 1989." II. Under SECTION II: PAYMENT BY WISDOT. Replace paragraph A with the following: "WISDOT agrees to pay the Recipient $591,941 , or 38% of the Transit System's audited operating expenses, or the nonfederal share of the Transit System's audited operating deficit, whichever sum is less." III. Under SECTION III: RESPONSIBILITY OF RECIPIENT. In paragraph F, replace Schedule III with "Amended Schedule III." IV. Under SECTION IV: STATE DISBURSEMENTS. In paragraphs A and B, replace Schedule II with "Amended Schedule II." • • In paragraph B, replace 37.5% with "38%." V. Under SECTION IX: TERMINATION. Replace paragraph D with the following: "In the event that this Contract is terminated, WISDOT agrees to re- imburse the Recipient for up to 37.5% of the operating expenses incurred between January 1, 1989 and June 30, 1989, and for up to 38% of the operating expenses incurred between July 1, 1989 and the termination date, but payment by WISDOT may not exceed the nonfederal share of the operating deficit incurred between January 1, 1989 and the termination date. Eligible costs will be determined in accordance with the provisions of Section II.A of this Contract and sec. 85.20(4m(em)) , Wis. Stat. VI. Delete Schedules I, II, and III and replace with "Amended Schedules I, II, and III." Witness the execution of this Amendment by the parties hereto in the man- ner most appropriate to each on the day and year first above written.
