Home My WebLink AboutOASD/Data Processing Consortium DATA PROCESSING CONSORTIUM AGREEMENT between OSHKOSH AREA SCHOOL DISTRICT and CITY OF OSHKOSH THIS AGREEMENT, made and entered into this 27th day of April 1988, by and between the CITY OF OSHKOSH, a State of Wisconsin municipal corporation, hereinafter called "City," and OSHKOSH AREA SCHOOL DISTRICT (Unified), hereinafter called "School." WHEREAS, Wisconsin Statutes, Section 66.30, authorizes municipalities to enter into government contracts to provide services authorized by Wisconsin Statutes, and WHEREAS, it is mutually beneficial for the City and the School to enter into an agreement to take advantage of volume supply purchasing, equipment purchasing discounts, reciprocal recovery sites, and the sharing of technical expertise, and WHEREAS, the governing bodies of the City and School have duly adopted resolutions authorizing the execution of this Agreement, NOW,THEREFORE, BE IT RESOLVED that the City and the School for and in consideration of mutual covenants and undertakings herein contained do agree to as follows: A. Cooperative Purchasing Either party may purchase supplies/materials and equipment through each other's individual vendor accounts provided that remittance of said expenses is timely. B. Expense Reimbursements -Night Computer Operator The City agrees to reimburse the School on a monthly basis for any and all staff costs paid by the School on behalf of the hours worked by the Computer Operator performing City duties. Time sheets shall be submitted to the School Business Office on a bi-weekly basis. C. Transfer of Title Title to the computer equipment listed in Schedule A shall be transferred to the School District without reimbursement to the City effective May 1, 1988. D. System Software 1 . The School District and the City will share the software copyright costs for the V-site (second site) equally (50/50). See Schedule B. 2. The School District and the City will share the annual cost of the current software support agreements covering both computer systems on a 50/50 basis. See Schedule C. Data Processing Consortium Agreement Page 2 E. Hardware Each entity will be responsible for their own hardware maintenance costs. F. Off Site Storage The City and School District shall provide facilities to store backup tapes for the other entity. G Back Up System The City and School District will set up and maintain a cooperative disaster recovery plan. H. Hold Harmless Both parties shall be held harmless for any damages due to vandalism, theft, electrical malfunction or any other unforeseen interruption of service. I. Contract Duration This agreement shall be for a term of three years commencing May 1 1988 and ending on April 30, 1991 unless either party provides the other with ninety (90) days prior written notice of termination.
