MEMORANDUM OF LICENSE AGREEMENT
THIS MEMORANDUM OF LICENSE AGREEMENT is made and entered into this
006—day of —J,,,.[ , 2013, by and between CONVENIENCE STORE
INVESTMENTS, a WiscoIsin limited partnership ("Convenience Store Investments") and the
CITY OF OSHKOSH, WISCONSIN, a Wisconsin municipal corporation ("City").
WHEREAS, Convenience Store Investments and the City entered into a certain License
Agreement dated as of June 26, 2013 (the "License Agreement") with respect to the land
described on Exhibit A attached hereto (the "Property"); and
WHEREAS, Convenience Store Investments and the City want to place a Memorandum
of License Agreement of record in the real estate records for Winnebago County, Wisconsin,
providing notice to third parties of the License Agreement.
NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, it is agreed as follows:
Notice is hereby given that Convenience Store Investments and the City have executed
the License Agreement affecting the Property. A copy of the License Agreement is on
file in the Office of the City Clerk for the City of Oshkosh, Wisconsin. The License
Agreement allows Convenience Store Investments to locate a driveway at or near the
intersection of Westowne Avenue and North Washburn Street in the City of Oshkosh.
The specific terms, conditions and other provisions of the License Agreement are set
forth in the License Agreement, express reference to which is made for greater
particularity as to the terms, conditions and provisions thereof. The License is personal
to Convenience Store Investments and is not transferrable except as provided in the
License Agreement.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first
above written.
