HomeMy WebLinkAboutTime Warner Cable/Right of Entry RIGHT OF ENTRY AGREEMENT THIS RIGHT OF ENTRY AGREEMENT (the "Agreement"), dated this 77171 day of March, 2013 (the "Commencement Date"), is by and between City of Oshkosh (hereinafter the "Owner"), whose address is 215 Church Avenue. P.O. Box 1130, Oshkosh. Wi 54903 and Time Warner Cable Midwest LLC, a Delaware limited liability ompany xl/Ma ims—Wrner=62bleher_einafter=th " er .tor whose—address—is-16-15—Olentanov—River—Road, Columbus.OH 43212. Operator and Owner may individually be referred to as a"Party"or collectively as the"Parties." 1. Owner represents and warrants that Owner: (a) is the fee simple owner of the land, improvements, and building which constitute the Property(defined below) and has full power and authority to grant to Operator the rights set forth in this Agreement; or (b) through written agreement with the fee simple owner of the Property, has the full power and authority to grant to Operator the rights set forth in this Agreement. 2. In consideration of the mutual benefits and obligations sat forth herein,Owner grants to Operator and Operator's employees, agents, and contractors a non-exclusive right of entry for ingress and egress to the property and building located at 2 N.Main Street, Oshkosh,WI 54901 (the"Property")for the purpose of installing, operating,repairing, replacing, removing,and maintaining all necessary equipment, including,without limitation, lines,wires,poles, conduits, pipes, converters,amplifiers,splitters,lock boxes and facilities(collectively, the "System")in order to sell, market,and provide Operator's cable television,data, Internet, telecommunication and other entertainment services (collectively, "Services")to occupants(collectively,"Occupants")of the premises located at 1 North Main Street, Oshkosh,WI 54901 "Service to the Property(the Service Premises")as referenced in the attached description of work field pictures and field survey listed as pages 1-4. The rights granted hereunder shall be deemed to include a right for Operator to have access, and a right to use, all risers in the building,house wiring, utility easements,underground conduit,ducts,building entrance facilities,building utility entrance facilities,utility closets in the building,whether in common areas,rights-of-way, private roads and other areas on the Property as reasonably required for the purpose set forth above. 3. The term of this Agreement commences on the Commencement Date and shall remain in full force and effect until the later of: (a) the date that is 5 years after the Commencement Date; or(b) the date that is ninety (90) days after the date that Operator ceases to provide Services to Occupant(s)at the Service Premises (the'Term"). This Agreement may be terminated by either Party upon thirty (30) days written notice to the other Party; provided, however, Operator will be granted the right to continue to serve Occupants at the Service Premises under existing service agreements in place at the time of termination of this Agreement, but Operator shall not have the right to extend the term or expand the scope of such existing service agreements, and Operator shall in all events cease to serve Occupants under such existing service agreements within (2)years of the date of termination. At the expiration or earlier termination of this Agreement, Operator shall do no additional marketing on the Service Premises. Operator's use of the facilities shall be limited to providing the Services to Occupants of the Service Premises with which it has existing service agreements, and meeting its Service obligations as a common carrier and/or franchised cable operator as required by law. Upon the later of(a) ninety (90) days after the expiration or earlier termination of this Agreement, or(b)ninety(90)days after the expiration or termination of the last of any service agreements that Operator has with any Occupants of Service Premises which survive the expiration or termination of this Agreement as set forth above, Operator shall remove all of Its equipment, personal property, and facilities from the Property and shall restore the Property to the condition it was in on the Commencement Date, ordinary wear and tear excepted, all at Operator's sole cost and expense. If Operator does not remove its wiring or other facilities on the Property within such period, or within ten (10) days after further written notice from Owner, the System shall become the property of Owner and Owner shall have no further liability to Operator on account thereof. 4. If the Property or any portion thereof is destroyed, dismantled or removed, or if the Owner determines, in its sole discretion and for any reason, the structure to be structurally unsound, including but not limited to consideration of age of the structure, damage or destruction of all or part of the skywalk from any source, Owner shall notify Operator and allow Operator to remove all of Its equipment, personal property, and facilities from the Property if Operator is able to do so safely and within a reasonable time. 5. Occupants, if they desire to receive Services, shall be charged and billed Individually for such Services by Operator. Operator shall be responsible for any and all material damages directly caused to the Property by Operator's installation,operation,maintenance and removal of the System. 6. Ownership of all parts of the System shall be and remain the personal property of the Operator. No entity or person, other than Operator, may use any part of the System. Owner shall not, and Owner shall not authorize any third 1 Short Form Right ofantry party to, tamper with, make alterations to, or remove any components of the System. The System is not,and shall not be deemed to be, affixed to or a fixture of the Property. Operator shall install, operate and maintain the System on the Property at its own expense and in accordance with all applicable laws. If Owner requests, Operator shall submit for advanced approval the drawings and/or plans for the installation of the System, and such approval shall not be unreasonably withheld, conditioned,or delayed by Owner. 7. Operator agrees to maintain Commercial General Liability Insurance, with limits of not less than Two M#llion Dollars($2,000,000)combined single limit per occurrence for bodily injury,sickness or death, and property damage. 8. This Agreement may be freely assigned by either Party, provided that the assignee agrees to be bound by all of the terms and conditions hereof. This Agreement shall be binding upon and inure to the benefit of the parties hereto, their successors,legal representatives and assigns. 9. OPERATOR MAKES NO REPRESENTATIONS OR WARRANTIES--EXPRESS OR IMPLIED--REGARDING THE SYSTEM OR THE SERVICES, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND ALL SUCH WARRANTIES ARE HEREBY DISCLAIMED. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, IN NO EVENT SHALL OPERATOR OR OWNER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE, DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY THEREOF. IN NO EVENT SHALL OWNER BE LIABLE FOR ANY DAMAGES FOR THE INTERRUPTION OF SERVICE OR BUSINESS LOSS RELATED IN ANY WAY TO THE SYSTEM. For the purposes of this paragraph 9, the following terms will have the following definitions: "consequential damages"(also sometimes referred to as"indirect"or"special"damages),are damages that include loss of product and loss of profit or revenue and may be recovered if it is determined such damages were reasonably foreseeable or"within the contemplation of the parties"at the time of contract formation. "Incidental damages"are damages for expenses incurred by the Injured party as a result of the other party's breach of contract which were not reasonably foreseeable or"within the contemplation of the parties"at the time of contract formation. 10. Owner reserves the right to grant other easements on or rights of access to the Property, but will not allow such other grants to interfere with the rights conveyed In this Agreement. 11. This Agreement may be executed in several counterparts, each of which shall be deemed an original and such counterpart together shall constitute one and the same instrument.
