WHEREAS, the Redevelopment Authority of the City of Oshkosh, Wisconsin ("RDA") is the owner of real property within the City of Oshkosh which was purchased for redevelopment purposes, and which property is identified as Lot 1 of Certified Survey Map Number 6408, recorded with the Winnebago County Register of Deeds on October 5, 2009, in Volume 1, Page 6408, as Document Number 1520619 (Property), a map of which is attached hereto as Exhibit B; and, WHEREAS, the RDA leased the Property to the City of Oshkosh ("City") for the purpose of promoting the further redevelopment of the Property, and which Lease included the Property within the redevelopment area identified in Exhibit A attached hereto, and was recorded with the Winnebago County Register of Deeds on June 30, 2006, as document number 1403049; and, WHEREAS, for the purpose of furthering redevelopment the City caused to be issued Taxable Redevelopment Lease Revenue Bonds, Series 2006, with the Assignee acting in the role of Trustee of these bonds; and, WHEREAS, as part of the bonding process, the RDA assigned its rights in its lease with the City as described in an Assignment of Lease and Rents, and which Assignment was recorded with the Winnebago County Register of Deeds on June 30, 2006, as document number 1403050; and, WHEREAS, the City has proceeded with the redevelopment of the Property and now wishes to further the goals of the redevelopment area by selling the Property to private entities to complete this redevelopment in a manner which is consistent with the terms of all applicable agreements; and, WHEREAS, the terms of the Assignment require that the Trustee consent, in writing, to the transfer or conveyance of Property: THEREFORE, at the Request of RDA and in accordance with Section 2.3(j) of the Assignment, U.S. Bank National Association, as trustee of Taxable Redevelopment Lease Revenue Bonds, Series 2006, of the Redevelopment Authority of the City of Oshkosh, Wisconsin consents, without reservation, to the release of the Property from the Lease, and to the transfer, conveyance, and sale of the Property identified as Lot 1 in Exhibit B by the Redevelopment Authority of the City of Oshkosh to the River Front Senior Apartments, LLC or conveyed as otherwise legally allowed by any other document relevant to this redevelopment area: Draft Date 9-10-2012 The Trustee's consent identified in this document is intended to be full, complete, and satisfying all notice, consent, and release requirements identified in the aforementioned Assignment and all other documents related to the bond.
