Original signed agreements are sent to the Attorney's Office and the City Clerk's Office. Photocopied reproduction of the agreement is being sent to the Finance Department and also kept on file in the Department of Community Development. AGREEMENT THIS AGREEMENT, made on the ? „kr. day of August, 2012, by and between the CITY OF OSHKOSH, party of the first part, hereinafter referred to as CITY, and Legacy Architecture (529 Ontario Avenue, Suite FN 1, Sheboygan, Wisconsin 53081), party of the second part, hereinafter referred to as the (CONTRACTOR/ CONSULTANT), WITNESSETH: That the City and the Contractor/Consultant, for the consideration hereinafter named, enter into the following Agreement. The Contractor/Consultant's proposal is attached hereto and reflects the agreement of the parties except where it conflicts with this agreement, in which case this agreement shall prevail. ARTICLE I. PROJECT MANAGER A. Assignment of Project Manager. The Contractor/Consultant shall assign the following individual to manage the project described in this contract: Jennifer Lehrke, AIA, LEED AP B. Changes in Project Manager. The City shall have the right to approve or disapprove of any proposed change from the individual named above as Project Manager. The City shall be provided with a resume or other information for any proposed substitute and shall be given the opportunity to interview that person prior to any proposed change. ARTICLE II. CITY REPRESENTATIVE The City shall assign the following individual to manage the project described in this contract: David Buck, Principal Planner ARTICLE III. SCOPE OF WORK The Contractor/Consultant shall provide the services described in the City's RFP, and in the Contractor/Consultant's Proposal, dated July 13, 2012. The Contractor/Consultant may provide additional products and/or services if such products/services are requested in writing by the Authorized Representative of the City. All reports, drawings, specifications, computer files, field data, notes and other documents and instruments prepared by the Contractor/Consultant as instruments of service shall remain the property of the City. i I H ` 2012 ! s SEP 1 8 20 il+:_', CITY CLERK'S OFFICE 1 of 4 ARTICLE IV. CITY REPONSIBILITIES The City shall furnish, at the Contractor/Consultant's request, such information as is needed by the Consultant to aid in the progress of the project, providing it is reasonably obtainable from City records. To prevent any unreasonable delay in the Contractor/Consultant's work the City will examine all reports and other documents and will make any authorizations necessary to proceed with work within a reasonable time period. ARTICLE V. TIME OF COMPLETION The work to be performed under this contract shall be commenced and the work completed within the time limits as agreed upon between the parties at the kickoff meeting. The Contractor/Consultant shall perform the services under this agreement with reasonable diligence and expediency consistent with sound professional practices. The City agrees that the Consultant is not responsible for damages arising directly or indirectly from any delays for causes beyond the Contractor/Consultant's control. For the purposes of this agreement, such causes include, but are not limited to, strikes or other labor disputes; severe weather disruptions or other natural disasters, failure of performance by the City, or discovery of any hazardous substances or differing site conditions. If the delays resulting from any such causes increase the time required by the Contractor/Consultant to perform its services in an orderly and efficient manner, the Contractor/Consultant shall be entitled to an equitable adjustment in schedule. ARTICLE VI. COMPONENT PARTS OF THE CONTRACT This contract consists of the following component parts, all of which are as fully a part of this contract as if herein set out verbatim, or if not attached, as if hereto attached: 1. Contractor/Consultant's Proposal In the event that any provision in any of the above component parts of this contract conflicts with any provision in any other of the component parts, the provision in the . component part first enumerated above shall govern over any other component part which follows it numerically except as may be otherwise specifically stated. 2 of 4 ARTICLE VII. PAYMENT A. The Contract Sum. The City shall pay to the Contractor/Consultant for the performance of the contract the total sum not to exceed $7,100, adjusted by any changes hereafter mutually agreed upon in writing by the parties hereto. B. Method of Payment. The Contractor/Consultant shall submit itemized monthly statements for services. The City shall pay the Consultant within 30 calendar days after receipt of such statement. If any statement amount is disputed, the City may withhold payment of such amount and shall provide to Contractor/Consultant a statement as to the reason(s) for withholding payment. C. Additional Costs. Costs for additional services shall be negotiated and set forth in a written amendment to this agreement executed by both parties prior to proceeding with the work covered under the subject amendment. ARTICLE VIII. CONTRACTOR TO HOLD CITY HARMLESS The Contractor/Consultant covenants and agrees to protect and hold the City of Oshkosh harmless against all actions, claims and demands of any kind or character whatsoever which may in any way be caused by or result from the intentional or negligent acts of the Contractor/Consultant, his agents or assigns, his employees or his subcontractors related however remotely to the performance of this Contract or be caused or result from any violation of any law or administrative regulation, and shall indemnify or refund to the City all sums including court costs, attorney fees and punitive damages which the City may be obliged or adjudged to pay on any such claims or demands within thirty (30) days of the date of the City's written demand for indemnification or refund. ARTICLE V. INSURANCE The Contractor/Consultant agrees to abide by the attached City of Oshkosh Insurance Requirements. ARTICLE X. TERMINATION A. For Cause. If the Consultant shall fail to fulfill in timely and proper manner any of the obligations under this Agreement, the City shall have the right to terminate this Agreement by written notice to the Contractor/Consultant. In this event, the Contractor/Consultant shall be entitled to compensation for any satisfactory, usable work completed. B. For Convenience. The City may terminate this contract at any time by giving written notice to the Contractor/Consultant no later than 10 calendar days before the termination date. If the City terminates under this paragraph, then the Consultant shall be entitled to compensation for any satisfactory work performed to the date of termination. Historic Preservation Consulting Experience NATIONAL REGISTER NOMINATIONS In an effort to promote preservation efforts in downtown Sheboygan,the City,through its rrM , Community Development Block Grant funds from the U.S.Department of Housing&Urban Development,sponsored a National Register Nomination. A nomination was prepared of the Downtown Churches Historic District,which contains four historic churches identified in Phase One of the Architectural&Historical Intensive Survey mentioned below. The district was listed on the e .3 - z State Register of Historic Places in 2009,the National Register of Historic Places in 2010,and was utilized by the National Park Service as a Featured Historic Property for their 2010 Preservation Month promotion(http://www.nps.gov/history/nr/feature/presmonth/index.htm). We completed a Nomination for the City of Fond du Lac's Historic Preservation Commission for the National Register Nomination East Division Street—Sheboygan Street Historic District,which contains approximately 130 Downtown Churches Historic District residences. The district was listed in the State and National Registers of Historic Places in April Sheboygan,WI 2010. We recently completed a nomination for the City of Racine's Landmark Preservation Commission x• .4 - for the Melvin Avenue Residential Historic District which contains 33 residences. The district was r.: ". listed in the State and National Registers in 2011. + " �• / ' ti We are currently completing nominations for the owners of the Charles&Herriette Klingholz "c House,an Italianate style residence constructed in 1850 in Manitowoc Rapids;the Richards Hill Residential Historic District in Watertown;the Burlington Community Pool Bathhouse,a modern ? i _ _ pre-cast concrete park structure constructed in 1965,and the Burlington Cemetery in Burlington, Wisconsin. We expect to present these nominations to the State Historic Preservation Review Board in August and November of 2012 for State listing with National Register listing to follow later in the year and early next year. National Register Nomination E.Division-Sheboygan Streets District RECONNAISSANCE & INTENSIVE SURVEYS Fond du Lac,WI -�- _. -77- . r The City of Sheboygan received a Historic Preservation grant-in-aid from the National Park Service, U.S.Department of the Interior administered through the Wisconsin Historical Society to conduct an Architectural&Historical Intensive Survey. Phase One was executed in 2002. Phases Two, ' _ Three,and Four were funded through Community Development Block Grant monies from the U.S. t' �u: Department of Housing&Urban Development which were administered through the City. Phases 1 '? , _ Two and Three were performed in 2004,and Phase Four was performed in 2006. Approximately 13 square miles were covered in which well over 1,600 historic resources and thirteen eligible •ri- historic districts were identified. The purpose of this Architectural&Historical Intensive Survey + g Si was not to write a definitive history of the City,but rather to provide general historical information about the City and its buildings and provide a context for the evaluation of resources for listing on the National Register of Historic Places. National Register Nomination Charles&Herriette Klingholz House In 2011 we completed a similar survey of the Village of Whitefish Bay,and we are currently Manitowoc Rapids,WI conducting surveys of the City of Burlington and the northwest quadrant of Jefferson County. ARCHITECTURAL & CONDITIONS ASSESSMENTS A'r '' ='` X During the fall/winter of 2007,we performed an Architectural Assessment for the Sheboygan ` - Y ir4 County Historical Research Center,a historic house museum and research archive. The purpose pc a ' '* was to assess the current condition of the property,identify potential areas of concern or defect, ■ ;F , and develop estimates for its preservation and continued use as a research archive. The report _ included studies of the general building/facilities(includin the site,exterior of the building,and p "�. g g/ g g. i�; i interior of the building),climate control and environment(including plumbing,heating,ventilating ,;i1 e --; and air conditioning,lighting and electrical,and fire alarm and security systems),collections and . collections policies,exhibitions,storage,and emergency preparedness. We conducted a similar report in the summer of 2011 for the Neenah Historical Society. Reconnaissance&Intensive Survey Whitefish Bay,WI In the Summer of 2010,we conducted a Conditions Assessment of the Israel Stowell Temperance House in Delavan. The goal of the project was to determine the building elements that needed to �#5 be rehabilitated in order to allow for the future use of the site,establish priorities of repairs,and to provide cost estimates for a rehabilitation project. The Assessment included descriptions of building materials,elements,and systems and specifically addressed the site,envelope,interiors, O(U structure,and mechanical and electrical systems. • r o ° % a,. -- -- HISTORIC STRUCTURES REPORTS - .0 �€ t!! 4 In 2009,we were retained by the North Woods County Historical Society to work on a Historic -. � Structures Report(HSR)for the for the Upham Mansion,a historic house museum. In an effort to 4 ,. ;:,R■ reduce costs,significant portions of the HSR were performed by a group of volunteers. Our role ;r..-:44,•,...-„,,A_ i 1,A� ¢� was limited to participating in and overseeing the Condition Assessment,and performing and ----.1,....-7- 'authoring the Code&Accessibility Review and the Prioritization&Cost Estimate portions of the Reconnaissance&Intensive Survey HSR. Burlington,WI In the Fall of 2010,we were hired by the City of De Pere to prepare a HSR and Economic Feasibility Study for the Lockkeeper's House along the Fox River in De Pere,which is owned by the State of 3 _, Wisconsin's Fox River Navigational System Authority. � FEASIBILITY STUDIES i � I.i � f}. In 2003,we were hired by the Brin Theater Alliance,Ltd.to conduct a walk-thru of the theater, . y t; I L -L ', develop a rough scope of construction work,analyze the scope of work compared to our recently 'x?_1 , - } completed work on another theater,and prepare a conceptual cost estimate so they could begin MiliMMOINIMEMINIMINI initial fundraising efforts to continue on with further studies,architectural design,and engineering. _ 1 During the summer of 2003,we performed a Feasibility Study for the Renovation and Reuse of the Architectural&Conditions Assessment Oregon High School for the Village of Oregon's Historic Preservation Commission in an effort to Historical Research Center save the building from demolition and lay a foundation for the successful renovation and reuse of Sheboygan Falls,WI the building. The report included studies of the building exterior(including tuck-pointing,window& -• door replacement,skylight replacement,roof replacement,and removal of later building additions) l t{1•37 and the building interior(including the structural integrity,plumbing systems,mechanical systems -.- , ,� •&alternative energy applications,electrical systems,and the removal of asbestos). Since then, the building has been successfully rehabilitated as the Madison-area headquarters for a statewide ;, 1 -, . urban housing developer. __ 11 ? 11F In the Fall of 2010,we were hired by the City of De Pere to prepare an Economic Feasibility Study E y r and HSR for the Lockkeeper's House along the Fox River in De Pere,which is owned by the State I'I u" _ , 1 t of Wisconsin's Fox River Navigational System Authority. • HISTORIC TREATMENT PROGRAM Historic Structures Report We served as the Historic Treatment Specialist for the General Contractor in their award winning Upham Mansion Marshfield,WI work to stabilize the exterior of eight of the Lockkeeper's Houses along the Fox River,owned by the State of Wisconsin's Fox River Navigational System Authority. The first floor contains a check-in desk,lobby,meeting room with kitchenette and fireplace,and two screen porches. Background The Oshkosh Landmarks Commission is a State of WI Certified Local Government in Winnebago County. The proposed North Main Street Bungalow District consists of 23 single-family residential properties located on the north side of Oshkosh on both the east and west sides of the 1500 Block of North Main Street generally between Nevada Avenue on the north and Huron Avenue on the south. Based on a 2006 Historic Resources Survey (prepared by Mead and Hunt), all of these properties could be contributing elements within a proposed historic district. The Historic Resources Survey states "the proposed district is potentially eligible under Criterion C: Architecture, as grouping of early twentieth century houses that display similar size and massing. The period spans the dates of construction, C. 1910-c. 1930 and was determined to be an intact example of Bungalow Architecture and represents a collection of architectural trends that reached popularity during the 1920s. The houses in the potential district represent early twentieth-century styles, predominantly Bungalow, but also Dutch Colonial, American Foursquare, and Vernacular. Overall, the district is felt to retain good integrity and demonstrates the relationship of these architectural trends in Oshkosh".
