(AECOM) is pleased to present this proposal for professional engineering services involved with the site development of the proposed Public Works Field Operations Facility. This proposal presents our understanding of this project, and outlines our recommend scope of work and estimated fee for this phase of the project. Project Understanding This scope of work that follows has been developed based on our understanding of the project site and based on several discussions with City staff. The proposed scope of work includes: A. Preparation of site base map including available geotechnical and environmental information B. Completing a geotechnical evaluation based on boring locations recommended by Kueny Architectural. LLC. C. Completing environmental subsurface investigation with hydraulic probes, including installation of groundwater monitoring wells, collection of samples for analytical laboratory analysis and preparation of a soil/fill and groundwater management plan D. Completing the existing buildings asbestos inspection and a lead paint survey. E. Environmental Permitting 1. Preparation and submittal of Wisconsin Department of Natural Resources (WDNR) Development at Historic Fill Site Application. 2. Preparation and submittal of beneficial reuse request for lead painted masonry including use of the Claireville Road stockpile of lead painted masonry to be used as on-site fill material. 3. City of Oshkosh groundwater discharge to the sanitary permit. This document includes proprietary data that shall not be duplicated,used or disclosed outside City of Oshkosh for any purpose other than to evaluate this document.This restriction does not limit City of Oshkosh's right to use information contained in this document if it is obtained from another source without restriction. OPP-160592_City Garage Proposal_08-09-12.docx AECOM 2 F. Completing Wisconsin Economic Development Corporation (WEDC) Site Assessment Grant Application. Scope of Services Task A: Base Map AECOM will compile available geotechnical and environmental subsurface information onto a proposed site development plan provided by Kueny Architects, LLC. The geotechnical and environmental information will be compiled from our previous site work. In addition, AECOM will review available WDNR data bases and files for additional site information. The base map will assist with planning for additional subsurface exploration, soil management planning, construction permitting, and construction. Task B: Subsurface Exploration and Geotechnical Evaluation The subsurface exploration program at the site will include of a total of fifteen.(15)soil borings across the site. Four(4)of the soil borings will extend to a depth of 30 feet below the current site grade. The remaining eleven (11) soil borings will extend to a depth of 20 feet below the existing grade. Soil samples will be collected at 2.5 foot intervals to a depth of 15 feet below the ground surface and at 5 foot intervals thereafter. Soil samples will be collected using split barrel and Shelby tube sampling procedures in general accordance with ASTM D1586 and D1587 respectively. Field logs documenting the drilling and sampling procedures and results, soil conditions and encountered groundwater conditions will be prepared by a representative of AECOM. AECOM will screen soil samples with a photoionization detector(PID)to evaluate the amount of volatile compounds in the samples. Representative portions of the samples will be containerized and sealed in the field. All soil borings will be backfilled in general accordance with WDNR NR141 requirements upon completion of drilling operations. Upon completion of drilling, the soil samples will be transported to our laboratories in Oshkosh,WI and Green Bay,WI for additional analysis and testing. Laboratory testing of all samples will include visual classification and natural moisture content determinations. The unconfined compressive strength of all cohesive samples will be estimated using a calibrated hand penetrometer. Selected samples will be tested to determine the organic content and Atterberg limits to aid in the evaluation of options for the proposed development. We will prepare a Geotechnical Engineering report under the direction of a Professional Engineer registered in the State of Wisconsin. The geotechnical report will describe the subsurface exploration program and provide geologic characterizations of the soil and groundwater conditions encountered in the borings and those expected during construction. A borehole location diagram showing final soil boring locations and elevations, detailed boring logs, and the results of all field and laboratory tests will also be included in the final report. The geotechnical report will include recommendations for the following: • Recommended foundation types appropriate for the various structures and site conditions. • Recommended minimum bearing elevation of foundations, with consideration given for frost depth; including a discussion of the frost susceptibility of soils at the site and foundation recommendations with regards to freeze thaw conditions. K:\PROPOSAL\City of Oshkosh\OPP-160592_City Garage\OPP-160592_City Garage Proposal_08-09-12.docx AECOM 3 • Allowable bearing pressure values at various recommended depths for foundations. • Recommendations for increased allowable net bearing pressure under temporary loading (seismic, wind). • Coefficient of static friction between soil and bottom of foundations. • Lateral load resistance and stiffness provided for soil pressure on footings and grade beams. • An estimate of total settlement and time rate of settlement for footings of various sizes. • A discussion of the potential for bearing soils to undergo differential settlement, and the behavior of footings due to unbalanced bearing pressures from footings/mats of different size in close proximity. • Uplift resistance for foundations. • Frost heave and frost jacking considerations, including methods and construction recommendations to minimize frost heave effects as well as a discussion of both heated and unheated structures and foundations. • Structural backfill and foundation base soil compaction and gradation requirements. • Floor slab design and construction recommendations including recommended modulus of subgrade reaction. • Subgrade preparation recommendations for paved areas • General recommendations related to pavement thicknesses for flexible and rigid pavements. Task C: Subsurface Environmental Evaluation For budgeting purposes, AECOM proposes to advance up to fourteen hydraulic push probes on the subject site. Proposed boring locations will include but not limited to: Recognized Environmental Conditions (RECs) identified in the July 3, 2012 Phase I Environmental Site Assessment (Phase I ESA), areas identified in the August 17, 2009 Limited Environmental Document Review, and areas identified through the work performed in Task A. The actual number or borings will depend upon work performed in Task A and site conditions. The purpose of the borings is to confirm or deny the presence of subsurface impacts and to further delineate impacts to assist with planning and construction of the facility. The soil probes will be advanced to the apparent depth of groundwater, which is assumed to be within 8 feet of ground surface. Soil samples will be continuously collected and field screened with a PID to determine the possible presence of volatile compounds. Soil samples for laboratory analysis will be collected from the probes only if impacts are identified in the field. For budgeting purposes, AECOM proposes to up to fourteen laboratory samples for Diesel Range Organics (DRO), Volatile Organic Compounds (VOCs), and Polynuclear Aromatic Hydrocarbons (PAHs) analysis by State of Wisconsin or EPA Methods. In addition, up to two soil samples will be collected for landfill waste characterization (Protocol B waste acceptance). Documentation of the soil borings will be completed using the boring log format required by WDNR Form 4400-122 for each boring. K:\PROPOSAL\City of Oshkosh\OPP-160592_City Garage\OPP-160592_City Garage Proposal_08-09-12.docx AECOM 4 To assist with the disposal permitting of groundwater pumped during construction to the City's storm or sanitary system, two of the soil borings will be converted into 2-inch PVC temporary monitoring wells. The wells will be sampled for VOCs, PAHs, and RCRA Metals. Following receipt of laboratory results, AECOM will compile the data and compare it to current soil regulatory criteria for cleanup levels, direct contact, and protection of groundwater. AECOM will prepare a preliminary subsurface assessment report to document the data obtained from the above scope of services. The report will include a discussion of field investigation methodology and physical characteristics of the site; discussion of results with respect to regulatory standards, and recommendations for additional investigation, if necessary. Information from the limited subsurface assessment will assist with developing a soil and groundwater management plan. In conjunction with obtaining the necessary approvals for off-site treatment and disposal, AECOM will prepare a soil and groundwater management plan for the removal activities that will take place during the construction activities. The soil and groundwater management plan will include identification of onsite disposal locations (per Kueny's site civil plans) and licensed solid waste disposal facility for the impacted soils and a general description of the potentially impacted areas. The plan will be similar in format to past plans completed for other City of Oshkosh projects. The plan will be submitted to Kueny for inclusion in the construction bids. Task D: Asbestos and Lead Paint Survey AECOM will provide a Wisconsin-Certified Asbestos Inspector to perform an asbestos survey in accordance with EPA NESHAP and NR 447 on the existing garage facility. The procedure for conducting the asbestos survey will consist of a visual inspection, collection of samples, laboratory analysis of samples, and presentation of results in tabular form. Representative samples of suspect materials will be obtained by removing a small amount of suspect asbestos-containing building material (ACBM) and placing it in a leak-tight container. Prior to sampling,the surface of the material will be wetted to reduce fiber release to the atmosphere during sampling. Samples will be analyzed by Schneider Laboratories, Inc. using EPA recommended polarized light microscopy analysis with dispersion staining. ACBM is defined as material that contains greater than 1% asbestos. For budgetary purposes we estimate 60 samples will be submitted for asbestos analysis. Review for the presence of lead-bearing paint on exterior and interior masonry, concrete material unit(CMU Material) surfaces of the facility will be performed. For budgeting purposes, up to twenty paint chip samples will be collected and submitted to a certified laboratory for lead analysis completed by Inductively Coupled Plasma-Atomic Emission Spectroscopy Methods (ICP). The paint chip samples will be collected from various locations on the interior and exterior painted CMU wall surfaces. Upon receipt of the laboratory test results, AECOM will prepare a brief letter-report, which will identify materials that contained asbestos and lead-based paint, an opinion of probable quantities, and the general condition of these materials. Estimated quantities generated during the inspection should not be used as bidding quantities. A sketch map identifying the location of materials containing asbestos will also be prepared, as warranted. The survey does not include the WDNR 10-day demolition notification permitting. K:\PROPOSAL\City of Oshkosh\OPP-160592_City Garage\OPP-160592_City Garage Proposal_08-09-12.docx AECOM 5 Task E: Environmental Permitting WDNR Development of Development at Historic Fill Site Application The City Garage property has been designated as a historic fill site by the WDNR due to the solid waste, ash, and debris found within the subsurface of the site. The WDNR prohibits the placement of structures or other development on buried waste without an exemption to Wisconsin Administrative Code NR 506. AECOM purposes to work with Kueny Architecture LLC., complete the Development at Historic Fill Site Exemption Application (Forms 4400-226 and 226A)and the required attachments. In addition, AECOM will review construction plans and specifications to verify conformance with the requirements of the application and permit. Request for Low Hazard Exemption for the Beneficial Re-Use of Concrete Coated with Low Concentrations of Lead Paint It is the intent of the City to obtain a beneficial reuse permit under Wisconsin Administrative Code Sections 289.43(8)and NR 500.08(5)for the reuse of on-site generated crushed lead-bearing painted concrete masonry materials including the Claireville Road stockpile as fill. AECOM will work with Kueny Architecture LLC.,to complete the WDNR Solid Waste Low Hazard Waste Exemption Request form and required attachments. Preparation of Sanitary Discharge Permit AECOM will work with Kueny Architecture LLC., to prepare a permit application to the City of Oshkosh Sanitary Department for approval to discharge to the sanitary sewer during construction activities of the utilities. The permit will include project contact information, anticipated construction schedule, proposed dewatering equipment and estimated discharge rates, sediment control and free product trapping mechanisms. The permit review and discharge fees are not included in the budget. Task F: Completing Wisconsin Economic Development Corporation Site Assessment Grant Application. To assist with environmental costs, AECOM proposes to complete a Wisconsin Economic Development Corporation (WEDC) Site Assessment Grant(SAG)application. Based on a recent meeting with WEDC the existing City Garage property would be difficult to fund due to the City being considered to have contributed to existing environmental impacts. However, properties that are being acquired will have a better chance to be grant eligible. The grant would be$50,000 with a 50 percent match of in-kind services or cash and could be used to cover cost related to Phase II subsurface investigation, asbestos inspections and abatement and demolition costs. The estimated WEDC grant application review and approval time is about 3-4 weeks. In summary, AECOM will provide the following services: • Complete the necessary forms along with assistance from the City of Oshkosh. • Provide the required grant attachments, which include but are not limited to the following: o Project description o Site diagrams Use or disclosure of data contained on this sheet is subject to the restriction on the first page of this document. It may be necessary for the City of Oshkosh to identify and collect some required grant attachments that may not be readily available to AECOM. AECOM will assist the City in identifying the required documents. It should be understood that completion of these grants is no guarantee that the monies will be awarded to the City. Grant awards are based on many factors including availability of funds, number of applicants, and redevelopment potential of the property. Project Fees The following table summarizes our estimate of fees to complete the scope of services described above. Service Estimated Cost Task A—Base Map $2,500 Task B—Subsurface Exploration and Geotechnical Evaluation $22,200 Task C—Subsurface Environmental Evaluation $14,000 Task D—Asbestos and Lead Paint Survey $10,000 Task E—Environmental Permitting $8,500 Task F—WEDC SAG Application $4,000 Total Estimated Cost $61,200 If changes to the proposed scope of services appear to be necessary, you will be consulted prior to AECOM providing services beyond the scope presented in this proposal. Project Assumptions This proposal does not include services associated with construction documentation and management. In addition, decommissioning of the current fueling system and other tank systems on the site are not included in this proposal. AECOM can submit a proposal to assist with construction activities once a scope and time frame becomes established. As indicated in Task F, AECOM is proposing to submit a WDEC SAG Application for the SAG eligible items (limited Phase II subsurface investigation, asbestos inspection and abatement, and demolition) associated with the adjacent property acquisitions. Because those costs are only deemed eligible when the City is awarded the Grant, AECOM has not included those services and costs in this proposal. If the grant is awarded, AECOM can submit a proposal for those activities at that time. The attached Fee Schedule indicates the unit prices for various elements of service we expect will be utilized. This project will be complete per the negotiated April 2009 Negotiated Terms and Conditions between AECOM and the City of Oshkosh. To locate public utilities, AECOM will contact the Wisconsin Digger's Hotline prior to mobilization to the site. However, Digger's Hotline does not locate privately owned utilities or other underground structures. AECOM will observe reasonable precautions to reduce the potential for damaging subsurface utilities and structures, but AECOM assumes no liability unless all such utilities and structures are depicted fully and accurately on documents provided for AECOM's use. In the performance of an environmental assessment, it must be recognized that latent underground pollution of non-hazardous or hazardous nature may be discovered. The discovery may require the owner or tenant under federal and state regulation to undertake remedial measures. AECOM considers the responsibility of reporting of any results to appropriate state and/or federal agencies and subsequent clean-up measures to rest with the owner and/or tenant. AECOM will not report the results of our assessment to parties other than those to which we have contracted, unless, in our opinion, there is an acutely dangerous public health condition or safety risk. Project information will not be released to other parties unless a written a request to do so is provided by you or your representative. It must be recognized that the completion of an assessment may identify potential problems and environmental conditions based on visual observations and the review of available data and does not guarantee that site environmental liabilities are non-existent. Thank You. t0 Commercial Terms Time and Materials Agreement Effective January 1,2011 SCOPE OF SERVICES-AECOM,referred to herein as"AECOM",will perform the services described in its proposal,or, in the absence of a proposal, as defined in writing and approved by AECOM and Client, referred to herein as "Services" in accordance with the following "Commercial Terms". These services shall be performed on a Time and Materials basis. BILLING RATES STAFF-Charges for all professional,technical and administrative personnel directly charging time to the project will be calculated and billed on the basis of the following staff category hourly"Billing Rates". Billing Rates are in U.S.dollars,net of all applicable taxes,duties,fees and related charges,and include fringe benefits,burden and fee. All staff personnel have been classified in the above staff categories based on discipline skills, education and experience level. All travel, to a maximum of eight hours per day, will be charged at the Billing Rates. Billing Rates are based on a forty-hour work week. Overtime hours for exempt employees(non-hourly)will be charged at the standard Billing Rates. Overtime hours of non-exempt(hourly-non- supervisory)employees are charged at 130%of the Billing Rates. LITIGATION SUPPORT-In the event that AECOM's employees are requested by Client or compelled by subpoena or otherwise by any party to give expert or witness testimony or otherwise participate in a judicial or administrative proceeding involving the Client at any time, Client shall compensate AECOM at 150%of the Billing Rate, including preparation time,and shall reimburse AECOM for all out of pocket costs as provided herein. RETAINER—AECOM may require advance deposit of funds on specific projects based upon project cost estimates. In those instances, AECOM and the Client will mutually provide terms for the deposit of advance payments and provisions for crediting such advances against invoices for Services completed. OTHER DIRECT COSTS - "Other Direct Costs"are all costs and expenses incurred by AECOM directly attributable to the performance of Services together with a ten percent(10%)fee. Other Direct Costs include subcontracts, materials, shipping charges, special fees, permits, special insurance and licenses, outside computer time, and miscellaneous costs. Travel and travel-related expenses and equipment purchased for a project with advance authorization are computed on the basis of actual cost plus a five percent(5%)fee. INVOICING AND PAYMENT- Invoices will be issued monthly or twice per month at AECOM's option. Invoices will include a listing of staff categories, hours worked, rates,and the Other Direct Costs. Invoices may be sent electronically at AECOM's discretion. Any variance from this invoice format will be completed at the client's expense. Payments can be made by electronic funds transfers to the routing number listed on the invoice or manually to the address appearing on the invoice due upon receipt. Invoices not paid within thirty(30)days are subject to interest from the 31st day at the rate of 1-1/2% per month (18% per annum) but not to exceed the maximum interest allowed by law. In addition,AECOM may,after giving seven (7)days written notice to Client,suspend Services without liability until the Client has paid in full all amounts due AECOM on account of Services rendered and expenses incurred including interest on past due invoices or terminate Services without liability. If there is a disputed amount on an invoice,Client agrees to pay all undisputed amounts in the thirty(30)day period. In the event that AECOM places Client's account in the hands of an attorney for collection, Client agrees to pay AECOM all fees and expenses, including attorneys'fees and expert fees,necessitated thereby. SECURITY INTEREST—Client hereby grants AECOM a security interest in and to any and all machinery,equipment,other rights,assets,and property, tangible and intangible, wherever located, now owned or hereafter acquired by Client from AECOM, and any and all proceeds, additions or accessions to any and all of the foregoing, to secure the payment and performance by Client of any and all direct or indirect obligations,indebtedness and claims,whether contingent or fixed,now existing or hereafter arising,from Client to AECOM. ESTIMATES OF COSTS AND SCHEDULES -AECOM's estimates of costs and schedules are for Client's budget and planning assistance only. Cost and schedule estimates are based on AECOM's best judgment of the requirements known at the time of the proposal and can be influenced favorably or adversely by Client needs and other circumstances. AECOM will endeavor to perform the Services and accomplish the objectives within the estimated costs and schedule, but in no event shall AECOM's estimate be interpreted as a not-to-exceed or fixed Page 1 of 2 Form 103B(01/11) price. In the event AECOM is required to exceed its original estimate for any reason,the Client may wish to(1)redefine the scope of Services in order to accomplish Client's budget objectives,or(2)terminate Services at a specific expenditure level. If option(2)is chosen,AECOM will turn over all information to the extent completed at the authorized level without further obligation or liability to either party except payment for Services performed. Notwithstanding any other terms to the contrary,AECOM shall be entitled to a change order for additional compensation or additional time to perform its work, in the event that work outside the Services is requested or required to be performed by AECOM,or in the event that the assumptions underlying AECOM's proposal prove to be different from the facts actually encountered by AECOM during the performance of the Services. AGREEMENT - These Commercial Terms Form 103B (01/11) and the negotiated General Conditions dated April, 2009 govern the performance of the Services and rights and obligations of the parties.
