RECITALS WHEREAS, the City and the Developer ORD have previously entered into a Development Agreement, which has been Amended and Restated on two or more occasions ("Development Agreement"); and, WHEREAS, the Development Agreement sets forth the requirements for the development of the Marion Road/Pearl Avenue Redevelopment, which is located in Tax Increment District No. 13 and portions of Tax Increment District No. 21 ("Project Land"); and, WHEREAS, the Developer ORD has received approval from the City to proceed with certain Projects within the Project Land and expects to receive approval for further development in the future; and, WHEREAS, the same owners/members of the Developer ORD may form separate legal entities with the same material organizational structure for the purpose of developing individual parcels of the Project Land ("Related Entity"); and, WHEREAS, the formation of a Related Entities may be necessary to obtain financing, to develop, and to facilitate future ownership responsibilities for individual parcels in the Project Land; and, WHEREAS, the City will be provided with the Operating Agreement for Related Entities to ensure that their owners/members are substantially similar as those identified in the Operating Agreement for the Developer ORD including, but not limited to, Andrew J. Dumke and Arthur M. Dumke, and is substantially similar in all other respects as the Operating Agreement for the Developer ORD; and, WHEREAS, it may be necessary for the City to agree to transfer individual parcels of the Project Land to Related Entities in order to obtain necessary and sufficient financing for construction, or to complete a tax credit sale through WHEDA or other governmental entity; and, WHEREAS, lenders or other financing entities may require the option of liens or other security related to construction financing be placed on an individual parcel within the Project Land; and, WHEREAS, the Developer ORD requests, and the City and RDA agree: 1 1) Notwithstanding any term to the contrary, the City and RDA agree that liens and encumbrances may be placed upon a parcel within the Project Land provided they are for the purpose of financing the construction of the approved development on that parcel. The City and RDA shall have the sole discretion for the final approval of these liens and encumbrances; and, 2) The City and/or RDA may convey a parcel within the Project Land directly to Related Entities,provided: 1) the Developer ORD makes such requests in writing; 2) the Related Entities are comprised of substantially the same majority owners / members as the Developer ORD; 3) Andrew J. Dumke and/or Arthur M. Dumke shall retain sole management and ownership control over the day to day operations of the Related Entity; 4) the operating agreement or other corporate governance document(s) of the other entity is the same or substantially similar to that which controls Oshkosh River Development, LLC; and, 5) the City, at its sole discretion, shall approve or deny in writing the qualification of a Related Entity to be entitled to be considered a"Developer" of any parcel of the Project Land; and, 3) The City and/or RDA may convey a parcel within the Project Land directly to a Project Lender in the event that the Developer ORD and/or a Related Entity is unable or unwilling to complete the development project in question, but only after the City and/or RDA has received all documentation, proof, and assurances it reasonably believes is necessary to invoke this provision to complete the development as approved; and, 4) The City may prepare and execute any document necessary for the purpose of facilitating financing and conveyances within the Project Land. WHEREAS, the City of Oshkosh Common Council has approved this amendment of the Amended and Restated Development Agreement at its April 13, 2010 Council meeting through Revised Resolution 10-127. NOW THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows: 1. The recitals in this Amendment are incorporated herein as assertions, promises, obligations, and material statements of the parties on which the other may rely upon in carrying out the terms of the Development Agreement, including this Amendment; 2. Paragraph 2(g) of the Developer Agreement, as Amended and Restated, is deleted in its entirety and replaced with the following: 2(g) "Developer"means: Oshkosh River Development, LLC, a Wisconsin limited liability company, and any Related Entities which the City, at its sole discretion, concludes: 1) is formed pursuant to the laws of Wisconsin; 2) are comprised of the same substantially similar owners/members as those in Oshkosh River 2 Development, LLC; 3) are subject to the sole management control on a day to day basis of Andrew J. Dumke and/or Arthur M. Dumke; and, 4) specifically, and in writing, assume the obligations of a"developer" in this Development Agreement, as Amended and Restated. "Developer" also means a Project Lender in the event the City is presented with information it deems sufficient to show that Oshkosh River Development, LLC and/or Related Entity is unable or unwilling to complete the construction of the development as approved by the City. 3. Notwithstanding any term in this Amendment, or in the Development Agreement, as Amended and Restated, the City shall retain the right, at its sole discretion, to request and receive from any Developer, as that definition may be amended, all financial, corporate, development, and other information that the City it its sole discretion believes is necessary to carry out the terms of the development agreement. 4. Notwithstanding any term in this Amendment, or in the Development Agreement, as Amended and Restated, Oshkosh River Development, LLC and any other entity meeting the definition of Developer, shall be jointly and severally liable for all terms, requirements, and liabilities set forth in the Development Agreement, as Amended and Restated, including the terms of this Amendment. 5. Oshkosh River Development, LLC waives any claim against and shall hold the City harmless from any damages resulting from the City's conveyance of any Parcel within the Project Land to any entity other than Oshkosh River Development, LLC where said conveyance was at the request of Oshkosh River Development, LLC. 6. In all other respects not addressed by this Amendment, the terms and conditions of Development Agreement, as Amended and Restated, are ratified and remain in full force and effect.
