CONSENT OF ASSIGNEE

THIS CONSENT OF ASSIGNEE is made as of 040 wr a i , 2011 (this
"Consent"), by U.S. BANK NATIONAL ASSOCIATION, a national banking association,
as assignee, pursuant to the terms that follow.
WHEREAS, the Redevelopment Authority of the City of Oshkosh, Wisconsin
("RDA") is the owner of real property within the City of Oshkosh which was purchased
for redevelopment purposes, and which property Is identified as Lot 3 of Certified
Survey Map Number 6553, recorded with the Winnebago County Register of Deeds on
August 8, 2011, in Volume 1, Page 6553, as Document Number 1577796 (Property), a
map of which is attached hereto as Exhibit B; and,
WHEREAS, the RDA leased the Property to the City of Oshkosh ("City")for the
purpose of promoting the further redevelopment of the Property, and which Lease
included the redevelopment area identified in Exhibit A attached hereto, and was
recorded with the Winnebago County Register of Deeds on June 30, 2006, as
document number 1403049; and,
WHEREAS, for the purpose of furthering redevelopment the City caused to be
issued Taxable Redevelopment Lease Revenue Bonds, Series 2006, with the Assignee
acting in the role of Trustee of these bonds; and,
WHEREAS, as part of the bonding process, the RDA assigned its rights in its
lease with the City as described in an Assignment of Lease and Rents, and which
Assignment was recorded with the Winnebago County Register of Deeds on June 30,
2006, as document number 1403050; and,
WHEREAS, the City has proceeded with the redevelopment of the Property and
now wishes to further the goals of the redevelopment area by selling the Property to
private entities to complete this redevelopment in a manner which is consistent with the
terms of all applicable agreements; and,
WHEREAS, the terms of the Assignment require that the Trustee consent, in
writing, to the transfer or conveyance of Property:
THEREFORE, at the Request of RDA and in accordance with Section 2.3(j)of
the Assignment, U.S. Bank National Association, as trustee of Taxable Redevelopment
Lease Revenue Bonds, Series 2006, of the Redevelopment Authority of the City of
Oshkosh, Wisconsin consents, without reservation, to the release of the Property from
the Lease, and to the transfer, conveyance, and sale of the Property identified as Lot 3
in Exhibit B by the Redevelopment Authority of the City of Oshkosh to the Oshkosh
River Development, LLC or conveyed as otherwise legally allowed by any other
document relevant to this redevelopment area:

and satisfying all notice, consent, and release requirements identified in the
aforementioned Assignment and all other documents related to the bond.
