1. PARTIES: The parties to this Agreement aPI C1t ERNJc�sID 440 urch
Avenue, Oshkosh, Wisconsin 54903 ("CITY") and State of Wisconsin Depa ment
of Military Affairs, 2400 Wright St, Madison, Wisconsin 53704 ("DMA"). The
DMA agrees to sell, and the CITY agrees to buy, the "Property" described in this
Agreement and subject to the terms herein. The Property subject to this
transaction is vacant land.
2. PURPOSE: The CITY is purchasing the property for the use as part of the
CITY's storm water detention facilities.
3. PROPERTY: The property subject to this transaction ("Property") being a part of
parcel number 1308500000 as depicted on Plat of Survey dated August 17, 2011
(Attachment "A") as Parcel "A" and described as follows:
A parcel of land located in part of the Southeast '/ of the Northwest
'/ of Section 27, T18N, R16E in the City of Oshkosh, Winnebago
County, Wisconsin being more particularly described as follows:
Beginning at the northwest corner of said Southeast '/, thence S
88°37'19" E along the south line of West Addition to Armory Place
Plat, 664.76 feet; thence S 01°14'39" W, 532.90 feet; thence S
69°17'13" W, 188.68 feet; thence N 89°37'51" W, 407.88 feet;
thence S 45°13'21" W, 111.38 feet to the west line of said SE '/ of
the NW 1/4 ; thence N 00°51'48" E along said west line and the
east line of Kitty E. Subdivision, 691.40 feet to the point of
beginning. This parcel contains 9.16 acres or 399,154 sq. ft.
4. PURCHASE PRICE: The CITY agrees to pay, and the DMA agrees to
accept, a cash purchase price in the amount of One Hundred Eighty-Three
Thousand Two Hundred ($183,200.00) for full title and ownership to the Property.
The CITY shall pay the purchase price at closing. The CITY shall be responsible
for paying all closing costs.
5. AGREEMENT TO RELOCATE UTILITIES: A material term of the sale of the
Property is that the CITY shall relocate at the CITY's own expense any and all
DMA utilities located within Property as depicted in Attachment "A".
6. SPECIAL FEES AND ASSESSMENTS: Pursuant to the Agreement entered into
between the City of Oshkosh and DMA on or about September 29, 2008, the City
agrees that DMA may utilize the proposed Storm Water Detention Pond to meet
the current and future runoff quantity requirements of the City and the Total
Suspended Solids (TSS) requirements of the DNR for existing and future
development on the Armory Site. The State must convey the stormwater runoff
from the National Guard development to the stormwater detention pond. The

City agrees that the State may continue to utilize the area to be conveyed for
stormwater detention as provided in the agreement. The City agrees that it will
not levy special assessments against the State for construction of the project and
no fees will be charged to the State for the use of the detention pond for those
purposes specified in the agreement and this document.
7. WARRANTIES: Neither party has made any promises nor representations
related to the condition of this property or fitness for any particular purpose
except as otherwise described in this document. Except as otherwise stated,
there shall be no implied or express warranties regarding condition. The CITY
accepts in an "as-is" condition at the time of purchase, including, but not limited
to, environmental and soil issues.
8. CONVEYANCE OF TITLE:Upon payment of the purchase price, DMA shall
convey property to CITY by Quit Claim Deed.
9. CLOSING: The Parties agree to cooperate in good faith and do all acts and
execute all instruments or documents reasonably necessary to complete the
transaction(s) contemplated by this Agreement with closing of the property to
occur not later than January 31, 2012.
10. ENTIRE AGREEMENT: This document and the Exhibits constitute the entire
agreement between the Parties, and any prior understanding or representation
made by either party prior to the date thereof shall not be binding on either party
unless incorporated herein.
