HomeMy WebLinkAboutDiversified Investigations, LLC 8/31/2011 Agreement for Services This agreement, dated this 31st day of August ,20 11 by and between, City of Oshkosh hereinafter referred to as "Client" and DIVERSIFIED investigations, llc, hereinafter referred to as "D.I.," hereby agree as follows: 1. D.I. desires to provide pre-employment and pre-volunteer background investigative services to assist Client. Client desires a pre-employment and pre-volunteer background investigative service to be provided. 2. In consideration of the mutual promises, covenants and conditions herein and the fees to be paid for the services rendered, the parties agree to the terms and the conditions of this Agreement for Services. 3. D.I. will provide the services described in Exhibit "A" attached hereto, hereinafter referred to as "services". 4. Services will start on the date of this signed Agreement, and will continue until either party cancels the agreement. 5. Client agrees to pay the base rate and all addition fees as applicable, pursuant to the current Exhibit A schedule, which can be found as an Addendum to this Agreement for Services. 6. When an on-site background investigation is authorized, client agrees to pay for all expenses associated with the investigation including but not limited to mileage (see current fee schedule), lodging, car rental (will be agreed to ahead of time), parking fees, fees for database searches, and all other expenses incurred by D.I. 7. Client is expected to show due diligence in examining invoices provided by D.I. for accuracy. Client is expected to identify any suspected errors in writing no later than two weeks after the invoice is sent. 8. Any written notice to either party required or permitted under this agreement or applicable law shall be deemed to be duly given on the date of service if served personally on the party who notice is to be given, or on the fifth day after mailing if mailed to the party to whom notice is to be given by first class mail, certified, postage pre-paid, and addressed to the addressee at the address stated under his or her name below, or at the most recent address specified by written notice, given to sender by addressee under this provision. This agreement is governed by the laws of the County of Winnebago, State of Wisconsin. 10.This agreement shall be binding on and inure to the benefit to the respective successors, assigns and personal representatives of the parties, except to the extent of any contrary provisions in this agreement. 11.If any term, provision, covenant, or condition of this agreement is held by a Court of competent jurisdiction to be invalid, void, or unenforceable, the rest of the agreement shall remain in full force and effect and shall in no way be effected, impaired or invalidated. 12.This instrument contains the entire agreement of the parties relating to the rights granted and obligations assumed in this instrument. Any oral representations or modifications concerning this instrument shall be of no force or effect unless contained in a subsequent written modification signed by all parties. 13.Client agrees that if there is a dispute involving any invoice and/or payment of invoice Client's will contact D.I. immediately to discuss the dispute. Client will provide copies of disputed items as needed to assist in resolving the dispute. 14.Client understands that there are additional fees associated with any court testimony that may be needed if an investigator is under subpoena by the Client and related to the background investigation. D.I. will charge only those fees agreed to by contract, or according to a fee schedule in effect at the time of testimony if no written agreement exists. However, Client will not be responsible for additional fees to D.I. in those circumstances related to D.I.'s alleged negligence, willful, or malicious conduct, or violation of law; IN WI ESS WHEREOF, tre parties have extended this agreement as of the date first shown abov . Social Security/Address Verification 2. Criminal History (WI CIB) 3. Local law enforcement open records requests (residents for past 7 years) (See # 8) 4. National Sex Offender Registry Program (SORP) 5. Wisconsin Circuit Court Automation Program (WI CCAP) (Other States/Counties if available) 6.Driving Record (WI DOT) ** (See #9) 7. Base rate of each individual background is $60 to complete queries in 1-6, above. For out-of-state queries, the actual cost of the check will be added to the base rate on a per query basis (Individual out-of-state fees above $25 will be pre-approved by Client). 8. Most local law enforcement open records do not charge a fee for their records. (These fees range from $0-$10, however most agencies do not charge any fees).For local law enforcement queries, the actual cost of the query will be added to the base rate on a per query basis (Fees above $25 will be pre-approved by Client). 9. Wisconsin Department of Transportation (WI DOT) —This check can be added, upon request, when individual will be in a position to drive for the Client. There is no additional charge for these records. For out-of-state queries, the actual cost of the query will be added to the base rate on a per query basis. ADD-ONS: The following additions may be requested at the fees listed. 10. Credit History (@ $20/ea.) 11. Education Verification (@ $25/ea.) 12. Employment/Wage Verification (@ $30/ea.) 13. Reference Checks (@ $30/ea.)
