AGREEMENT
CITY OF OSHKOSH AND UW-OSHKOSH
PARAMEDIC AMBULANCE STAND-BY
2011 UWO TITAN'S FOOTBALL
THIS AGREEMENT made and entered into this )( ay of August,2011,by and between,
Jack Johnsen and Darryl Sims, UWO hereinafter called "UWO", and the City of Oshkosh, a
municipal corporation, hereinafter called"CITY".
WHEREAS, UWO has requested the CITY provide a dedicated paramedic ambulance for
stand-by, during specified hours for Football Games at Titan Stadium, and
WHEREAS, the Common Council for the City of Oshkosh has authorized the appropriate
City officials to enter into such an agreement.
NOW,THEREFORE,it is agreed by and between the parties to this agreement that the CITY
shall provide one (1) two-person paramedic ambulance to be present at Titan Stadium during the
Football Games. The paramedic unit shall be primarily responsible for providing first aid and
response to medical emergencies.
Saturday Sept. 3, 2011 1:00—4:00 p.m.
Saturday Oct. 1, 2011 2:00—5:00 p.m.
Saturday Oct. 22, 2011 1:30 —4:30 p.m.
Saturday Oct. 29, 2011 6:00—9:00 p.m.
Saturday Nov. 12, 2011 2:00—5:00 p.m.
IT IS FURTHER AGREED that UWO shall pay$92 per hour for the ambulance. Billed time
will commence 30 minutes prior to the start of stand-by and end 30 minutes after the termination of
stand-by. Any additional hours requested or required to provide adequate service in the sole opinion
of the Duty Chief for the City of Oshkosh Fire Department,shall be added to the prescheduled stand-
by hours and billed at the same hourly rate. If for any reason the event is cancelled,a three(3)hour
minimum will be charged if the event is not cancelled at least twelve(12)hours before the scheduled
start time.
Pre-event cancellations shall be made by calling(920)236-5240 between 8:00 a.m.and 4:30
p.m. Monday through Friday or(920) 236-5271 at other times.
The CITY shall invoice UWO Stadium Budget, do Susie Gustke, 800 Algoma Blvd.,
Oshkosh, WI 54901 following each event, with payment to be made within 30 days of receipt of
invoice. Failure to timely pay an invoice shall be a breach of this agreement.
All patients requiring transport by the Oshkosh Fire Department ambulance will be billed for
services rendered according to the CITY's usual and customary procedures and rates for service.
Consistent with the Statutes of the State of Wisconsin, each party to this contract agrees to
assume liability for the wrongful acts or omissions of its employees or agents while they are
functioning within the scope of their employment or agency, and hold the other harmless for such
liability.

The Board of Regents for the University of Wisconsin System agrees to provide liability
protection for its officers, employees and agents while acting within the scope of their
employment. The Board of Regents further agrees to hold harmless the City of Oshkosh, its
officers, agents and employees from any and all liability, including claims, demands, losses,
costs, damages, and expenses of every kind and description (including death), or damages to
persons or property arising out of or in connection with or occurring during the course of this
agreement where such liability is founded upon or grows out of the acts or omissions of any of the
officers, employees or agents of the University of Wisconsin System while acting within the scope
of their employment where protection is afforded by ss. 893.82 and 895.46(1) Wis. Stats.
Similarly, the City of Oshkosh agrees to hold harmless the University, and all its officers,
employees and agents from any and all liability, including claims, demands, losses, costs,
damages and expenses of every kind and description or damages to persons or property arising out
of or in connection with or occurring during the course of this agreement, where such liability is
founded upon or grows out of the acts or omissions of employees, officers, or agents of the City
of Oshkosh while acting within the scope of their employment where protection is afforded by ss.
893.80 and 895.46(1) Wis. Stats.
UWO and the CITY shall have the right to terminate this agreement without cause upon 10
days prior written notice to the other party.
