AGREEMENT THIS AGREEMENT, made on the iZ- day of 5E1T , 2011, by and between the CITY OF OSHKOSH, party of the first part, hereinafter referred to as CITY, and CH2M HILL Engineers, Inc. 135 S. 84th Street, Milwaukee, WI 53214, hereinafter referred to as the CONTRACTOR/CONSULTANT, WITNESSETH: That the City and the Contractor/Consultant, for the consideration hereinafter named, agree as follows: ARTICLE I. PROJECT MANAGER A. Assignment of Project Manager. The Contractor/Consultant shall assign the following individual to manage the project described in this contract: Linda Mohr. B. Changes in Project Manager. The City shall have the right to approve or disapprove of any proposed change from the individual named above as Project Manager. The City shall be provided with a resume or other information for any proposed substitute and shall be given the opportunity to interview that person prior to any proposed change. ARTICLE II. CITY REPRESENTATIVE The City shall assign the following individual to manage the project described in this contract: City of Oshkosh . Sanitary Sewer Capacity Management and Operations Management Assistance Project ARTICLE III. SCOPE OF WORK The Contractor/Consultant shall provide the services described in its proposal attached hereto and incorporated herein by reference. The Contractor/Consultant may provide additional products and/or services if such products/services are requested in writing by the Authorized Representative of the City. ARTICLE IV. CITY RESPONSIBLITIES The City shall furnish, at the Contractor/Consultant's request, such information as is needed by the Contractor/Consultant to aid in the progress of the project, providing it is reasonably obtainable from City records. To prevent any unreasonable delay in the Contractor's/Consultant's work the City will examine all reports and other documents and will make any authorizations 1 necessary to proceed with work within a reasonable time period. ARTICLE V. TIME OF COMPLETION The work to be performed under this contract shall be commenced and the work completed within the time limits specified in the General Conditions / Contractor's proposal. ARTICLE III. PAYMENT A. The Contract Sum. The City shall pay to the Contractor for the performance of the contract the sum of $174,400.00, adjusted by any changes as provided in the General Conditions, or any changes hereafter mutually agreed upon in writing by the parties hereto. B. Method of Payment. The Contractor/Consultant shall submit itemized monthly statements for services. The City shall pay the Contractor/Consultant within 30 calendar days after receipt of such statement. If any statement amount is disputed, the City may withhold payment of disputed amount and shall provide to Contractor/Consultant a statement as to the reason(s) for withholding payment. C. Additional Costs. Costs for additional services shall be negotiated and set forth in a written amendment to this agreement executed by both parties prior to proceeding with the work covered under the subject amendment. ARTICLE IV. CONTRACTOR TO HOLD CITY HARMLESS The Contractor covenants and agrees to protect and hold the City of Oshkosh harmless against all actions, claims and demands which may be to the proportionate extent caused by or result from the intentional or negligent acts of the Contractor, his agents or assigns, his employees or his subcontractors related however remotely to the performance of this Contract or be caused or result from any violation of any law or administrative regulation, and shall indemnify or refund to the City all sums including court costs, attorney fees and punitive damages which the City may be obliged or adjudged to pay on any such claims or demands within thirty(30) days of the date of the City's written demand for indemnification or refund for those actions, claim and demands caused by or resulting from intentional or negligent acts as specified in this paragraph. ARTICLE V. INSURANCE The Contractor/Consultant agrees to abide by the attached City of Oshkosh Insurance Requirements. ARTICLE VI. TERMINATION A. For Cause. If the Contractor/Consultant shall fail to fulfill in timely and proper manner any of 2 the obligations under this Agreement, the City shall have the right to terminate this Agreement by written notice to the Contractor/Consultant. In this event, the Contractor/Consultant shall be entitled to compensation for work completed to the termination date. B. For Convenience. The City may terminate this contract at any time by giving written notice to the Contractor/Consultant no later than 10 calendar days before the termination date. If the City terminates under this paragraph, then the Contractor/Consultant shall be entitled to compensation for any satisfactory work performed to the date of termination. This document and any specified attachments contain all terms and conditions of the Agreement and any alteration thereto shall be invalid unless made in writing, signed by both parties and incorporated as an amendment to this Agreement. ACORD 25(2010/05) The ACORD name and logo are registered marks of ACORD ATTACHMENT 1-SCOPE OF SERVICES City of Oshkosh Sanitary Sewer System Capacity, Management, Operations and Maintenance Support Services The purpose of the City of Oshkosh(City)sanitary sewer system capacity,management, operations,and maintenance(CMOM)support services project is to evaluate,document and update the ongoing and future City CMOM activities.Traditionally,City CMOM activities provide a high level of service to residents;however,City practices have not been extensively documented.Principal goals of this project are to document the high level of service achieved by the City to make recommendations regarding how CMOM activities may become more consistent with United States Environmental Protection Agency(EPA) and Wisconsin Department of Natural Resources(WDNR)expectations.The CMOM support services project aligns with,but is distinct from,the related May 26,2011 EPA administrative order response support provided by CH2M HILL under contract with Godfrey&Kahn. The following appendices to this Scope of Services are provided for reference: Appendix A Terms,Acronyms,References Appendix B—Example Document Review Form Appendix C—US EPA Draft CMOM Outline Appendix D—Preliminary Draft CMOM Support Services Task 2,3 and 4 The CMOM support services will be performed in the following major tasks: • Task 0-CMOM Project Management,Communication,and Quality Assurance/Quality Control (QA/QC). Complete project scope of services within budget and on schedule;conduct QA/QC review of all work;communicate frequently and regularly with the City on project progress,technical findings and decisions made. • Task 1-CMOM Assessment and Plan.Compile information regarding the City's current CMOM activities and policies;develop the CMOM report required in the updated May 26,2011 EPA administrative order.Document initial assessment findings and recommendations to be defined specifically through Tasks 2,3,and 4 activities. • Task 2-CMOM Support Tools.Facilitate City staff tracking,evaluation and documentation of collection system management efforts. • Task 3-CMOM Sewer Evaluation and Capacity Assurance Plan.Develop sewer evaluation and capacity assurance plan(SECAP) and other early design level studies necessary for CMOM planning. CITY OF OSHKOSH SANITARY SEWER SYSTEM CAPACITY • Task 4—Continued CMOM Implementation Assistance to facilitate incorporating CMOM compliant documentation and communication into the standard operating procedures throughout the affected City departments. This CMOM Support Services Project comprises Task 0 and Task 1.The scope of services that is anticipated to complete Tasks 2 through 4,to be completed under separate contract amendment and budget,is attached in Appendix D. Task 0 — CMOM Project Management, Communication, and Quality Assurance/Quality Control CH2M HILL will manage the delivery of the Task 1 technical services and work products to meet the City's schedule and budget.Project management duties include project instructions, team communication,quality assurance/quality control(QA/QC),and cost control. Instructions to the project delivery team will guide performance by defining: • Detailed scope of services and project deliverables • Task assignments and work plan • Project schedule • Project budget(by task)and performance monitoring • Health and safety considerations • Communication procedures within the team and with the City • Change management procedures Project team communication will be maintained through regular team meetings,telephone calls,and e-mail.Monthly progress meeting will be held with City staff to discuss project progress and make decisions.In addition,workshops will be held to advance the technical work of the project.CH2M HILL will submit progress reports to the City with each monthly invoice. The role of CH2M HILL quality control/quality assurance review is to review completed work and the project progresses and prior to submission of work products to the City. Monthly invoices for professional services will document current and cumulative expenditures.In addition to these brief progress reports,CH2M HILL will facilitate monthly project team conference calls to keep the team informed. Meeting the project schedule is critical to the City's success.A preliminary schedule, including all anticipated CMOM support services(Tasks 0—4)follows the description of Task 1 services. Task 1—CMOM Assessment and Plan The CMOM Assessment and Plan will include a review of information on existing City sewer systems' operations processes and documentation procedures.The review will comprise separate sanitary sewers(SSS)and separate stormwater sewers (SWS)because the wet weather solutions for the SSS necessarily impacts the SWS and the waters from either system may inadvertently migrate between the two.Also,the potable water distribution system(WDS)will be reviewed because watermain leaks and breaks often affect the nearby sewer lines. CITY OF OSHKOSH SANITARY SEWER SYSTEM CAPACITY The CMOM Assessment and Plan will be accomplished in six major steps: • Task 1.1-Review and define the extent and content of the City's documented sewer records. • Task 1.2-Staff interviews to learn the extent of the City operations'undocumented knowledge of sewer system operations and maintenance • Task 1.3-CMOM Checklist and Gap Analysis Memorandum to document the City past accomplishments and routine operations;gap analysis to identify gaps between EPA's CMOM Checklist or other industry documented goo engineering practices and City practices • Task 1.4-Workshop with City staff to discuss the findings of Tasks 1.1,1.2,and 1.3 and leverage City's operation insights into a program to fill the gaps • Task 1.5-2011 CMOM Assessment and Plan Report to document the Task 1 findings in a manner sufficient for regulatory compliance review. • Task 1.6 Management,Budget and Reporting Protocols will be developed to enhance efficacy of existing City reporting of CMOM activities. Task 1.1—Materials and City Records Review CH2M HILL will visit City offices to review pertinent available documents regarding the nature,analysis and operation of the SSS,SWS and the WDS.CH2M HILL will arrange the documents review session at least one week in advance so the appropriate information can be gathered and made available by the City. CH2M HILL will review the gathered documents,completing document review forms that . consolidate the full bibliographic reference,a summary of contents,and detailed locations for the most pertinent data items.These summaries will be referenced and refined throughout CMOM planning and implementation to provide that sourced information serves as ready reference for future work.An example document review form is included in Appendix C. In preparation for Task 1.2,CH2M HILL will prepare a City staff contact plan containing: • One-page introductory CMOM Assessment description and needs summary, • List of staff to be interviewed • Preliminary list of information to be sought from staff CH2M HILL will work with City staff to determine the most effective ways to schedule and conduct City staff interviews. CH2M HILL will develop an"interview plan"identifying the individuals to be contacted,the key types of information available from that individual,and the supervisor or colleague best able to support that individual in providing assistance to the CMOM assessment effort. CH2M HILL will annotate the draft CMOM report outline provided in the May 26 EPA Order Response.The annotation will summarize the current City CMOM status and highlight where greater detail is still needed.It is our experience that annotating the outline early in a process provides an efficient means of focusing discussion on information that SCOPE_V7.DOCX PAGE 3 OF 20 COPYRIGHT 2011 BY CH2M HILL,INC. Products: • Document Review Forms • Staff contact plan • Annotated version of the CMOM report outline Task 1.2—Staff Interviews After substantial completion of the document review,CH2M HILL will interview up to 20 individuals or small groups of City staff to gather undocumented staff understanding of past activities,observations and perspectives on potential practice improvements. It is anticipated that some of the operations staff interviews will take place in the field, where staff can comfortably explain their activities while in the process of performing their work.A two-person CH2M HILL team will spend approximately 3 working days in the field with the City operations staff to observe and subsequently document operations procedures that have not previously been documented. CH2M HILL will summarize each interview to document details appropriate to the CMOM report and update the annotated CMOM report outline. Products: • Staff interview notes • Updated annotated CMOM report outline Task 1.3—CMOM Checklist and Gap Analysis CH2M HILL will compare the information provided through both the document review and staff interviews to the information expected in the CMOM checklist.As needed, CH2M HILL will follow-up with City staff to fill any gaps between the gathered information and anticipated EPA requirements. Based on the findings of Tasks 1.1,1.2 and the gap analysis,CH2M HILL will prepare a Preliminary Draft CMOM Assessment and Draft Gap Analysis Memorandum for review by the City.CH2H HILL will facilitate a meeting with City staff(technical,managerial,legal)to discuss the draft documents and the City's review comments. CH2M HILL will incorporate the City's review comments on the Preliminary Draft documents and prepare the Draft CMOM Assessment and Plan and Gap Analysis Memorandum. CH2M HILL will develop a sewer evaluation and capacity assurance plan(SECAP)and other early design level studies necessary to CMOM planning.There may be some benefits to the City of executing some aspects of this task using subcontractors to CH2M HILL or under direct contract with the City.Means of task execution will be evaluated in the Task 1 CMOM Assessment and Plan.At present,six subtasks are anticipated: • Sanitary Sewer System GIS enhancement that completes the system physical information. • Flow Monitoring and flow extrapolation protocols to define flow conditions at all points in the sanitary sewer system. • Sanitary sewer leak and condition investigation that documents the existing conditions throughout the sanitary sewer collections system,including details of known or suspected inflow and infiltration opportunities. • Sanitary sewer system hydraulic model that uses the flow modeling protocol and the sanitary sewer system physical data stored in the data architecture to develop a simulation model useful in comparing flow needs to capacities in the collection system. • Existing capacity restriction investigation that uses the sanitary sewer system hydraulic model to identify components of the existing physical collection system with capacity restrictions. • Capacity assurance plan that uses the flow monitoring and hydraulic models, projects needs for a defined planning period,and develops a capacity assurance plan PAGE 16 OF 20 SCOPE_V7.DOCX COPYRIGHT 2011 BY CH2M HILL,INC. Task 3.1—Sewer System GIS Enhancement The 2009 compliance maintenance annual report(CMAR)indicates that the City currently has approximation 1,400,000 feet of sanitary sewer and 17 lift stations.The GIS contains data on the locations of facilities.Some of the location data will require updating.Location data required in the GIS includes latitude,longitude,lid elevation and depth for each manhole and size,upstream invert and downstream invert for each reach of pipe.Often this information must be calculated from other information(i.e.,longitude is calculate from state planar coordinates,or pipe invert is calculated from manhole lid elevation,depth and offset).If the information is not included in the GIS,then modeling and capacity assurance planning must supplement with assumptions or field measurement. In Task 1,CH2M HILL will have reviewed the general contents of the GIS,identified gaps and recommended filling particular gaps.This task 3.1 will fill any gaps Each questionable or missing geographic data item will be categorized as either non-essential to future planning,readily updated from other sources(i.e.,pipe size can be updated from record drawings),or requiring field verification. CH2M HILL will draft a detailed scope to gather any essential data not contained in the GIS, estimate the cost and time line to complete the data gathering and quality assurance.Once the scope is approved,CH2M HILL will compile the missing data and submit it to the City GIS. Products: • GIS essential data compilation scope and budget • GIS essential data submittal Task 3.2—Flow Monitoring Flow monitoring is essential for three distinct purposes:to identify sewersheds with excessive rainfall derived infiltration and inflow(RDII),to calibrate sewer flow projections, and to track the effectiveness of sewer flow management.The CMOM Assessment and Plan will identify historic data associated with the RDII identification,and defined remaining needs for calibration of flow projections and for tracking flow management effectiveness. In Task 1,CH2M HILL would have reviewed the existing sewershed configurations and the available flow monitoring data and made recommendations for monitoring locations and durations to fill the outstanding data needs.Task 3.2,will develop and execute a detailed work plan to meet outstanding monitoring data needs and complete the data gathering.The flow monitoring data will be loaded into the City's data architecture,along with appropriate quality assurance codes,to enable future use by the models and by those with access through the dash board. Task 1 will have reviewed the existing sewershed configurations and the available CCTV, smoke testing,dye testing and other leak detection information and made recommendations for incorporating the existing data into the City data management architecture,for filling any data gaps regarding existing conditions,and for sustained maintenance of the condition and leak data sets. CH2M HILL will draft a detailed work plan to gather outstanding sewer condition and leak data and provide the necessary quality assurance.Once the work plan is approved, CH2M HILL will compile the missing data and incorporate it into the City data management system. Products: • Sewer condition inspection data • Leak testing data Task 3.4—Hydraulic Modeling This hydraulic modeling subtask will build models of those portions of the sanitary sewer system deemed essential to continued assessment and management of the separate sanitary sewer system.Flows in the model will use the flow projection protocol,updated with the flow monitoring data.Hydraulics of the model will use the updated GIS and available record drawings of City facilities. Task 1 will have reviewed any existing hydraulic models,including storm sewer models, and recommend a separate sanitary sewer system modeling approach that maximizes the use of previous modeling,minimizes the need for new software,and meets the projected long term sanitary sewer system modeling needs. CH2M HILL will draft and implement a detailed work plan to meet outstanding sewer modeling needs.The work plan will included an extensive documentation and quality assurance plan.CH2M HILL will build a hydraulic model of the separate sewer system, draft model documentation and draft guidance for hydraulic model sustenance. It is anticipated further assistance may be needed in four major areas: • Annual O&M budget projection detailing annual costs for the personnel,equipment and outside services necessary to implement the CMOM plan. • Capital project justification linking recommended capital projects to the cost tools and the performance objectives and measures. • Capital project sequencing developing schedules that balance early improvement in performance measures with budget expectations. • CMOM related reporting that efficiently and effectively satisfies regulatory expectations.
