BE IT RESOLVED by the Common Council of the City of Oshkosh that a planned
development to construct an office building and related surface improvements at 300-
304 Ohio Street, per the attached, is hereby approved with the following conditions:
1) Add color band at the cornice level of the proposed new building to match
existing ImproMed facility.
2) Any landscaping displaced as part of this reconfiguration of the lot lines and the
parking lot between 290 Ohio Street and 300 Ohio Street be replaced on the 290
Ohio Street property.
3) Provision of a cross access, parking, and maintenance agreement to be recorded
at the Register of Deeds office to be approved by the Department of Community
Development.
4) Provide landscaping, elsewhere on site, for landscaping not installed along
parking lot perimeter on eastern side of subject property where parking lot abuts
private sidewalk. Landscaping can be provided in additional numbers or larger
sized plantings.
5) Approval of landscaping plan by Department of Community Development prior to
building permit issuance.
6) Approval of a grading and drainage plan by the Department of Public Works.
7) A base standard modification for 0 foot setbacks for the parking areas is granted
as proposed.

BACKGROUND
The property owner is proposing to construct an office building at 300 -304 Ohio Street. The proposal
is to construct the new building to the east of the ImproMed facility that abuts the Ohio Street right -of-
way to house ImproMed's development, hardware, education, and technical writing departments and
will also house its subsidiary, VetPressOnline. As there are existing city utility easements on the site,
this request also includes the vacation of portions of the easements that are no longer needed.
ANALYSIS
The proposed construction of an office building is consistent with development in the area and its
proposed location will complete the office campus in that area. The development project is proposed
to include construction of a new 2 -story 14,000 square foot office building and related surface
improvements. The proposal is to obtain approximately 58,708 square feet of land from the adjacent
property owner at 290 Ohio Street to construct the new building to the east of the ImproMed facility,
which will move the property lines and create a common property line through the middle of a parking
lot between the two properties. There are two base standard setback modifications required: 1) the
creation of a property line down the middle of the parking lot between 290 and 300 Ohio Street; and 2)
the new parking area to the northeast directly abutting the existing sidewalk on the adjacent property,
for which required landscaping is being made up elsewhere on the site. The structure will complement
and match the existing ImproMed facilities with a steel roof and fagades of cut stone and EFIS, with
cut stone accents and a recommended contrasting border at the cornice level to match that of the
I xisting ImproMed facility. Parking for 47 vehicles is situated around the building and a
reconfiguration of the parking between the existing and proposed facilities of 107 spaces. The parking
lot reconfiguration and land acquisition may result in the loss of landscaping and it is recommended
that any landscaping displaced be replaced. Also, an updated cross access, parking and maintenance
agreement will be required. A complete landscape plan will also be required but it appears they are
adding landscape islands in the new parking areas and at aisle ends.
The area of the requested easements release formerly contained street right -of -ways that have been
vacated, with the city retaining easements that can be released as they are no longer needed. There may
also remain some areas of storm sewers that may need to be relocated and that will be done in
coordination with the Department of Public Works.
FISCAL IMPACT
None anticipated other than the development project adding new property tax base to the community.
RECOMMENDATION
The Plan Commission approved of this request with conditions at its September 20, 2011 meeting.

The applicant is requesting three actions within this petition:
1. Rezoning from C -2 to C -2 with Planned Development overlay;

Applicable Ordinance Provisions:
The Zoning Ordinance does not establish criteria relative to appropriateness of changing zoning from
one classification to another but relies on the Comprehensive Plan and good planning principles. The
Zoning Ordinance establishes criteria and guidelines for the approval of Planned Development Overlay
District in Section 30 -33 (A).
Property Location and Background Information:
The property owner is proposing to construct a two story, 14,000 square foot office building at 300-
304 Ohio Street, which property currently contains the ImproMed facilities and related surface
improvements (Action 2). The proposal is to construct the new building to the east of the ImproMed
facility that abuts the Ohio Street right -of -way. In order to do this, the property owner must obtain
approximately 58,708 square feet of land from the adjacent property owner at 290 Ohio Street that will
move the property lines and create a common property line through the middle of a parking lot
between the two properties. As the property at 290 Ohio Street is zoned C -2 PD and the subject
property only C -2, a zone change is required to prevent the creation of a split zoned parcel (Action 1).
Additionally as there are some existing city public utility easements on the site, the petitioner is
requesting to vacate portions of the easements that are no longer needed (Action 3).

ANALYSIS
Zone Change (Action 1)
The proposed zone change to add the PD overlay, while retaining the existing C -2 base zoning, is
consistent with the zoning in the area. Additionally, the zoning will allow for approval of the common
property line down the center of the parking areas between 290 and 300 Ohio Street through the PD
review process as a base standard modification.
Planned Development (Action 2)
The proposed construction of a two story office building is consistent with development in the area and
its proposed location east of the existing ImproMed facilities will complete a campus like atmosphere.
The new facility will house ImproMed's development, hardware, education, and technical writing
departments and will also house its subsidiary, VetPressOnline. The expansion is needed because
ImproMed is anticipating growing by 30% over the next three years, which is in addition to the
existing 100 employees on site and their existing building cannot accommodate this new growth
without additional office square footage and parking.
The exterior of the structure will be done in a manner to complement and match the existing
ImproMed facilities. The roof will be steel; the west fagade will be cut stone and EFIS, and the
remainder of the building will be EFIS with cut stone accents. No color renderings have been provided
but it would be appropriate to require a contrasting border at the cornice level to match that of the
existing ImproMed facility.
A surface parking area of 47 spaces is shown around the building and a reconfiguration of the parking
between the existing and proposed facilities indicates that a total of 107 spaces are being provided. As
part of the reconfiguration and the land acquisition, the parking area adjacent to 290 Ohio Street will
need to be reconfigured along the building and this may result in the loss of landscaping. Staff is
recommending that any landscaping displaced as part of this reconfiguration be replaced on the 290
Ohio Street property. Also as the reconfiguration will result in additional cross access areas, an
updated cross access, parking and maintenance agreement will be required for the two properties to
prevent future property line and access disputes.

Landscaping
A landscape plan has not been submitted but the site plan does show some areas where trees will be
installed for reference. It appears they are adding landscape islands in the new parking areas and at
aisle ends. A complete landscape plan will be required at permit issuance.
Base Standard Modifications
There are two base standard setback modifications (BSM) required by the proposed development. One
is for the creation of a property line down the middle of the parking lot between 290 and 300 Ohio
Street (where a 10 foot setback is required) and one for the new parking area to the northeast that will
directly abut (where a 5 foot setback is required) the existing sidewalk on the adjacent property for the
business park. Staff doesn't have an issue with either BSM given the nature of development in this
area being a more campus like setting and the provision of the cross access and parking easements.
The only condition that staff feels is appropriate here would be to require that the landscaping that
would normally have been required in this area along the new parking lot perimeter be made up
elsewhere on the site in either additional numbers or in larger sized plantings.
Vacate/Release of Easements (Action 3)
This is an area that formerly contained street right -of -ways (Texas St, 2nd Ave, 3 Ave) that have since
been vacated, but the city has retained all or portions in easements that can be released as they are no
longer needed. There may also remain some areas of storm sewers that may need to be relocated and
that will be done in coordination with the Department of Public Works. The developer is currently
working with the Department of Public Works on the easements and storm sewer and staff is
recommending approval of the release of easements as approved by the Department of Public Works.
RECOMMENDATION
Rezoning (Action 1)
Staff recommends approval of the zone change to add the Planned Development Overlay as requested.
Planned Development (Action 2)
Staff recommends approval of the site and building plan with the following conditions:

Vacate/Release of Easements (Action 3)
Staff recommends approval to vacate /release of utility easements on the subject property with the
following conditions:
1) Provide legal description for areas to be released /vacated as determined and approved by the
Department of Public Works.
The Plan Commission approved of these items as requested. The following is the Plan Commission's
discussion on this item.
Ms. Lohry inquired if large scale trees are required as part of the landscaping?
Mr. Buck replied the Ordinance requires a minimum 1 1 /4 inch diameter caliper.
Mr. Ron Detjen, President of ImproMed and Osh Inc., thanked staff for working with him in
processing this request. Mr. Detjen noted sometimes trees can cause problems with sewers and such,
but he will work with staff on the landscaping plan.
Mr. McHugh inquired if there will be expansion to the east?
Mr. Detjen replied he is not considering anything at this time. However, expanding the overall campus
style development is a possibility in the future.
Mr. Thorns inquired if the project will be LEED certified or will use enhanced energy systems or other
sustainable practices?
Mr. Detjen stated the original building was heavily damaged during the last floods and a lot of
renovations have taken place. The renovations and the new building may not be LEED, but are above
average.
Mr. Thorns inquired about drainage?
Mr. Detjen indicated they are working with the Public Works Department.

(a) rezone from C -2 to C -2 PD;
(b) vacate /relocate utility easements with the condition that the applicant provide legal
descriptions for areas to be released/vacated as determined and approved by the Department
of Public Works; and
(c) planned development approval for a new office building and surface improvements with the
following conditions:
1) Add color band at the cornice level of the proposed new building to match existing
ImproMed facility.
2) Any landscaping displaced as part of this reconfiguration of the lot lines and the parking lot

SUMMARY OF PROCESS
The City of Oshkosh Plan Commission and Common Council act on all zone changes. The petitioner or owner
should be present at both the Plan Commission and Common Council meetings to discuss and answer
questions regarding the request.
Neighborhood opinion is an important factor in the decision - making process. For complex or controversial
proposals, it is recommended that the petitioner conduct a neighborhood meeting to solicit public input prior to
action by the Plan Commission and City Council. Planning Services staff is available to offer assistance in
compiling a mailing list for the neighborhood meeting. Please note that a meeting notice will be mailed to all
abutting property owners regarding your request.
The application package is reviewed by Planning Services staff to determine conformance with adopted city
plans, zoning requirements and development standards. A staff recommendation is prepared for consideration
by the Plan Commission and Common Council. The petitioner will be provided with a copy of the staff report
and meeting notice several days prior to the Plan Commission meeting. No notice is sent to the petitioner or
owner regarding the Common Council's consideration of the request. Petitioners and owners are encouraged
to contact Planning Services staff to find out when the request will be sent to the Common Council for review.
The Plan Commission's decision is advisory only. The Common Council will make the final decision
regarding all zone change requests. The Plan Commission may lay over requests to subsequent meetings if
incomplete information is provided or additional questions or concerns are raised at the meeting.
After the Plan Commission makes its recommendation, the request will be forwarded to the Common Council
for consideration. This generally occurs three weeks after the Plan Commission meeting depending on the date
the Council meeting is scheduled (the Council meets on the 2n and 4"' Tuesday of every month) and on the
availability of a legal description for the zone change. Wisconsin State Statutes require a zone change to be
published as Class II notice in the local newspaper, the City takes care of this publication requirement prior to
the Council meeting.
If Council approves the rezoning, the Ordinance is published in the newspaper on the following Saturday and
will be effective on Sunday. City administrative offices are notified of the effective date of the Ordinance and
will make changes to the official zoning map accordingly.

ADDENDUM "A"
This Addendum is attached to a City of Oshkosh Application for Rezoning (the
"Application ") executed by Osh, Inc., a Wisconsin corporation ( "Petitioner ") for the rezoning of
certain vacant land at 304 Ohio Street, Oshkosh, Wisconsin (the "Property").
Purpose for Rezoning The parcel is being combined with an adjacent parcel that the Petitioner
is purchasing. The parcel that is being purchased is zoned C -2 PD. The subject parcel is being
rezoned to eliminate the split zoning and utilize the plan development overlay to obtain certain
variations from base district standards required to construct a new office building on the
combined parcel. The combined parcel is depicted as Lot 2 of the proposed Certified Survey
Map attached as Exhibit 1 of this Application.

O.S.H. Inc., a Sub S corporation owned by Ronald Detjen, proposes to construct a two story
office building on the property located at 300 Ohio Street, Oshkosh, WI. The building will
contain approximately 14,000 square feet and provide elevator access to all floors.
The structure will be wood frame with steel beam center support and pre- engineered roof
trusses. The exterior of the structure will be done in a manner to complement and match the
existing and adjoining property occupied by ImproMed, LLC. The roof will be steel; the west
facade will be cut stone and EFTS, the remainder of the building will be EFIS with cut stone
accents. The building's foundation will be concrete on concrete footings.
The original tenant of this building will be ImproMed, LLC which currently occupies 304 Ohio
Street, a building owned by O.S.H. Inc. ImproMed will continue to occupy its existing facility
on Ohio Street and will utilize this new building for expansion. ImproMed, LLC is the oldest
and now largest developer and provider of business and medical management software for
the veterinary industry in the world. The new building will be used as office space for
ImproMed's development, hardware, education and technical writing departments.
Additionally the building will house VetPressOnline a subsidiary of ImproMed, LLC.
ImproMed, LLC currently provides employment for over one hundred employees and as an
intellectual property company places a very minimal load on the community's infrastructure.
With this additional space ImproMed, LLC will be able to continue its growth within Oshkosh.
It is anticipated that ImproMed will increase its employment level by 30% within three years.
The budgeted investment for the project is approximately $1,000,000.00 for "white box"
construction. The majority of the interior divisions will be lease hold improvements and the
personal property of ImproMed, LLC.
Due to the increase of business that ImproMed is experiencing it is critical that we begin
construction as soon as possible. The construction time schedule that is planned is to break
ground no later than the end of September, close in by the end of November and occupy the
property by March 1, 2012.

6. Vacation or Relocation of Storm Sewer Easement The proposed Certified Survey Map
attached as Exhibit 1 of this Application shows an existing Storm Sewer Easement labeled "Note
3" on the Proposed Certified Survey Map. The Petitioner and its representatives have been in
contact with the City of Oshkosh Department of Public Works. The Department of Public Works
has informed the Petitioner's representatives that its preliminary investigation has indicated that
the existing storm sewer is in a different location and that the Storm Sewer Easement shown on
the proposed Certified Survey Map may not be necessary. The existing Storm Sewer Easement
must be vacated or relocated in order to construct the proposed new office building. The
Petitioner is requesting that this Storm Sewer Easement be terminated or relocated and that this
request be handled concurrently with the other applications filed by the Petitioner so that it does
not delay construction of the proposed office building. Copy of a letter to the City of Oshkosh
Department of Public Work requesting the vacation/termination of this Easement is attached as
Exhibit 3 of this Application.

Ronald Detjen

Oshkosh, WI.
O.S.H. Inc., a Sub S corporation owned by Ronald Detjen, proposes to construct a two story
office building on the property located at 300 Ohio Street, Oshkosh, WI. The building will
contain approximately 14,000 square feet and provide elevator access to all floors.
The structure will be wood frame with steel beam center support and pre- engineered roof
trusses. The exterior of the structure will be done in a manner to complement and match the
existing and adjoining property occupied by ImproMed, LLC. The roof will be steel; the west
facade will be cut stone and EFTS, the remainder of the building will be EFTS with cut stone
accents. The building's foundation will be concrete on concrete footings.
The original tenant of this building will be ImproMed, LLC which currently occupies 304 Ohio
Street, a building owned by O.S.H. Inc. ImproMed will continue to occupy its existing facility
on Ohio Street and will utilize this new building for expansion. ImproMed, LLC is the oldest
and now largest developer and provider of business and medical management software for
the veterinary industry in the world. The new building will be used as office space for
ImproMed's development, hardware, education and technical writing departments.
Additionally the building will house VetPressOnline a subsidiary of ImproMed, LLC.
ImproMed, LLC currently provides employment for over one hundred employees and as an
intellectual property company places a very minimal load on the community's infrastructure.
With this additional space ImproMed, LLC will be able to continue its growth within Oshkosh.
It is anticipated that ImproMed will increase its employment level by 30% within three years.
The budgeted investment for the project is approximately $1,000,000.00 for "white box"
construction. The majority of the interior divisions will be lease hold improvements and the
personal property of ImproMed, LLC.
Due to the increase of business that ImproMed is experiencing it is critical that we begin
construction as soon as possible. The construction time schedule that is planned is to break
ground no later than the end of September, close in by the end of November and occupy the
property by March 1, 2012.

Dear Steve:
I am writing as a follow up to our conversations regarding the existing storm sewer easement
shown on the proposed Certified Survey Map (the "Storm Sewer Easement ") combining the parcel
currently owned by Osh, Inc. with the additional parcel it is purchasing from Bridgeview Holdings, LLC.
It is my understanding that your preliminary investigation has indicated that there is no existing storm
sewer within the Storm Sewer Easement and that the existing storm sewer is actually in a different
location.
The Storm Sewer Easement runs through the proposed building site and would prevent the
construction of the proposed office building. This Storm Sewer Easement will need to be vacated or
relocated in order to proceed with the construction of the proposed building. If there is any storm sewer
located within the Storm Sewer Easement, it will also need to be relocated at the owner's expense. As I
indicated, my client is willing to work with the City and grant a new storm sewer easement in a location
that will not interfere with the construction of the proposed building if necessary.
You indicated that the vacation/relocation of the Storm Sewer Easement will require Plan
Commission and Common Council approval. We have been working closely with Darryn Burich on the
development of this property. We have filed the required Applications to obtain approval of the proposed
Certified Survey Map, change the zoning of the existing Osh, Inc. parcel from C -2 to C -2PD and Planned
Development Review. These matters are all scheduled to go to the Plan Commission at its September 20,
2011 meeting. We have requested that the Plan Commission also address the vacation/relocation of the
Storm Sewer Easement at that time. A copy of this letter has been included in the Application for Planned
Development Review.
As you know, my client would like to begin construction of the proposed new office building as
soon as possible. Construction can not be started until the Storm Sewer Easement is addressed. We
would greatly appreciate your assistance in working with us to ensure that the vacation/relocation of the
Storm Sewer Easement does not delay construction.
