Kraft J ; TY DEVELOPMENT Assistant City Attorney RE: Landmark Plaza - Marcus Theatres Cross Parking Agreement The Board of Zoning Appeals approved a variance subject to adequate cross parking agreements to accommodate expansion of the Marcus Theatres' cinema complex. You provided several documents supplied by the above parties to meet the Board's condition. I reviewed the documents and offer these comments. Both documents, the 1972 Restatement of Deed Declaration between Roger E. Benjamin as Trustee and S -M, Inc. of Oshkosh, and the 1971 Reciprocal Easement and Restriction Agreement between 44 Drive -In Threatre, Inc., S -M, Inc. of Oshkosh and Roger E. Benjamin as Trustee, are intended to create rights, easements and obligations which run with the subject properties and are for the benefit of, and binding upon, the parties and their respective successors and assigns. S -M constructed the Welles Department Store, now generally housing Stein Garden Center, Wallace Furni- ture and Snider - Daanen Furniture. Drive -In constructed a theatre and parking facilities on its parcel and had the option to build a restaurant specializing in high quality meats. Trustee could construct other facilities and related parking on the balance of the site. The 1972 Declaration states that such restrictions are not to be extinguished, merged or otherwise impaired because of transfer of title or any mortgage. In the 1971 agreement, each party granted to the other parties reciprocal non - exclusive easement to each party's parkings areas, roadways, entrances, exits and other common areas for ingress and egress to the respective parcels, together with each party's respective sidewalks and walkways. This provision as to ingress and egress is maintained in the 1972 Declaration between the Trustee and S -M, Inc. of Oshkosh for the benefit of the shopping center which housed Welles Department Store. Under the 1971 1 agreement, each party was to construct parking on its respective lot for not less than six standard -sized American cars per 1,000 square feet of leasable ground floor area of the buildings; office space carried a different ratio to be agreed upon by Welles Stores, Inc., its successors or assigns. In the 1972 Declaration, the parties agreed to construct 560 spaces in front of the leased (Welles) building and eventually maintain the same 6 car per 1,000 square feet ratio of the 1971 document. The tenant of the leased building can force the Trustee to meet this obligation. If a building is constructed an outlet parcel, an additional three spaces per 1,000 square feet of leasable office space or an additional four spaces per 1,000 square feet of other commercial /retail space shall be developed. S -M, Inc. of Oshkosh is responsible for repairs clean -up and other maintenance for the Shopping Center parking areas and bills the appropriate parties for the respective portions of their parking areas. My initial review of these documents indicate that they could be sufficient to approve as a cross parking agreement which would satisfy the condition of the Board's variance approval. There are several pieces of information which I need to give final approval: 1.
